Voluntary Disclosure for a Corporate Tax Refund in the UAE

Overpaid UAE corporate tax? A voluntary disclosure is the optional route to correct it and claim the refund, with no tax-difference penalty on overpayments.

corporate tax overpayment refund uae

Where a corporate tax error meant you paid too much, a voluntary disclosure is optional rather than mandatory, and there is no tax-difference penalty on the overpayment. The disclosure corrects the return and establishes the refund position. Alternatively, a refund application can be used. Either way, the claim must be evidenced, and refunds are subject to the Authority's verification.

Basis: UAE Federal Tax Authority

Disclosure for overpayment
Optional, not mandatory

Article 10, Federal Decree-Law No. 28 of 2022 on Tax Procedures

Penalty on overpayment errors
No tax-difference penalty; item 9 AED 500 may apply to the incorrect filing

Items 9-11, Cabinet Decision No. 75 of 2023

Overstated refund claims
Mandatory disclosure where a refund was overstated

Article 10, Federal Decree-Law No. 28 of 2022 on Tax Procedures

# The optional disclosure: correcting an overpayment

Article 10 of the Tax Procedures Law gives you the choice where the error went in your favour. If the return overstated payable tax, because a deduction was missed, an exemption misapplied or income double-counted, you may submit a voluntary disclosure to correct it. May, not shall: leaving the money with the Authority is not a violation.

Exercising the option is usually worthwhile. Corporate tax overpayments are not trivial sums, and the disclosure route corrects the record cleanly, establishing the revised position with workings the Authority can verify. The alternative, leaving the error uncorrected, means the filed return continues to misstate the position, which complicates every later interaction with the Authority for that period.

There is no tax-difference penalty on an overpayment disclosure. Items 10 and 11 price the tax difference where tax was underpaid; where the correction reduces the liability, there is no underpaid difference to price. The flat AED 500 under item 9 for the incorrect filing itself can still apply, but that is the extent of the penalty exposure.

# Disclosure versus refund application

Two routes can lead to the money, and choosing between them depends on the situation. The voluntary disclosure corrects the return itself: the filed figures are replaced with the correct ones, and the resulting credit or refund follows from the corrected position. The refund application claims an amount without necessarily revisiting the whole return.

The disclosure route is stronger where the error is in the return's figures, because it fixes the underlying record. A refund application sitting on top of an uncorrected incorrect return leaves the inconsistency in place, which the Authority's verification may query. Where the return was correct and the refund arises another way, such as a credit balance from payments, the refund application is the natural route.

Note the asymmetry the law creates. An overstated refund claim triggers the mandatory disclosure duty and the item 11 penalties if undisclosed and found. An understated claim is optional and penalty-free on the difference. Review refund claims with at least as much care as returns; the direction of the error decides everything.

What the Authority verifies

Refund claims are verified against the return, the payments ledger and the supporting evidence. Expect questions before payment; refunds are the most scrutinised outflows in the system.

# Making the claim stick

A successful overpayment disclosure looks like an underpayment disclosure with the signs reversed: the return as filed, the corrected computation with full workings, the evidence behind the correction, and a clear narrative of what went wrong. The reviewer needs to be able to agree the corrected figures, not just to understand the story.

Timing still matters, though for different reasons. There is no 15 percent surcharge threatening an overpayment disclosure, but limitation periods bound how far back corrections and refund claims can reach. An overpayment discovered in year six for a year-one period may be beyond recovery regardless of how well it is documented. Discover and disclose promptly; the limitation clock does not wait for you to get organised.

After the disclosure is accepted, monitor the ledger. The credit should appear on the EmaraTax corporate tax account, available to offset other liabilities or to be refunded on application under Article 50. If the credit does not appear, follow up with the submission receipt rather than assuming the system will catch up.

  1. Quantify the overpayment precisely

Recompute from source documents; the claim stands or falls on the workings.

  2. Choose disclosure or refund application

Disclosure corrects the return; the refund application claims without revisiting it.

  3. File with full evidence

Return as filed, corrected figures, workings, supporting documents.

  4. Monitor the ledger for the credit

Confirm the credit lands on the EmaraTax account and apply for the refund if needed.

FAQ Answers to the questions people actually ask

Frequently asked questions

I overpaid corporate tax in the UAE. How do I get it back?

File a voluntary disclosure correcting the return, or submit a refund application. Disclosure is optional for overpayments, not mandatory, and there is no tax-difference penalty. Support the claim with full workings recomputed from source documents, then monitor the EmaraTax ledger for the credit and apply for the refund.

Is there a penalty for disclosing an overpayment?

No tax-difference penalty applies where the correction reduces the liability, since items 10 and 11 price underpaid differences. The flat AED 500 under item 9 for the incorrect filing itself can still apply. The disclosure is optional, so there is no penalty for the error beyond the filing itself.

What is the difference between a voluntary disclosure and a refund application?

A voluntary disclosure corrects the return's figures, fixing the underlying record, while a refund application claims an amount without necessarily revisiting the return. Use disclosure where the return's figures were wrong; use the refund application where the return was right and the refund arises another way, such as a payment credit balance.
