Corporate Tax Guide for Independent Consultants

UAE corporate tax for independent consultants: the AED 1M threshold, day-rate income, deductions, retainers, and filing essentials.

consultant corporate tax uae

An independent consultant in the UAE is a natural person carrying on business, so corporate tax applies once annual turnover exceeds AED 1 million. Day rates, retainers, success fees, and expense recharges all count toward the threshold. Taxable income is taxed at 0% up to AED 375,000 and 9% above, after deducting genuine business costs. Register on EmaraTax when the threshold is crossed, file within nine months of year-end, and consider Small Business Relief up to AED 3 million of revenue for eligible periods.

# How Consultant Income Maps to the Tax Base

Every fee model a consultant uses is turnover: day rates, project fixed fees, monthly retainers, success and performance fees, training delivery fees, and recharged expenses where you act as principal. Disbursements you merely pass through as an agent — client-paid flights booked on the client's account in your name — may be excluded, but only with clear agency evidence; recharges with a markup are your turnover in full. At typical Gulf consulting rates, the AED 1 million threshold arrives quickly: AED 3,500 a day needs 286 billable days, and many consultants cross it by Q3. Track cumulative invoiced revenue monthly from January — consultants who discover the threshold in December have lost a year of planning.

Retainers need careful period allocation

A AED 30,000 monthly retainer covering December to January belongs partly to each calendar year. Allocate retainer income to the period the services cover, not the invoice date, so threshold years are measured accurately.

# Deductions Consultants Commonly Miss

Consultants under-claim because their costs feel invisible. Claimable: professional indemnity and liability insurance, professional memberships and certifications, CPD and training, research subscriptions and databases, home office apportionment, business travel to client sites, co-working or meeting-room hire, subcontracted specialists, and accountancy fees. Commonly missed: the business portion of mobile and internet, reference books and standards, client entertainment within the 50% limit, and depreciation on the laptop-and-peripherals stack. Not claimable: commuting to a regular client site that functions as your workplace, personal development with no business connection, and fines. Review the list annually — consulting cost profiles change as practices mature.

# Structuring Engagements Tax-Efficiently

Structure is set at the proposal stage, not at year-end. Contract as a business, not an individual: your licence name on the SOW, your TRN on the invoice once registered, payment to the business account. Separate fees from recharges explicitly in proposals so pass-through costs do not inflate your turnover test unnecessarily. For long engagements, consider milestone billing that smooths cash flow across threshold years — legitimate commercial timing, not manipulation, where the work genuinely spans periods. If a single client dominates your book, assess the employment-vs-consultancy substance: genuine independent consultants control how, when, and where they work, serve multiple clients, and bear commercial risk. A 'consultant' who is really an employee creates problems for both parties.

# Filing, Relief, and the Annual Rhythm

Once over the threshold: register on EmaraTax, keep five years of records, and file the corporate tax return by 30 September for the calendar year. Elect Small Business Relief in the return for any eligible period with revenue at or below AED 3 million — for many consultants this zeroes the bill through 2026. Run a fixed annual rhythm: January reconciles the prior year and confirms threshold status; quarterly reviews check the current year's trajectory; September files and pays; December does tax planning for the year ahead — timing of major purchases, retainer renewals, and any rate changes. Consultants sell foresight to clients; the annual tax rhythm is foresight applied to your own practice.

Plan for 2027 now

With Small Business Relief legislated through 2026 tax periods, model your 2027 position on the normal 0%/9% computation. A consultant with AED 1.5 million revenue and AED 400,000 of costs should know that number this year, not discover it at filing.

FAQ Answers to the questions people actually ask

Frequently asked questions

I consult for one client full-time remotely. Am I still a freelancer for tax?

If the substance is independent — you control delivery, bear commercial risk, and could serve others — yes. But full-time single-client arrangements attract employment-substance questions; document your independence and consider diversifying.

Are success fees taxed differently from day rates?

No — all fee types are business turnover. Success fees only differ in timing: recognise them when the entitlement crystallises under your accounting basis, and plan for the lump crossing thresholds in a single year.

Can I pay myself a salary from my freelance practice to reduce tax?

As a natural person you cannot employ yourself — drawings are not deductible. The salary-vs-dividend question only arises once you operate through a company, where the analysis is entirely different.

My clients are all abroad. Do I still register for corporate tax at AED 1 million?

Yes. The corporate tax threshold counts worldwide business turnover regardless of client location. Foreign clients affect your VAT analysis — often zero-rated — not your corporate tax threshold.
