Bilateral vs Unilateral APAs: Which Protects You Better?
Unilateral vs bilateral APAs compared: scope, double tax protection, timelines and cost. UAE: unilateral APAs open now, bilaterals later.
unilateral vs bilateral apa
A unilateral APA is agreed between a taxpayer and one tax authority, binding only that country's treatment of the covered transactions. A bilateral APA is negotiated between two countries' competent authorities under a tax treaty and binds both, eliminating double taxation through corresponding adjustments. Bilaterals take longer but give complete protection. The UAE's programme is currently unilateral-only: domestic UAPA applications opened in December 2025, cross-border unilateral APAs are expected in 2026, and bilateral and multilateral APAs arrive in later phases.
Basis: OECD
- Unilateral APA scope
- A unilateral APA binds only the tax authority that signs it; the treaty partner's tax treatment of the same transactions remains open to audit and adjustment.
- Bilateral APA mechanism
- A bilateral APA is concluded between competent authorities under a tax treaty's mutual agreement procedure article and binds both countries.
- UAE availability
- The UAE's APA programme is currently unilateral-only: domestic UAPA applications have been accepted since December 2025, with cross-border unilateral APAs expected in 2026. Bilateral and multilateral APAs follow in later phases.

# What a unilateral APA is
A unilateral APA is a deal between you and one tax authority. You agree the transfer pricing method for your covered transactions, and that authority commits not to adjust them while the APA runs, provided you honour its terms. The attraction is speed and simplicity: one authority, one negotiation, lower cost.
The limitation is structural. The other country involved in the transactions is not a party to the agreement. It can audit the same transactions, apply a different method, and adjust the price from its side, leaving the same profit taxed in both countries. A unilateral APA can even make this worse: the agreed outcome with one authority becomes evidence the other authority can pick apart.
Unilateral APAs suit businesses whose transfer pricing risk sits mainly in one country, for example where the counterparty jurisdiction rarely audits or where treaty protection already handles the other side. For genuinely two-sided cross-border flows, they are a half-solution. Our advance pricing agreement explainer covers the underlying concept.
That unilateral character is exactly what the UAE currently offers. Under the FTA's Corporate Tax Guide on Advance Pricing Agreements (CTGAPA1), released 30 December 2025, the programme starts with unilateral APAs: domestic UAPA applications have been accepted since December 2025. A UAE unilateral APA binds the FTA and the domestic taxpayer; it is not applicable beyond the UAE's jurisdiction, so the treaty partner's position on the same transactions stays open.
# What a bilateral APA is
A bilateral APA brings both countries to the table. The taxpayer applies to both competent authorities, which negotiate with each other under the mutual agreement procedure article of their tax treaty until they converge on a single arm's length outcome. Both countries then implement it, with corresponding adjustments ensuring the same profit is not taxed twice.
This is comprehensive protection: method certainty plus double-tax elimination in one instrument. It is also slower and more expensive, typically taking two to three years to conclude, because two bureaucracies with different interests must agree. Information demands are heavier, and the taxpayer sits outside the authority-to-authority negotiation.
Multilateral APAs extend the logic to three or more countries, useful for regional principal structures spanning several treaty partners. They are powerful but rare, because each additional authority multiplies the negotiation complexity. For the mechanics of double-tax relief, see our pages on corresponding adjustments and the mutual agreement procedure.
For UAE groups, this is the future, not the present. The FTA's phased rollout brings bilateral and multilateral APAs only in later phases, once the programme matures. Until then, cross-border flows covered by a UAE unilateral APA get method certainty at home but no double-tax protection abroad.
| Dimension | Unilateral APA | Bilateral APA |
|---|---|---|
| Countries bound | One | Two (multilateral: three or more) |
| Double tax relief | No | Yes, via corresponding adjustments |
| Typical timeline | 12-24 months | 24-36 months |
| Cost | Lower | Higher |
| Negotiation forum | Taxpayer and one authority | Competent authorities via MAP article |
| Best for | Single-country risk | Two-sided cross-border flows |
# Which should a multinational choose?
For most multinational groups, the bilateral APA is the better instrument whenever both countries run APA programmes and the transaction volume justifies the cost. It answers the whole question rather than half of it. The OECD encourages bilateral APAs for exactly this reason.
A unilateral APA makes sense in narrower cases: where the counterparty jurisdiction has no effective audit capacity, where the amounts are modest, or as an interim step while a bilateral application is prepared. Some groups also use unilateral APAs to establish a method they later take into bilateral negotiations.
The decision factors are practical: transaction materiality, the audit aggressiveness of each country involved, whether a tax treaty with a MAP article exists, and the cost of the application against the value of certainty. Walk through the APA application process to see what each route demands in practice.
# What this means for UAE groups today
Domestic unilateral APAs are now available. Since December 2025, UAE groups with material controlled transactions can seek binding certainty from the FTA through the CTGAPA1 process: mandatory pre-filing consultation, formal application, evaluation, agreement, and annual compliance reports. The AED 100 million materiality indicator and the three-to-five tax period term set the practical boundaries.
Cross-border unilateral APAs are expected in 2026, on a date the FTA has yet to announce. Even then, a unilateral APA binds only the FTA and the domestic taxpayer, so double taxation risk on the treaty partner's side remains until bilateral APAs arrive in a later phase.
For double taxation that has already arisen, the mutual agreement procedure under the relevant UAE tax treaty remains the tool. For method certainty today, eligible groups should move through pre-filing now; groups below the threshold should keep documentation at APA-application standard so they are ready as the programme expands.

Frequently asked questions
Can the UAE sign a bilateral APA with another country today?
No. The UAE's current programme is unilateral-only under CTGAPA1, and bilateral APAs arrive in a later phase. A bilateral APA requires both countries' competent authorities to operate APA processes and negotiate with each other. UAE groups facing double taxation today must use the mutual agreement procedure under the relevant tax treaty instead.
Which is better: unilateral or bilateral APA?
For most cross-border groups, the bilateral APA is better because it solves the whole problem: both countries agree the pricing, so no double taxation arises. A unilateral APA is cheaper and faster but leaves the other country's position open, meaning you can win certainty at home and still face an adjustment abroad.
Does a bilateral APA prevent double taxation?
Yes, that is its main advantage. Because both competent authorities agree the arm's length outcome, the treaty partner makes a corresponding adjustment that offsets the primary adjustment. The same profit is not taxed twice. Unilateral APAs offer no such protection.
If the UAE launches a programme, which APA type would come first?
The UAE has already launched its programme, and it followed the expected sequencing: unilateral APAs first, since they need only domestic legal footing under Article 59 of Federal Decree-Law No. 47 of 2022. Domestic UAPA applications opened in December 2025, cross-border unilateral APAs are expected in 2026, and bilateral and multilateral APAs follow once competent-authority capacity is built.
