VAT Registration for Free Zone Companies in the UAE

Free zone companies register for UAE VAT at AED 375,000 mandatory and AED 187,500 voluntary. Learn the threshold calculation, TRN process and common errors.

free zone company vat registration threshold

A free zone company registers for UAE VAT under the standard rules: mandatory registration when taxable supplies and imports exceed AED 375,000 in the previous 12 months or are expected to in the next 30 days, voluntary registration from AED 187,500. Registration is with the Federal Tax Authority through its e-services, and the TRN, invoicing and return obligations are identical to mainland businesses.

# The thresholds apply in full

Nothing about a free zone licence moves the registration thresholds. The mandatory threshold is AED 375,000 — measured on taxable supplies and imports over the previous 12 months, or expected in the next 30 days — and the voluntary threshold is AED 187,500. Cross the mandatory threshold and registration is obligatory; the FTA backdates late registrations and penalises the delay.

Taxable supplies for the threshold test include standard-rated and zero-rated supplies; exempt supplies do not count. Imports of goods and services count. A free zone trading company with AED 300,000 of zero-rated exports and AED 100,000 of domestic sales crosses the mandatory threshold on the combined AED 400,000.

Free zone businesses sometimes exclude export sales from the calculation on the theory that exports are outside the system. They are not: zero-rated supplies are taxable supplies. This single misunderstanding causes a large share of late-registration cases.

# What counts for free zone businesses in practice

For a services business in a free zone — consultancy, marketing, IT — the calculation is simple: fee income from taxable supplies, wherever the clients are, subject to the place-of-supply analysis. Services with a non-UAE place of supply are outside the scope of UAE VAT and do not count; services supplied in the UAE do.

For a goods trader in an ordinary free zone, domestic and export sales of goods count, and imports count. For a trader in a Designated Zone, within-zone goods movements that the law disregards do not count, but services and State-side supplies do — the calculation needs the split documented.

Document the computation with a dated schedule showing each category counted or excluded and the legal basis. If the FTA queries the registration date, this schedule is the defence.

# The registration process and TRN

Registration runs through the FTA's e-services portal: the application, supporting documents — trade licence, passport and Emirates ID copies of the authorised signatory, bank details, and financial evidence — and then the Tax Registration Number on approval. Processing times vary; apply before the deadline, not on it.

On registration the business must start charging VAT on taxable supplies, issuing tax invoices with the TRN, and keeping the full VAT records. The TRN appears on every tax invoice and on the VAT returns. There is no separate free zone VAT number or procedure.

Businesses that should have registered earlier face the backdated obligation: output tax from the date the threshold was crossed, plus penalties. Voluntary disclosure of a late registration is treated better than discovery in an audit, but neither is cheap — which is why the threshold analysis belongs before trading starts.

# Groups, deregistration and ongoing position

Free zone companies can join VAT tax groups with related UAE entities where the control conditions are met, filing a single return and disregarding intra-group supplies. Groups are common where a free zone holding company sits above operating entities.

Deregistration follows the normal rules: apply when taxable supplies fall below the voluntary threshold or the business stops making taxable supplies, and account for VAT on assets on hand where required. Deregistration is not automatic when a licence is cancelled — it needs an application.

Revisit the threshold position at least annually, and whenever the business model changes. A services business that starts selling goods, or a trader that starts importing directly, can cross the threshold faster than its forecasts suggest.

# Registration timeline: a worked example

A free zone marketing agency starts trading in January with AED 30,000 monthly fees. By October, twelve-month turnover is AED 300,000 — below the mandatory threshold. In November it signs a AED 100,000 project: the 30-day forward test now shows expected taxable supplies exceeding AED 375,000, triggering mandatory registration. The deadline runs from the date the expectation arose — not from year-end, not from when the invoice is paid.

The agency registers in December, a month late. The FTA backdates the obligation to November: output tax on November and December supplies is due, plus the late-registration penalty. Had the agency run the forward test when signing the contract, registration would have been timely and the penalty avoided.

The lesson generalises: the threshold is monitored on a rolling basis with a forward look, and large contracts trigger the analysis at signing. Free zone businesses with lumpy revenue — agencies, consultancies, project traders — should calendar a monthly threshold check and a contract-signing check. Registration timing is a process, not an annual event.

FAQ Answers to the questions people actually ask

Frequently asked questions

What is the VAT registration threshold for a free zone company?

The same as any UAE business: AED 375,000 mandatory on taxable supplies and imports, AED 187,500 voluntary. The free zone licence does not change the thresholds. Monitor the threshold monthly on a rolling 12-month basis plus the 30-day forward look — large contracts trigger the test at signing.

Do zero-rated exports count towards the threshold?

Yes. Zero-rated supplies are taxable supplies and count in full. Only exempt supplies and out-of-scope supplies are excluded. Late registration is backdated to the threshold date: output tax from that date plus penalties, not from when the FTA notices.

How does a free zone company register?

Through the FTA's e-services portal, with the trade licence, identification documents and financial evidence. The TRN, invoicing and return obligations are identical to mainland businesses. Voluntary registration suits input-VAT-heavy businesses, but it brings the full compliance load — weigh recovery against administration.

Can a free zone company join a VAT tax group?

Yes, where the control conditions are met. The group files a single return and disregards intra-group supplies. Deregistration needs an application when due: it is not automatic on licence cancellation, and assets on hand may need VAT accounted.
