Audit
Do IFZA Companies Need an Audit?
IFZA now asks for financial statements at every licence renewal. Whether they must be audited depends on two tests, and corporate tax can override the answer.
do ifza companies need audit
It depends on size. As of October 2026, every IFZA FZCO and branch must submit financial statements when it renews its trade licence, a rule IFZA applied from 30 September 2025. A company with turnover of AED 3 million or less and no more than nine employees at any point in the year may file IFZA's simplified financial statement template instead of an audit. If either test is failed, full audited financial statements are required, and any registered UAE auditor may sign them. A company claiming Qualifying Free Zone Person status still needs audited statements for corporate tax.

# What IFZA changed in 2025
For years, IFZA (the International Free Zone Authority in Dubai Silicon Oasis) was described by setup agents as a zone with no audit requirement. That changed with IFZA's Licence Renewal Process Requirements, published as a set of FAQs in August 2025.
According to that document, every IFZA licensee, whether an FZCO or a branch, must submit financial statements as part of its trade licence renewal. The rule took effect from 30 September 2025. A company that renewed before that date did not have to submit statements for that cycle, but must do so at its next renewal. The requirement then repeats every year at renewal.
The statements must cover the most recently completed financial year as of the renewal date. Your financial year is the one chosen at incorporation and written into your Articles of Association; IFZA's FAQ points to section 75 of the standard Articles. If your licence renews in March and your year ends on 31 December, the renewal in March 2026 needs the statements for the year ended 31 December 2025.
# Simplified statement or full audit: the two tests
IFZA's FAQ 06 sets two criteria. A company qualifies for the simplified financial statement only if it meets both:
- annual turnover for the completed financial year is equal to or below AED 3 million; and
- it had nine employees or fewer at any point during that year.
If either test is failed, full audited financial statements are required. IFZA defines an employee as any individual working under an executed employment contract, whether sponsored by the company or not, who works under its supervision and contributes to its operations. Turnover means the gross income from all business activities in the year, measured on market principles similar to corporate tax.
The simplified statement must be prepared on the IFZA-provided template; no other format is accepted. Statements, simplified or audited, must be signed electronically by an authorised signatory (manager, director or shareholder) and uploaded through the electronic form shared during renewal.
Watch the headcount test. A company with turnover of AED 1 million that briefly had ten staff during a project still fails the test and needs an audit, even though it is small by revenue.
# Which accounting standard to use
IFZA's FAQ 05 lines its accounting standards up with the corporate tax rules in Ministerial Decision No. 114 of 2023:
- Turnover of AED 3 million or less: cash basis of accounting.
- Above AED 3 million but below AED 50 million: IFRS for SMEs.
- Above AED 50 million: full IFRS.
Note the overlap with the audit tests. A company with turnover of AED 2.5 million but twelve employees uses the cash basis for its statements yet still needs them audited. Make sure your auditor is comfortable reporting on the basis used, and that your bookkeeping can produce statements on that basis.
Where a company already holds audited statements prepared for the Federal Tax Authority for the latest year, IFZA's FAQ 14 confirms they may be submitted for renewal. There is no need for a second set.
# When corporate tax requires an audit anyway
IFZA's simplified route only answers what the free zone wants at renewal. Corporate tax has its own test under Ministerial Decision No. 84 of 2025. Audited financial statements are required for:
- any taxable person with revenue above AED 50 million in the tax period;
- any Qualifying Free Zone Person, whatever its revenue; and
- every tax group, for tax periods starting on or after 1 January 2025.
Many IFZA companies claim the 0% rate as a Qualifying Free Zone Person. If yours does, you need audited statements for corporate tax even if your turnover and headcount would allow IFZA's simplified template. In that case, prepare one audited set and use it for both the FTA and the IFZA renewal. A company that does not claim QFZP status, has revenue under AED 50 million, and is not in a tax group can rely on the simplified statement if it meets both IFZA tests.
# Three worked examples
Each example assumes a 31 December year end and a renewal in 2026.
- Consultant FZCO, turnover AED 900,000, two employees, not claiming QFZP: meets both IFZA tests, so it files the simplified template on the cash basis. No audit is needed for IFZA or for corporate tax.
- Trading FZCO, turnover AED 2.8 million, eleven employees at peak, not claiming QFZP: passes the turnover test but fails the headcount test, so full audited statements are required at renewal, prepared on the cash basis that applies at that turnover.
- Holding FZCO, turnover AED 400,000, no staff, claiming QFZP status: qualifies for IFZA's simplified template, but corporate tax requires audited statements for a Qualifying Free Zone Person, so it prepares one audited set and files it with both IFZA and the FTA.
# Renewal checklist for IFZA companies
- Find your financial year in your Articles of Association and your next licence renewal date.
- Calculate turnover for the last completed year and check your peak headcount under IFZA's employee definition.
- Decide whether you claim QFZP status, are in a tax group, or exceed AED 50 million in revenue. If any applies, plan an audit regardless of IFZA's tests.
- If you qualify for the simplified route, download IFZA's template and prepare it on the correct accounting basis.
- If you need an audit, engage a UAE-registered auditor early. IFZA does not run an approved panel, but check the auditor's Ministry of Economy and Tourism registration.
- Have an authorised signatory sign electronically, then upload through the renewal form.
Start at least two to three months before renewal if an audit is needed. A late audit can hold up the licence renewal, which in turn affects visas and bank accounts.
