JAFZA Audit Requirement for FZE and FZCO Companies
Jebel Ali Free Zone companies must file an audited report with the Authority every year. Here is what JAFZA's own guides say about the auditor, the filing steps and what they leave unstated.
jafza audit requirement
Yes. As of October 2026, JAFZA's official guide says every FZE and FZCO must provide an updated audit report to the Authority annually. The company appoints its auditor by resolution, and the report must be issued by an auditor holding a Dubai economic department licence. Filing is an online service request on the Dubai Trade portal, followed by the original report and an auditor-signed summary sheet. JAFZA's published guides do not give a filing date or a penalty and do not list the audit as a licence renewal document, so confirm your date with JAFZA. QFZP companies also need audited statements for corporate tax.

# Is an audit mandatory in JAFZA?
Yes. JAFZA's official guide Audit Report Submission (FZE and FZCO), published on jafza.ae in May 2024, states that FZE and FZCO establishments must provide an updated audit report to the Authority annually. The guide sets no turnover or size threshold, so a small trading FZE files on the same basis as a large logistics FZCO.
The guide adds three conditions that shape the audit before it starts:
- each company must pass a resolution appointing the auditor who will prepare the audit report;
- the report should be issued only by an auditor who holds a Dubai economic department licence (the department is now the Department of Economy and Tourism, DET);
- the financial year should be no shorter than six months and no longer than eighteen months.
The binding rules sit in the Jafza Companies Implementing Regulations 2016, which JAFZA lists on its Rules and Regulations page alongside the Jafza Rules (9th edition, 2023). The guide covers FZE and FZCO entities. If you hold a branch of a UAE or foreign company, or a Jafza offshore company, the guide does not address you directly; ask the Commercial Registrar what applies to your entity type and keep the reply on file.
# Which auditors can sign a JAFZA audit?
The official requirement in JAFZA's guide is a licensing one: the audit report must come from an auditor holding a Dubai economic department licence.
Many advisers describe a JAFZA approved auditors list. We could not find such a list published on jafza.ae, and the guide itself does not mention one. Before you engage a firm, do two checks:
- ask for a copy of the firm's current Dubai (DET) auditing licence and confirm it covers the signing partner;
- ask JAFZA's Commercial Registrar whether the firm is accepted for JAFZA filings, and keep the written answer.
A company claiming the 0% rate also needs audited statements for corporate tax, so choose one firm whose report you can file with both JAFZA and the FTA. Our approved auditors by free zone page compares how each zone handles auditor approval, and choosing an auditor in a Dubai free zone covers what to ask a firm.
# How to submit the audit report
Filing is done through the Dubai Trade portal. JAFZA's guide and its e-Financial Statement Submission Guide describe the steps:
- Log in to dubaitrade.ae with an admin or sub-user account that the company administrator has given portal access.
- Under Registration, choose the option to submit a financial statement for approval and create a new request.
- Select the year or period being submitted. Unsubmitted, incomplete or rejected years appear in a pending list.
- Fill in the audited summary sheet figures and verify the company's net worth against free zone requirements.
- Hand over the original audit report and the summary sheet. The guide says a courier collects them from the registered address; the e-submission guide warns that the request is rejected if the physical copy does not reach JAFZA within two weeks.
Documents: the summary sheet must be stamped and signed by the auditor, and the audit report signed by the FZE or FZCO manager under the company stamp. Write the service request number and a contact name on the summary sheet, and use the latest summary sheet format.
The published fee in the guide is AED 10 within the free zone and AED 20 outside it, with processing of three working days plus one day outside Jafza; check the current fee on the portal. If the net worth check shows low net worth, the e-submission guide says to contact the Commercial Registrar immediately with an action plan.
# Deadline, licence renewal and penalties
JAFZA's published guides are silent on three points owners often ask about, so do not rely on figures quoted by third parties without checking.
- Deadline. The Audit Report Submission guide says the report is due annually but gives no date. The governing text is the Jafza Companies Implementing Regulations 2016. JAFZA's e-submission guide notes that the portal sends automated reminders by email and SMS, which is a useful prompt but not a substitute for knowing your date. Ask the Commercial Registrar for the deadline that applies to your year end.
- Licence renewal. JAFZA's Renew License guide lists only an Operational Fitness Certificate copy (except offices and workstations) as the renewal document for an FZE or FZCO. The audit report is a separate annual filing, not a renewal document. The same guide states an AED 1,000 fine for delay in renewing an expired licence; that fine is for late renewal, not for a late audit.
- Penalty for not filing. The audit guide does not state a fine for late or missing audit reports. We have not found one in an official JAFZA source, so we do not quote a figure.
Our free zone audit deadlines page tracks which zones publish a date.
# Corporate tax: when the FTA also needs audited statements
The JAFZA filing is a free zone requirement. Corporate tax runs its own test under Ministerial Decision No. 84 of 2025, which applies to tax periods starting on or after 1 January 2025 and repealed Ministerial Decision No. 82 of 2023. Audited financial statements are required for any taxable person with revenue above AED 50 million, for every Qualifying Free Zone Person at any revenue, and for tax groups.
Most JAFZA FZEs and FZCOs that claim the 0% rate are Qualifying Free Zone Persons, so they need audited statements for corporate tax anyway. The sensible approach is one audited set that serves both purposes:
- appoint a DET-licensed auditor by resolution early in the year;
- agree with the auditor how qualifying and non-qualifying income will be shown, since the FTA and JAFZA will read the same statements;
- file the report and summary sheet with JAFZA through Dubai Trade;
- use the same statements for the corporate tax return, due nine months after the end of the tax period (see the filing deadline guide).
For the wider tax position of a Jebel Ali company, see JAFZA corporate tax, and for record keeping, bookkeeping in JAFZA.

Frequently asked questions
Is audit mandatory for JAFZA companies?
Yes. JAFZA's guide says FZE and FZCO establishments must provide an updated audit report to the Authority every year.
Does JAFZA have an approved auditors list?
JAFZA's official guide requires an auditor holding a Dubai economic department (now DET) licence and does not mention a list; we found none published on jafza.ae, so confirm acceptance with the Commercial Registrar.
How do I submit my audit report to JAFZA?
Raise a financial statement submission request on the Dubai Trade portal, enter the summary sheet figures, then deliver the original report and auditor-signed summary sheet within two weeks.
Is the audit report needed to renew a JAFZA licence?
JAFZA's Renew License guide does not list it; for an FZE or FZCO it lists only an Operational Fitness Certificate copy. The audit report is a separate annual filing.
What is the JAFZA audit submission deadline?
JAFZA's published guides do not state one. Ask the Commercial Registrar for the date that applies to your year end and keep the reply.
