SPC Free Zone Audit Requirement
SPC Free Zone audit requirement: what Sharjah Publishing City says about audited accounts at renewal, who can audit, inspections and the QFZP tax rule.
spc free zone audit requirement
Yes, plan for an annual audit. The SPC Free Zone audit requirement comes from SPC's own published guidance: as of October 2026, SPC Free Zone (Sharjah Publishing City) states that audited accounts are generally required at licence renewal regardless of company size, and it lists audited financial statements among renewal documents. SPC has not published a companies regulation setting a filing deadline or an approved auditor list, so confirm the current renewal checklist with SPC before your renewal date.

# What SPC Free Zone says about audits
A company claiming Qualifying Free Zone Person status needs audited financial statements every year for corporate tax under Ministerial Decision No. 84 of 2025, whatever its revenue.
SPC Free Zone is the free zone authority at Sharjah Publishing City, established in 2017 by decree of the Ruler of Sharjah according to its entry in the Ministry of Economy registrars directory. Unlike Shams or Meydan, SPC does not publish a companies and licensing regulation on its rules and regulations page. That page carries UBO, KYC, DNFBP and AML documents only. The audit position therefore comes from SPC's own published guidance.
- SPC's 2026 business compliance checklist (updated 24 September 2026) states that many free zones, including SPC Free Zone, require audited accounts as part of the licence renewal process.
- In the same article's FAQ, SPC answers the question whether it requires audited accounts every year even for a small business: audited accounts are generally required at licence renewal regardless of company size.
- SPC's licence renewal fees guide (updated 1 October 2026) lists audited financial statements among the documents submitted with a renewal.
Treat this as SPC's current stated practice rather than a regulation. The word 'generally' leaves room for exceptions, so ask SPC in writing whether your licence type and year need audited accounts at renewal.
# Deadline and timing against renewal
SPC does not publish a number of days after year end for audited accounts. Because SPC ties them to renewal, the practical deadline is your licence renewal date: the audited statements for the last completed financial year need to be signed before you apply to renew.
That date sits alongside two federal dates:
- the corporate tax return, due nine months after the end of the tax period;
- for a QFZP distributing goods in or from a Designated Zone, the agreed-upon procedures report under FTA Decision No. 6 of 2026.
Work backwards from the earliest. A company with a 31 December year end and a licence renewing in March has roughly two months after year end to close its books and complete the audit, which is much tighter than the tax deadline. A company renewing in October has more room, but the tax return is then due first.
See free zone audit deadlines 2026 for how other zones set their dates.
# Who can audit an SPC company
We found no list of approved auditors published by SPC Free Zone. SPC's own value-added service page for a financial audit report describes the audit as an independent assessment carried out by an accountant certified by the Ministry of Economy. Some audit firms say they are 'SPC approved' or that a Sharjah licence is needed as well; those are the firms' own claims and we could not confirm them from SPC.
Practical steps:
- Check that the firm and signing partner are on the Ministry of Economy auditor register, which regulates the profession under Federal Decree-Law No. 41 of 2023.
- Ask SPC whether it keeps a list of auditors it accepts for renewal, and get the answer in writing.
- Agree the reporting framework with the auditor. If you claim QFZP status, tell the auditor so the statements also meet the FTA's requirements.
SPC offers an audit report through its SPC Plus service at a published fee of AED 3,000 with a stated 14 business day turnaround (as of October 2026; check SPC for current terms). You are not required to use it. See approved auditors by free zone for other zones.
# Inspections and what happens if you do not comply
SPC does not publish a fine for missing audited accounts, and we do not quote one. What SPC does publish is its compliance inspection process. During an inspection it may ask for financial statements or records of accounts, along with the entity register, board minutes and proof of business activity. Companies must share the requested documents within 14 days of the inspection notice. Its rules page says failure can lead to enforcement under Cabinet Decision No. 132 of 2023, the federal UBO penalties decision.
The same page lists the consequences of non-compliance as written warnings, delays in processing company services or licence renewal, and administrative or financial penalties. In practice, the most direct risk from a missing audit is that your renewal is not processed. A licence that is not renewed affects visas, bank accounts and contracts, so the audit should never be the reason a renewal slips.
# Corporate tax: when the audit is not optional
Whatever SPC accepts at renewal, the federal rule is fixed. For tax periods starting on or after 1 January 2025, Ministerial Decision No. 84 of 2025 requires audited financial statements for:
- every Qualifying Free Zone Person, at any revenue;
- any taxable person with revenue above AED 50 million;
- every tax group.
Ministerial Decision No. 82 of 2023 applied to earlier tax periods. If your SPC company claims the 0% rate, you need an audit for tax even in a year when SPC might not ask for one. Corporate tax records must be kept for seven years, so keep the audited statements and working papers with your tax file. Commission one audit that serves both the FTA return and the SPC renewal. Our SPC Free Zone cost and corporate tax guide covers QFZP conditions and VAT for SPC companies.
# SPC renewal audit checklist
- Note your financial year end and your licence renewal date, and count the weeks between them.
- Ask SPC in writing whether your renewal needs audited statements, for which year, and whether it accepts any auditor on the Ministry of Economy register.
- Decide whether you claim QFZP status, are in a tax group or expect revenue above AED 50 million. If so, an annual audit is required for tax regardless of SPC's answer.
- Appoint the auditor early and agree a timetable that finishes before renewal and before the corporate tax return deadline.
- Keep invoices, bank statements, contracts and a fixed asset register in order, so the same records can also answer an SPC compliance inspection within 14 days.
- File the signed audited statements with the renewal, and keep a copy with your corporate tax records.
