Register a company in Dubai from Hungary: the founder's path

Register a company in Dubai from Hungary: formation steps, free zone vs mainland, honest cost ranges, residence visa, bank account and the tax checklist.

register company in dubai from hungary

A Hungarian national can register a Dubai company without UAE residence: choose a free zone for export or holding activity or the mainland for UAE domestic trade, reserve the name, get approval, sign the memorandum, take the licence, then open the bank account. Budget in honest indicative ranges, plan the residence-visa route if relocating, register for UAE corporate tax on EmaraTax from day one — and confirm your Hungarian residence position with counsel first, because citizenship alone can preserve it.

Basis: UAE Ministry of Finance

Formation is possible without UAE residence
A Hungarian national can hold 100% of a Dubai free-zone or mainland company and act as director without a UAE residence visa. Residence is needed only for an investor/partner visa, Emirates ID, or UAE tax-residence claims. The application can be completed from Hungary through a licensed service provider.
UAE free zone and mainland practice; non-resident formation guide
Typical formation timeline
Licence issuance typically takes one to three weeks once documents are complete; the residence visa adds roughly two to four weeks (entry permit, medical fitness, biometrics, Emirates ID); the corporate bank account is the longest variable at several weeks for foreign shareholders. Start banking the day the licence is issued.

Hungary–UAE double tax treaty
Signed 30 April 2013; Federal Decree (73) of 2014; in force 4 October 2014. Articles 11–13 tax dividends, interest and royalties exclusively in the state of residence — 0% source withholding for beneficial owners resident in the other state. No two-tier rates: the 15%/5% blog figures do not apply. The MLI applies (withholding provisions from 1 January 2022) with principal-purpose rules. Treaty benefits are claimed with a UAE Tax Residency Certificate.

UAE corporate tax and Small Business Relief
0% UAE corporate tax on taxable income up to AED 375,000, 9% above; every company must register on EmaraTax (AED 10,000 late-registration penalty). Small Business Relief: revenue at or below AED 3,000,000, elected in the tax return, available for tax periods ending on or before 31 December 2029. No UAE withholding tax on dividends, interest or royalties. If a Hungarian company owns the Dubai company, a 0% SBR election can fail Hungary's CFC half-rate test.
Federal Decree-Law No. 47 of 2022; Ministerial Decision No. 131 of 2026 (Small Business Relief extension)
Hungarian residence, exit-tax and CFC position for founders
Hungarian domestic law can treat citizens as tax residents on citizenship alone — moving to Dubai does not automatically end Hungarian tax residence. No personal exit tax on departure. CFC rules attach to Hungarian corporate taxpayers (over 50% control, foreign tax below half the Hungarian-calculated tax, genuine-activity escape). Resident individuals pay 15% personal tax plus a capped 13% social tax on dividends from the Dubai company.

# The short version: yes — and here is the whole path

A Hungarian national can own 100% of a Dubai company and be its director without ever becoming UAE resident. The practical path is short: pick the structure, reserve the name, get initial approval, sign the memorandum, take an office or flexi-desk, collect the licence, open the bank account. Everything below follows that order, with the Hungarian-specific wrinkles — the treaty, the citizenship-based residence test, the ownership-layer question, the bank's view of a Hungarian passport — flagged where they change a decision.

One framing note before the steps. Formation is the easy half. The tax half — whether Hungary still taxes you and the company after formation — is decided by your residence position and ownership layer, not by the licence on the wall. Hungary's domestic law can treat citizens as tax residents on citizenship alone, so physical departure does not automatically end Hungarian taxation. Read this page together with the companion tax guide, and get the Hungarian residence and ownership questions answered before you pay for a licence.

# Choose your structure: free zone, mainland or offshore

Three structures cover nearly every Hungarian founder's case. A free-zone company gives 100% foreign ownership, fast setup and packages built for services, trading, consultancy and holding activity — the right default for a founder serving clients outside the UAE or holding investments. A mainland company (licensed through Dubai's Department of Economy and Tourism) allows unrestricted trade inside the UAE domestic market — choose it if you will sell to UAE customers, open a shop, or bid for local contracts, because a free-zone licence does not cover domestic trade. An offshore-style company is a niche tool for holding assets with no UAE operations and no visa eligibility; most operating founders should ignore it.

Tax overlays the choice. A free-zone company can target Qualifying Free Zone Person status — 0% UAE corporate tax on qualifying income — but that demands adequate UAE substance, audited financials and transfer-pricing compliance. Small Business Relief (0% for revenue at or below AED 3,000,000, for tax periods ending on or before 31 December 2029) is available regardless of zone — with one Hungarian caveat: if a Hungarian company owns the Dubai company, electing 0% under SBR can fail Hungary's CFC half-rate test. Popular free zones for service and trading founders include IFZA, Meydan and DMCC, each with different package inclusions and visa quotas — compare what the package actually contains (licence, establishment card, flexi-desk, visa allocation) rather than the zone's brand name. Match the licence to your real activity first; the reliefs are elected afterwards, not the other way round.

# The eight steps from Budapest to a licensed Dubai company

Step one, choose the licence and activity: the activity code on the licence determines what the company may legally do, so describe your real business to the adviser rather than picking the cheapest package. Step two, reserve the trade name and get initial approval — the authority checks the name and your passport and confirms no objections.

Step three, sign the memorandum of association (and any shareholder resolution), which sets out ownership — as a Hungarian national you can hold 100%. Step four, secure premises: a flexi-desk or office that satisfies the licence's visa quota. Step five, pay the licence fees and collect the trade licence and establishment card.

From Hungary, all of this runs through a licensed service provider with powers of attorney and attested documents where required. Your passport needs to be valid, and you will need proof of your Hungarian address. One paperwork advantage: Hungary is a party to the Hague Apostille Convention, so Hungarian public documents (powers of attorney, certificates) can be apostilled in Hungary and recognised in the UAE without the old multi-stage consular legalisation chain. Some nationalities need security clearances for certain activities; ask your provider upfront whether your planned activity triggers one.

# Costs in honest ranges — never fixed fees

Honest ranges, not quotes — because no serious adviser will fix a price without knowing your activity, visa count and office needs. A first-year free-zone package commonly sits in a low five-figure AED range for a basic service licence with a flexi-desk; premium zones and larger visa quotas cost more. Mainland licences typically run higher than comparable free-zone packages once government charges are included.

On top of the package, budget per-person government and third-party charges: the establishment card, entry permit, medical fitness test, biometrics and Emirates ID together add several thousand AED per visa applicant. Document attestation, translations and courier from Hungary add a smaller but real line. Annual renewal is roughly in the same band as the first year minus one-off setup charges.

What not to do: do not pick a provider on headline price alone. Ask for an itemised written quote separating government fees from service fees, confirm what the first renewal will cost, and check that corporate tax registration support and bookkeeping are included or priced — the cheapest licence with no compliance support is the most expensive mistake on this page. Budget the second year too: renewals, any visa renewals, audit fees if you pursue Qualifying Free Zone Person status, and bookkeeping typically cost a similar order of magnitude to year one. A structure you cannot afford to maintain is worse than no structure.

# The residence visa: your route from Budapest to Dubai

If you plan to live in Dubai, the company sponsors your residence visa. The standard route: entry permit issued against the licence and establishment card, arrival in the UAE, medical fitness test, biometrics appointment, then Emirates ID issuance — commonly a two- or three-year investor or partner visa. Visa quotas are tied to the licence package and office size, so a one-visa flexi-desk package cannot sponsor a family of five.

Hungarian passport holders face no special UAE visa ban or restriction; the process is the standard one. Practical notes: keep your passport valid well beyond the visa term, plan the medical test early in your arrival window, and remember that the visa is what unlocks the Emirates ID, the local driving licence situation and — together with physical presence — a future Tax Residency Certificate claim. One timing tip for founders still in Budapest: you can complete the entry-permit stage remotely and fly in only for the medical and biometrics, compressing the in-country stay to a single short trip. Just make sure your entry permit is still valid on arrival — expired permits mean restarting that step.

If you do not plan to relocate, skip the visa entirely. A non-resident owner with no UAE presence pays for nothing visa-related and keeps the structure simpler — but also cannot claim UAE tax residence or treaty benefits that depend on it. One caution for future relocators: the visa gets you into the UAE, but it does not by itself end Hungarian tax residence — the citizenship-based residence test needs its own counsel answer.

# The corporate bank account: the longest queue in the process

Open the account the day the licence is issued, because this is the slowest step. UAE banks run full know-your-customer and anti-money-laundering checks on every shareholder and director, and a Hungarian passport means the standard international documentation set: passport, proof of Hungarian address, a bank reference letter, source-of-funds evidence, and the company's contracts or invoices showing genuine activity.

Substance evidence is what separates fast approvals from slow ones. A signed client contract, a lease or flexi-desk agreement, the memorandum of association and a short business plan do more for the application than any introducer's promises. Some banks ask for a minimum balance or a business-plan interview; digital-first banks and free-zone banking desks can be faster for simple service companies.

If one bank stalls, apply to a second in parallel rather than waiting months. And keep the company's money and your personal money strictly separate from the first dirham — commingled funds are an audit and banking red flag in both countries. For moving profits home, note that Hungary imposes no B2B withholding on outbound dividends, interest, royalties or service fees — but keep the underlying invoices and dividend resolutions filed so the trail is clean if it is ever questioned. The treaty's exclusive-residence taxation and the 15%-plus-capped-social-tax treatment described in the companion guide apply once the money moves.

# The tax checklist: UAE registration, VAT and bookkeeping

UAE registration first: every company registers for corporate tax on EmaraTax — late registration carries an AED 10,000 penalty, so do it in week one. If revenue stays at or below AED 3,000,000, elect Small Business Relief in the tax return for eligible periods ending on or before 31 December 2029 — but only after the Hungarian CFC analysis if a Hungarian company owns the Dubai company, because 0% under SBR can fail the half-rate test where 9% would pass. Targeting Qualifying Free Zone Person status means committing to audited financials and transfer-pricing documentation from the start.

VAT is separate: register within 30 days once taxable supplies and imports exceed AED 375,000 (voluntary from AED 187,500), issue compliant tax invoices, and note there is no VAT cash accounting scheme in the UAE — plan your cash flow on accrual accounting. Bookkeeping is mandatory from the first transaction; keep records for the statutory period and reconcile the Hungarian dividend and credit position if you remain Hungarian resident.

The Hungarian side: confirm your residence position and ownership layer with Hungarian counsel before formation — citizenship alone can preserve residence, so this is not a formality. If you stay resident, dividends fall at 15% plus the capped social tax; if a Hungarian company sits in the chain, diarise the CFC computation and the loss of the participation exemption on CFC dividends. If the formation year is also your departure year, treat it as a split-compliance year: Hungarian returns for the resident portion up to the departure date, and UAE registration from licence issuance. Transition years are where double reporting goes wrong, so have both advisers look at the same timeline before anyone files.

# Five mistakes Hungarian founders make — and how to avoid them

Mistake one: assuming the Dubai company is invisible to Hungary. If you remain Hungarian tax resident, the company's dividends land at 15% plus the capped social tax — and a Hungarian company in the chain can trigger CFC inclusion. The company does not need to do anything wrong for Hungary to tax you; residence alone is enough.

Mistake two: assuming moving to Dubai ends Hungarian tax residence. Citizenship alone can preserve it under Hungarian domestic law — departure without a counsel opinion on residence is the most Hungarian-specific error on this page. Mistake three: believing the blog-rate trap. The Hungary–UAE treaty taxes dividends, interest and royalties exclusively at residence; the 15%/5% two-tier figures some blogs publish do not apply — never price a payment on them.

Mistake four: electing UAE Small Business Relief to 0% and then failing Hungary's CFC half-rate test through a Hungarian parent. Run the Hungarian analysis before the UAE election. Mistake five: buying the cheapest licence with no compliance support and discovering at year-end that nobody registered the company for corporate tax, kept books, or tracked the SBR election. And the subtler sixth — treating a 0% UAE tax bill as the end of the story: with little or no foreign tax to credit, Hungary taxes the same profit at its own rates if you are resident. Model the combined Hungarian-plus-UAE rate before you celebrate the UAE one.

# A realistic timeline, end to end

Weeks one to two: Hungarian residence and ownership-layer opinions, provider selection with itemised quotes. Weeks two to four: name reservation, initial approval, memorandum signing, licence issuance. Weeks four to eight (in parallel): corporate tax registration on EmaraTax, bank account applications, and — if relocating — the visa process from entry permit to Emirates ID.

Months two to three: first invoices issued compliantly, bookkeeping live, VAT position assessed against the AED 375,000 threshold. Month twelve: first corporate tax return with the SBR election if eligible (after the CFC analysis), Hungarian year-end dividend and credit position if resident, and the annual review of whether the residence facts still match the plan.

Build the timeline backwards from any hard date — a client contract start, a school term, a Hungarian filing deadline — and add a month of buffer to the banking step. It is the step founders control least. A final sequencing note for Hungarian founders: do not deregister the Hungarian address or ship household goods until the licence is issued and the visa entry permit is approved. The formation risk is low, but sequencing an irreversible move ahead of a reversible approval is how founders end up paying rent in two countries while a document sits in a queue. Keep scanned copies of every approval in cloud storage — you will be asked for them again at banking, at visa medical, and at renewal.

# What this page assumes — stated openly

What this page states as fact: the formation steps, the ownership rules for foreign nationals, the UAE corporate tax and VAT thresholds, the Small Business Relief horizon, the treaty dates and its exclusive-residence-taxation design, the absence of a personal Hungarian exit tax, the corporate scope of the CFC rules, the 15%-plus-capped-social-tax dividend treatment, and the apostille position. What it does not state as fact: any specific fee (all costs are ranges and every provider quotes differently), the exact treaty outcome for your payment (confirm the article against the synthesised text, noting the MLI principal-purpose overlay), Hungarian domestic rates and thresholds (re-confirm against current law), KIVA eligibility thresholds (not verified in a primary source), and whether your personal facts end Hungarian tax residence — that is a counsel opinion, not a webpage. The companion tax guide carries the detailed treatment; this page gets you licensed.

  • Hungary–UAE double tax treaty — signed 30 April 2013; Federal Decree (73) of 2014; in force 4 October 2014 (UAE MoF register). Articles 11–13: exclusive residence-state taxation of dividends, interest and royalties — 0% source withholding for beneficial owners resident in the other state. The MLI applies (withholding provisions from 1 January 2022) with principal-purpose rules. The 15%/5% two-tier figures on some blogs do not apply to this treaty.
  • UAE corporate tax (Federal Decree-Law No. 47 of 2022) — 0% to AED 375,000, 9% above; mandatory EmaraTax registration with an AED 10,000 late-registration penalty (Cabinet Decision No. 75 of 2023); no UAE withholding tax on dividends, interest or royalties.
  • Free zone vs mainland — free zones allow 100% foreign ownership and suit export, holding and services activity, generally with 0% customs duty inside the zone; mainland licences allow unrestricted trade inside the UAE domestic market. Qualifying Free Zone Person status gives 0% UAE corporate tax on qualifying income subject to substance, audited financials and transfer-pricing compliance.
  • UAE Tax Residency Certificate — issued by the Federal Tax Authority; used to claim treaty benefits under the Hungary–UAE convention and commonly requested by UAE banks when residence is asserted.

FAQ Answers to the questions people actually ask

Frequently asked questions

Can I register a Dubai company from Hungary without moving there?

Yes. Neither free zones nor the mainland require UAE residence to hold shares or be a director of a newly formed company, and the whole application can be handled with a local service provider while you are in Hungary. You will need UAE residence only if you want an investor visa, an Emirates ID, or to become UAE tax resident and claim treaty benefits.

Should I choose a free zone or the mainland?

For most Hungarian founders, yes. Free zones offer 100% foreign ownership, fast setup and packages suited to services, trading and holding companies. Choose the mainland only if you plan to trade directly in the UAE domestic market — restaurants, retail, local contracting — where a free-zone licence would not cover you. Compare the packages against your actual activity before deciding.

How much does it really cost to set up?

Treat every published number as an indicative range, not a quote. A first-year free-zone package commonly falls in a low five-figure AED range before visas; government and third-party charges (establishment card, visas, medical, Emirates ID, attestations) add several thousand AED per person; and mainland licences typically cost more than comparable free-zone packages. Get itemised written quotes from two providers before committing.

How long does the whole process take?

Company formation typically takes one to three weeks once documents are in order. The residence visa adds roughly two to four more weeks (entry permit, medical, biometrics, Emirates ID). The corporate bank account is the longest variable — several weeks is normal for a foreign shareholder, so start it the day the licence is issued.

Is opening a corporate bank account hard with a Hungarian passport?

As a Hungarian-passport shareholder you should expect full international KYC: passport, proof of Hungarian address, a bank reference, source-of-funds evidence and the company's contracts or invoices showing real activity. UAE banks are strict on AML and substance. Having the licence, memorandum of association and a lease or flexi-desk agreement ready speeds things up materially.

What taxes apply if I keep living in Hungary?

The UAE side is simple — register for corporate tax on EmaraTax and, if eligible, elect Small Business Relief. The Hungarian side is where the planning lives: resident individuals pay 15% personal tax plus a capped 13% social tax on dividends from the Dubai company, and holding the company through a Hungarian company switches on the CFC rules. Confirm your residence position and ownership layer with Hungarian counsel before formation.

Does moving to Dubai end my Hungarian tax residence?

Not automatically. Hungarian domestic law can treat citizens as tax residents on citizenship alone, so physical departure does not necessarily end Hungarian tax residence — get a written counsel opinion and dismantle the permanent home, habitual abode and centre-of-vital-interests ties. There is no personal exit tax on leaving. If both countries claim you, the treaty's tie-breaker decides.
