UBO for Family Businesses: The Majlis and the Registers
UBO for family businesses: the generational holdings, the family council's role, and the control honestly assessed — explained.
family business ubo
Family businesses concentrate ownership — and informal control: the generational holdings — the parents, the children — the joint positions aggregated; the family council — the majlis deciding — the de facto control assessed; the succession — the generational transfer — the 15-day updates. The honesty: the patriarch's decisive influence — the control limb — named where it exists. The family business's UBO file respects the family — and records the reality.

# Generational holdings
The positions. The generations: the parents, the children, the grandchildren — the holdings per person — the aggregation where concerted. The vehicles: the family holding companies, the trusts — the chains computed. The lesson: the generational map — the holdings, the chains — the family ownership analysed.
# The family council's control
The influence. The majlis: the family council — the decisions — the de facto control. The patriarch: the decisive influence — the control limb — the honest naming. The assessment: the formal vs the real — the control recorded as exercised. The lesson: the informal control assessed — the council, the patriarch — the reality in the analysis.
# Succession and the file
The transfer. The generational: the shares passing — the 15-day updates — the cascade re-run. The planning: the succession structured — the UBO position orderly. The file: the family's — the respected, the recorded. The lesson: the succession updated, the file maintained — the family business's transparency.
# The family constitution and the UBO file
The family business with a constitution should align it with the UBO file. The constitution: the family council, the decision rights, the succession principles — the governance the UBO analysis reads. The alignment: the constitution's control provisions against the control-limb analysis — the reality consistent. The succession: the constitution's transfer rules — the 15-day updates on the generational moves. The disputes: the family disagreements — the registers recording the actual, the analysis noting the contest. The review: the constitution and the UBO file reviewed together — the family's governance and its transparency consistent. The aligned pair — the constitution and the UBO file — is the family business's governance complete.
# The governing law: Cabinet Decision No. 109 of 2023 replaced the 2020 regime
The current UAE beneficial-ownership framework is Cabinet Decision No. 109 of 2023 on the Regulation of Beneficial Owner Procedures, issued 16 November 2023. It replaces Cabinet Decision No. 58 of 2020 outright: any guidance, template or checklist still written against the 2020 Decision is out of date, even where the underlying duties look familiar. The 2023 Decision applies to every licensed legal person in the UAE, mainland and commercial free zone alike, with three carve-outs: companies owned by the federal or a local government (and their subsidiaries), companies licensed in the financial free zones (DIFC and ADGM, which run their own beneficial-ownership regimes), and governmental partners (federal or local governments holding shares in a company). A Supreme Committee oversees the national anti-money-laundering and counter-terrorist-financing strategy behind the regime, and each licensing authority appoints a Registrar who administers the registers and applies a risk-based approach, tracing the real beneficial owner through chains of legal persons and arrangements however long they are. One confidentiality rule matters to everyone on a register: the Ministry and the Registrar may not disclose beneficial-owner or partner/shareholder register information without the written approval of the beneficial owner or the nominal management member concerned.

# The document file behind every register entry
A register entry is only as good as the evidence behind it. For each natural person, keep: a passport copy (or national ID) showing number, issuing state, issue and expiry dates; proof of address for the residence or notice address; and the ownership evidence — share certificates, the memorandum and articles, shareholder agreements, trust deeds, nominee agreements — that proves the grounds on which the person qualifies. For corporate shareholders, keep the full ownership chain: each layer's register extract or certificate of incumbency, up to the natural persons, with an ownership chart the company can actually explain. Foreign documents typically need attestation (home-country notarisation plus UAE embassy legalisation or apostille, as the authority requires) and Arabic translation where the registrar works in Arabic. Review the file on a schedule — passport expiries and address changes are the commonest reason registers drift out of date — and keep superseded documents: the register records history, including when each person ceased to be a beneficial owner.

Frequently asked questions
How do family businesses determine the UBO?
The generational holdings mapped and aggregated where the family acts in concert, with the informal control — the family council, the patriarch's decisive influence — honestly assessed under the control limb.
Is the patriarch the UBO even without 25%?
Where the decisive influence exists — yes, by the control limb. The analysis names the control as exercised, not just the shareholding as registered — the reality recorded, not the form.
How is generational succession recorded?
Each transfer triggers the 15-day update with the cascade re-run on the new positions. Planned succession keeps the UBO position orderly; document the transfers as they happen, without exception.
