# A branch can be a Free Zone Person
The Corporate Tax Law defines a Free Zone Person to include a branch of a Non-Resident Person registered in a Free Zone. A foreign company's UAE free zone branch is therefore a taxable person in its own right, and it can be a Qualifying Free Zone Person if it meets the seven conditions. The branch does not inherit the head office's tax position; it is tested as a person on its own facts.
The branch's qualifying analysis follows the same rules: its activities mapped to the Qualifying Activities list, its customers classified as Free Zone or Non-Free Zone Persons, its income sorted into the four categories. A branch conducting qualifying activities for free zone customers is in the same position as a locally incorporated subsidiary doing the same work.
The head office relationship is where branches differ. Dealings between the branch and its head office are related-party transactions under Article 34 and must be at arm's length, documented like any other. The branch is not a separate legal person, but for transfer pricing it is treated as a distinct enterprise, and the profit attribution to the branch must reflect the functions performed there.
# Attribution and the permanent establishment overlay
The branch's income is the income attributable to its UAE activities, computed as if it were a separate enterprise. The attribution follows the functions, assets and risks in the branch: the people working there, the assets used there, the risks managed there. A branch that is a sales office booking orders taken elsewhere attributes little; a branch that manufactures, trades or manages from the zone attributes the corresponding profit.
Where the foreign company also has a mainland presence, the permanent-establishment analysis interacts with the free zone position. Income attributable to a domestic permanent establishment outside the free zone is carved out of Qualifying Income under the Cabinet Decision. The branch must therefore segment its UAE activities: the free zone branch's results tested for QFZP, the mainland PE's results under the standard regime, with no mingling.
Head office charges to the branch, management fees, cost allocations, royalties for IP used by the branch, must be arm's length and documented. These are often set informally within multinationals, which makes the branch file a common weakness. Put the service agreements in place and benchmark the charges.
# Practical points for branches
Register the branch for corporate tax and keep its books separable from the head office. Separable accounts are the foundation of the attribution; a branch whose results cannot be isolated from the head office cannot evidence its qualifying income or its substance. The accounting separation should exist from registration, not be reconstructed at year end.
Evidence substance like any free zone person: the branch's staff, assets and expenditure in the zone, per activity. A branch that is genuinely operated from the zone will have this naturally; a brass-plate branch will not, and the law treats it accordingly.
Plan for the head office's home jurisdiction. The branch's UAE tax position interacts with the head office's residence taxation, foreign tax credits and treaty positions. The UAE analysis in this cluster is only half the picture; the home-country half needs its own advice.

# Transfer pricing in one paragraph
Compliance with the arm's length principle is one of the QFZP conditions: transactions and arrangements with Related Parties must be priced as they would be between independent parties, under Article 34 of the Corporate Tax Law. The pricing method and the documentation sit with the company, and the FTA can adjust taxable income where the principle is not met. For a free zone company this bites twice: an adjustment can reclassify income between the 0% and 9% buckets, and persistent non-compliance can cost the status itself. Document related-party pricing before the return is filed, not after the query arrives.

Frequently asked questions
Can a branch of a foreign company be a QFZP?
Yes. A branch of a Non-Resident Person registered in a Free Zone is a Free Zone Person and can be a Qualifying Free Zone Person if it meets the seven conditions, tested on the branch's own facts. It does not inherit the head office's position.
How is branch profit determined?
By attribution as a separate enterprise: the functions, assets and risks in the branch determine the profit attributable to it. Dealings with the head office are related-party transactions priced at arm's length and documented.
What if the company also has a mainland branch?
The mainland permanent establishment's income is carved out of Qualifying Income entirely and taxed under the standard regime. Segment the free zone branch's results from the mainland PE's with no mingling.
Does the head office's tax residence matter?
For the UAE analysis, the branch is tested on its own. But the overall position includes the head office's home-country taxation, credits and treaties, which needs separate advice alongside the UAE file.
