From Exempt to Taxable: The Transition Mechanics

How assets are valued, losses treated and returns filed when an exempt person enters the UAE corporate tax net.

exempt person becomes taxable uae transition

On becoming taxable, assets are recognised at market value on the transition date — setting the depreciation base and future gain computations — and the person registers on EmaraTax and files a transparent exempt-to-taxable bridge for the transition period. The transition date is when the condition failed, not when it was discovered. Pre-entry losses generally do not carry forward. A professional valuation at the transition date is the single most important deliverable.

# The opening tax balance sheet

Every asset — property, investments, intangibles, inventory — is recognised at its market value on the transition date. That value becomes the tax base: depreciation runs from it, and future disposals measure gains against it.

Liabilities are recognised at their tax-relevant values. Provisions need particular care: accounting provisions that would not have been deductible are not magically recognised for tax on entry.

Commission the valuation promptly. Memories fade, markets move, and a valuation done two years after the date invites challenge. The valuer needs the asset register, title documents and market data as at the transition date — assemble them while they are fresh.

# Pre-entry history: what carries over

Tax losses incurred while exempt generally do not carry into the taxable period — losses of an exempt person are not tax losses. Do not assume a shelter built from exempt-period deficits.

Asset histories reset to the valuation: pre-entry appreciation is not taxed (it accrued while exempt), and pre-entry depreciation is irrelevant (the new base starts at market value). The entry valuation draws the line.

Where the person was previously taxable, lost exemption, and re-enters — or where transitional rules for the regime's introduction apply — map the specific provisions rather than reasoning from first principles. History matters in the details.

# The transition return

The return for the transition Tax Period shows the split transparently: the exempt portion of the period (no computation), the transition date, and the taxable computation from that date onward.

Time-apportion income and expenses across the split on a reasonable basis — daily pro-rating for recurring items, actual attribution for transactional ones. Document the methodology.

Disclose the transition explicitly rather than burying it. A return that clearly shows the exempt-to-taxable bridge, the valuation summary and the methodology invites fewer questions than one that obscures the change.

# First-year compliance as a taxable person

From the transition date, the full compliance suite applies: EmaraTax registration, annual returns within nine months of the Tax Period end, transfer-pricing documentation for related-party dealings, and seven-year record retention.

Set up the tax function properly at transition: chart of accounts mapped to the tax computation, the exempt-income bridge process (Article 22 shelters continue!), and a fixed-asset register tied to the entry valuation.

Review elections available to a newly taxable person — small business relief, realisation basis, foreign PE election — on their own merits. Transition is the natural moment to set the long-term tax posture.

One more transition task: notify counterparties where contracts reference the exempt status — banking covenants, grant agreements and donor arrangements may all need updating when the person's tax character changes.

FAQ Answers to the questions people actually ask

Frequently asked questions

How are assets valued when an exempt person becomes taxable?

At market value on the transition date. That value becomes the tax base for depreciation and for measuring future disposal gains — pre-entry appreciation is not taxed, and pre-entry depreciation history is irrelevant. A professional valuation at the transition date is the critical deliverable.

Do pre-entry losses carry forward?

Generally no — losses incurred while the person was exempt are not tax losses and do not carry into the taxable period. Map the specific transitional provisions where the person has a mixed history rather than assuming any shelter survives.

What date does the transition start?

The date the exemption condition failed or the status changed — factually determined, not the date of discovery. Pinpoint it with evidence (dilution closing, breach date, concession expiry) because it splits the Tax Period and anchors the valuation.

What elections should a newly taxable person consider?

Review the full menu at transition: Small Business Relief if eligible, the realisation-basis election for unrealised gains, the foreign PE election for overseas branches, and tax group membership. Transition is the natural moment to set the long-term posture deliberately.
