# Barred for QFZPs, available otherwise

Article 3(2) of Ministerial Decision No. 73 of 2023 provides that a Qualifying Free Zone Person cannot elect for small business relief. The bar is absolute and applies at any revenue level: a QFZP with AED 1,000,000 of revenue is as barred as one with AED 100,000,000. The two reliefs do not stack; the company chooses the 0% regime or the small business relief, not both.

An ordinary Free Zone Person, one that is not a QFZP, can elect small business relief if it meets the normal eligibility conditions. For small free zone companies this is often the decisive comparison: the QFZP route offers 0% on qualifying income with heavy compliance, while the standard route offers the AED 375,000 band plus small business relief with standard compliance. At modest profits the standard route frequently wins on total cost.

The Article 19 election is the bridge between the two. A free zone company that elects the standard rates can then elect small business relief if eligible. The sequence matters: elect out of the QFZP regime first, then claim the relief. A company cannot hold QFZP status and small business relief simultaneously for any period.

# Modelling the choice

Compare three numbers: the tax under the QFZP route, 0% on qualifying income and 9% on the rest; the tax under the standard route with small business relief; and the compliance cost of each route. The QFZP route's compliance cost, audit at any revenue, substance evidence, transfer pricing documentation, monitoring, is largely fixed, which makes it proportionately heavier for small companies. The standard route's compliance is the ordinary load.

Small business relief has its own eligibility conditions, revenue thresholds and time limits set in Ministerial Decision No. 73 of 2023, which the company must meet independently. Do not assume eligibility; check the decision's conditions for the period, including the revenue history requirements. The relief is valuable but conditional, and the conditions are tested.

Revisit the choice as the company grows. A company that correctly chose small business relief at AED 2,000,000 of revenue may outgrow the relief's conditions and find the QFZP route optimal at AED 20,000,000 with qualifying activities. The fork is not a one-time decision; it is an annual modelling exercise alongside the compliance checklist.

# Pitfalls

The classic pitfall is claiming both: filing as a QFZP while electing small business relief. The bar is explicit and the positions are incompatible; the return must choose. A company that discovers it claimed both should correct voluntarily before the FTA finds it.

The second is electing small business relief without meeting its conditions, particularly the revenue history tests. The relief's conditions are as mechanical as the QFZP's; failing them invalidates the claim. Check the decision text for the period, not last year's summary.

The third is ignoring the time limit. Small business relief is available for the periods the decision specifies; it is not a permanent feature of the company's tax position. Plan for its expiry: the company's regime choice when the relief ends should be modelled before it ends, not after.

Take advice on the interaction with the group position. A small free zone company in a larger group may have group-relief options that change the arithmetic; the standalone comparison is the starting point, not the whole analysis.

# The UAE corporate tax rates in one place

The headline structure is simple. A taxable person pays 0% on taxable income up to AED 375,000 and 9% on taxable income above that, under Article 3(1) of Federal Decree-Law No. 47 of 2022. A Qualifying Free Zone Person is taxed under Article 3(2) instead: 0% on Qualifying Income and 9% on taxable income that is not Qualifying Income. The AED 375,000 band does not stack on top of the free zone 0%; the two regimes are alternatives. For a multinational in scope, Cabinet Decision No. 142 of 2024 adds a 15% Domestic Minimum Top-up Tax, and the 0% rate offers no shelter from it. If a company is not a Qualifying Free Zone Person for a tax period, the standard 0%/9% bands apply to its whole taxable income.

FAQ Answers to the questions people actually ask

Frequently asked questions

Can a QFZP claim small business relief?

No. Article 3(2) of Ministerial Decision No. 73 of 2023 bars a Qualifying Free Zone Person from electing it, at any revenue level. The company chooses the 0% regime or the relief, not both.

Can an ordinary free zone company claim it?

Yes, if it meets the normal eligibility conditions in Ministerial Decision No. 73 of 2023. An ordinary Free Zone Person, not a QFZP, elects the relief like any other eligible taxpayer.

How does the Article 19 election interact?

A free zone company that elects the standard rates under Article 19 can then elect small business relief if eligible. Elect out of the QFZP regime first; the two cannot be held together.

Which is better for a small company?

Model both with compliance costs: the QFZP 0% with its heavy fixed compliance cost against the standard route with the relief. At modest profits the standard route usually wins all-in; revisit as the company grows.
