International Transport Income Exemption: Article 25 Explained
Non-residents' aircraft and ship income can be exempt under Article 25. Learn the business test, the leasing rules and the reciprocity condition.
article 25 uae international transport exemption
A non-resident's income from operating aircraft or ships in international transportation is exempt under Articles 22(5) and 25 of Federal Decree-Law No. 47 of 2022 where it is in the international transport business — carriage, chartering, or leasing integral equipment — and reciprocity holds: a UAE resident doing the same would be exempt in the operator's country. No election is needed, but the business evidence and the foreign-law reciprocity memo must be on file.

# The business test
The operator must be in the business of international transportation: carrying passengers, livestock, mail, parcels, merchandise or goods by air or by sea across borders. Occasional or incidental carriage does not qualify — the business character is tested.
Leasing and chartering count where the aircraft or ships are used in international transportation. A lessor whose fleet flies international routes for lessees is within the business; a lessor of aircraft used purely domestically elsewhere is not.
Leasing of equipment integral to seaworthiness or airworthiness — engines, navigation systems, safety equipment — is included where the equipment serves qualifying transport. General equipment leasing without the transport link falls outside.
| Activity | Qualifying? |
|---|---|
| International passenger flights | Yes |
| International cargo shipping | Yes |
| Chartering ships for international routes | Yes |
| Leasing engines for international fleet | Yes — integral equipment |
| Domestic-only transport | No |
| General equipment leasing | No — needs the transport link |
# The reciprocity condition
The exemption requires that a Resident Person conducting the same activity would be exempt — or not subject to a similar tax — under the law of the country where the non-resident is resident. The UAE extends the favour it receives.
Proving reciprocity needs a foreign-law analysis: the relevant provision in the operator's home legislation, ideally confirmed by a local adviser, showing the symmetric treatment. Keep the memo with the tax file — it is the condition most often missing from files.
Where the home country taxes the activity, the condition fails and the income is assessed under the normal non-resident rules. Check before assuming the exemption, especially for operators from jurisdictions without a shipping or aviation exemption.
# What income is covered
The exemption covers income from the qualifying international transport business — freight and passage revenue, charter hire, and qualifying equipment lease income. It is an income-level exemption under Article 22(5).
Non-qualifying income of the same operator — domestic legs, unrelated investments, agency commissions outside the business — is assessed normally. Segment the operator's UAE-connected income by activity.
Related expenditure follows the symmetric rule: costs of the exempt transport income are non-deductible, which matters mainly where the operator has any taxable UAE income to set them against.
# Practical compliance
No election or application is needed: where the conditions hold, the income is simply not taken into account. But 'automatic' does not mean 'undocumented' — an operator relying on Article 25 should hold the business evidence and the reciprocity memo ready.
Withholding is not the mechanism here: the income is exempt at the recipient level rather than subject to a 0% withholding. Counterparties paying the operator do not withhold in any event under the current 0% framework.
Review the position when routes, fleet use or home-country law changes. A shift from international to domestic operations, or a home-country law reform, can end the exemption without any change in the UAE.

Frequently asked questions
Is a foreign airline's UAE income exempt?
Income from operating aircraft in international transportation can be exempt under Articles 22(5) and 25 of Federal Decree-Law No. 47 of 2022, provided the airline is in the international transport business and the reciprocity condition holds — a UAE resident doing the same would be exempt in the airline's home country. Domestic operations and unrelated income are assessed normally.
What is the reciprocity condition in Article 25?
The non-resident's home country must give symmetric treatment: a UAE resident conducting the same international transport activity would be exempt or not subject to similar tax there. Prove it with a foreign-law memo from a local adviser — it is the condition most operators fail to document.
Does aircraft leasing qualify?
Leasing or chartering aircraft or ships used in international transportation qualifies, as does leasing equipment integral to airworthiness or seaworthiness. The transport link is essential — general leasing without it falls outside Article 25.
Do we need to apply for the Article 25 exemption?
No. Like the dividend and participation categories, it applies automatically where the conditions are met. But keep the business evidence and the reciprocity memo on file — automatic application is not the same as undocumented application.
