Licence Cancelled but Not Tax-Deregistered: Closing the Gap

Cancelling your trade licence does not deregister you for UAE corporate tax. Learn how to close the tax file after licence cancellation.

licence cancelled still registered tax uae

Cancelling a trade licence does not cancel the corporate tax registration: the two systems are separate, and the tax account stays open with filing obligations until you apply for deregistration on EmaraTax. This is one of the most common UAE compliance traps, leaving businesses with years of unfiled returns behind a cancelled licence. Fix it by establishing the cessation date, filing all outstanding returns including the final stub return, paying tax and penalties, and applying for deregistration.

# Why the gap happens

Owners winding down a business naturally focus on the visible steps: cancelling the licence, closing the office, settling staff. The tax deregistration is invisible, handled on a portal, and easily assumed to follow automatically. It does not. The licensing authority and the FTA do not synchronise, and neither notifies the other.

Advisers sometimes contribute to the gap by treating the engagement as ending with the licence cancellation. A wind-down engagement should define its end as the tax deregistration approval, with the final return and clearance as deliverables. Until the scope says so explicitly, assume the gap is your responsibility to close.

How to discover the gap

Log in to EmaraTax and check the corporate tax account status. An account showing active with unfiled periods is the gap made visible. Do this check for every entity whose licence was cancelled in the last few years; the discovery is usually unpleasant but always cheaper than continued ignorance.

# Closing the gap: the clean-up sequence

Establish the cessation date first, using the licence cancellation certificate as the primary evidence, corroborated by board minutes and the last business activity. Then reconstruct the filing history: list every tax period from the last filed return to the cessation date. File each outstanding return on EmaraTax, oldest first, including the final stub return to the cessation date.

Pay the tax shown and address the penalties: late filing penalties for the unfiled periods and the late deregistration penalty, both subject to their caps. Then apply for deregistration with the cancellation certificate and the return references. Verify approval on the dashboard; the file is closed when the FTA says so, not when you apply.

  1. Confirm the gap

Check EmaraTax: active account, unfiled periods.

  2. Evidence cessation

    Licence cancellation certificate plus corroboration.

  3. File outstanding returns

Every period to cessation, including the final stub.

  4. Pay and apply

    Settle liabilities; apply for deregistration.

  5. Verify closure

Confirm deregistration approval on the dashboard.

# Running both tracks together next time

The lesson is procedural: every wind-down needs a two-track checklist with the licensing track and the tax track side by side. The tax track runs: notify the FTA, prepare final accounts, file the final return, pay, apply for deregistration within three months of cessation, and confirm approval. Neither track is complete until both are.

For groups, add a post-cancellation audit step: three months after any licence cancellation, verify the tax deregistration is in progress or complete. A simple calendar reminder per entity prevents the entire category of gap. The cost of the check is minutes; the cost of the gap is years of penalties.

# Director responsibilities in the gap

Directors cannot resign from tax history. Where a company operated with a cancelled licence but an open tax account, the directors during that period remain associated with the compliance failures, and the FTA can pursue the company's liabilities through the mechanisms the law provides. Former directors asked about the gap years later need the file to show what happened, which is why the clean-up documentation matters personally as well as corporately.

Incoming directors and investors should diligence the tax deregistration position as standard: confirm on EmaraTax that every entity being acquired or invested in has no open tax account that should have been closed. A target with a zombie registration is a liability to be priced or fixed before completion, not discovered after. Representations on tax compliance in transaction documents should specifically cover deregistration, not just filing.

Due diligence checklist

For each entity: EmaraTax account status, all periods filed, no outstanding liabilities, deregistration approved where the business ceased. Evidence each point; do not accept verbal assurance.

Warranties

Transaction warranties should cover the completeness of tax filings and the absence of open registrations for ceased businesses. The warranty is only as good as the diligence behind it.

FAQ Answers to the questions people actually ask

Frequently asked questions

The licence was cancelled years ago. Can I still deregister?

Yes. Reconstruct the position: cessation date from the cancellation certificate, outstanding returns filed, liabilities paid, then the deregistration application. The late penalties are capped, so the clean-up cost is bounded even for old cases. Start now rather than letting it compound further.

Does the FTA know my licence was cancelled?

Do not assume so, and do not rely on it. The systems are separate, and the legal position is that your tax obligations continue until you apply for deregistration and it is approved. Act on the legal position, not on assumptions about data sharing.

Who is responsible if the former directors have left?

The taxable person's obligations persist against the entity, and former directors and liquidators can face exposure for unresolved tax matters. Identify who can act for the entity now, regularise the position, and take advice on personal exposure where the history is messy.
