Emirate-Level Taxation: The Condition Behind the Natural Resource Exemption
Why UAE natural resource businesses must be subject to Emirate-level tax to stay exempt from federal corporate tax — and how to evidence it.

The federal corporate tax exemption for extractive and non-extractive natural resource businesses exists only because the Emirate already taxes the activity. Under Article 8 of Federal Decree-Law No. 47 of 2022, the exemption is conditional on the business being subject to taxation at Emirate level — through concession agreements, royalties or Emirate income tax decrees. If Emirate-level taxation does not apply to the business, the federal exemption does not apply either, and the income falls into the normal 0% / 9% corporate tax net.

# Why the condition exists
Natural resources belong to the Emirates under the UAE Constitution, and the Emirates have long taxed extraction through their own decrees and concession terms. When the federal corporate tax arrived for financial years starting on or after 1 June 2023, the law deliberately stepped aside where the Emirate already taxes.
The condition therefore prevents double taxation between the two levels of government. It is not a favour to the industry; it is a division of taxing rights. The federal exemption lasts exactly as long as the Emirate taxation does.
This also explains why the condition is tested per business, not per group. Each extractive or non-extractive business must itself be subject to Emirate-level taxation — a sister company's concession does not cover it.
# What counts as Emirate-level taxation
The classic instruments are the Emirate income tax decrees historically applied to oil and gas companies, concession and production-sharing agreements with fiscal terms, and royalty regimes. Any of these can satisfy the condition if they genuinely subject the business to tax at Emirate level.
Form matters less than substance, but substance must be demonstrable. A nominal reference to taxation in an agreement, with no assessment or payment ever made, is weak evidence. Assessments raised, royalties computed and amounts actually paid are strong evidence.
Because each Emirate legislates separately, the analysis differs between Abu Dhabi, Dubai, Sharjah and the Northern Emirates. Map the specific Emirate instrument to the specific business and keep the legal text on file.
# Evidencing the condition for the FTA
Build an evidence file for each qualifying business: the concession or agreement, the Emirate tax decree or royalty instrument, assessments or computations, proof of payment, and a memo linking the business activity to the instrument's scope.
Keep the file for at least seven years from the end of the relevant Tax Period, alongside the segmental accounts that isolate the qualifying business. The FTA may verify exempt-person conditions and request records within its prescribed timelines.
Calendar the instrument's lifecycle. Concessions expire and get renegotiated; decrees get amended. Every renewal, amendment or expiry is a re-test event — diary it like a licence renewal.
| Document | What it proves |
|---|---|
| Concession / production-sharing agreement | The business holds the resource right |
| Emirate tax decree or royalty instrument | Taxation at Emirate level exists in law |
| Assessments or royalty computations | The tax is actually applied |
| Payment receipts | The tax is actually paid |
| Activity memo | The business falls within the instrument's scope |
# When the condition lapses
If Emirate-level taxation ceases — the concession ends without a taxed successor, the decree is repealed, the royalty is abolished — the Article 8 exemption ends with it. The business becomes an ordinary Taxable Person for federal purposes.
At that point the loss-of-exemption mechanics apply: register on EmaraTax if not already registered, establish the tax position from the transition date, and value assets appropriately on entry into the tax net. Do not assume a grace period the law does not give.
Groups sometimes respond by restructuring the business into the Emirate-taxed perimeter. Any such move must have genuine commercial substance — the general anti-abuse rule looks through arrangements whose main purpose is a tax advantage.

Frequently asked questions
Why must a natural resource business be taxed at Emirate level to be exempt federally?
Because the exemption in Article 8 of Federal Decree-Law No. 47 of 2022 is designed to avoid double taxation between the Emirate and federal levels, not to eliminate tax. The Emirate taxes extraction through its own decrees, concessions and royalties; the federal law steps aside only where that Emirate taxation exists.
What documents prove Emirate-level taxation?
The concession or production-sharing agreement, the Emirate tax decree or royalty instrument, assessments or royalty computations, and proof of payment, plus a memo tying the business to the instrument's scope. Keep the pack for at least seven years so it is ready for any FTA verification.
Does one concession cover a whole group?
No. The condition is tested per business. Each extractive or non-extractive business must itself be subject to Emirate-level taxation; a sister company's concession does not extend the exemption to activities outside the instrument's scope.
What happens if the concession expires?
Treat expiry, renewal or renegotiation as a re-test event. If Emirate-level taxation ceases to apply to the business, the Article 8 exemption ends and the business enters the normal federal corporate tax net, with transitional valuation rules applying to its assets.
