Corporate Tax Registration for Non-Residents in the UAE
Non-resident companies with a UAE permanent establishment or UAE-sourced income must register for corporate tax. Learn the triggers and deadlines.
non resident corporate tax registration uae
A non-resident juridical person must register for UAE corporate tax when it has a permanent establishment in the UAE, or when it derives state-sourced income on which withholding tax applies. The registration duty arises when the conditions are first met, and the entity must register within six months of a permanent establishment arising (three months where the link is a nexus), under FTA Decision No. 3 of 2024. Registration is completed on EmaraTax, with documents proving the foreign incorporation, the UAE presence or income stream, and the authorised signatory's authority.

# What makes a non-resident a taxable person
Residence is not the boundary of the UAE corporate tax net; economic presence is. A foreign company becomes a taxable person when it has a permanent establishment in the UAE: a fixed place of business such as an office, branch or factory through which it carries on business, or a dependent agent habitually concluding contracts here. The PE's profits, computed as if it were a separate enterprise, are subject to UAE corporate tax.
The second route is state-sourced income. Certain UAE-source payments to non-residents, such as dividends, interest, royalties and service fees connected to the UAE, fall within the withholding tax framework at 0%. A non-resident whose only UAE connection is such income still interacts with the registration regime where the law requires it, and should confirm its position rather than assume it is invisible to the FTA.
Treaty protection does not remove registration
A double tax treaty may limit the UAE's taxing rights over a PE's profits, but treaty relief is claimed through the system, not outside it. Where the domestic law registration duty has arisen, register and claim the treaty position on the return with proper disclosure.
# Registering a non-resident on EmaraTax
The application identifies the foreign juridical person: legal name in the home jurisdiction, incorporation number and date, registered address abroad, and the nature of the UAE presence. For a PE, describe the fixed place of business or agency arrangement and the date it arose, because that date starts the three-month registration clock. For state-sourced income, describe the income stream and the UAE payer.
Document uploads include the foreign certificate of incorporation, the constitutional documents, the UAE trade licence or registration of the branch or PE, and the authorised signatory's identity documents with proof of authority, such as a board resolution. Foreign documents generally need legal translation into English or Arabic and may need attestation. The FTA issues the TRN to the non-resident entity itself.
| Trigger | Example | Register when |
|---|---|---|
| Fixed-place PE | Branch office, factory, construction site | Within 6 months of the PE arising (9 months if it existed before 1 March 2024) |
| Agency PE | Dependent agent concluding contracts in the UAE | Within 6 months of the agency PE arising |
| State-sourced income | UAE royalties or service fees to the foreign company | As required where withholding applies |
# Ongoing obligations after registration
A registered non-resident files an annual corporate tax return on its UAE taxable income within nine months of its tax period end, attributing profits to the PE on arm's length principles. Transfer pricing documentation expectations apply to dealings between the PE and the head office, so maintain the analysis contemporaneously rather than reconstructing it under enquiry.
Withholding tax at 0% means no tax is withheld today, but the registration and return framework is already live, and the rate can change by Cabinet decision. A non-resident that ceases its UAE presence must apply for deregistration within three months of cessation and file the final return, exactly like a resident company winding down.
# Monitoring the PE position year to year
Permanent establishment status is not a one-time determination. Business models evolve: a sales office starts concluding contracts, a construction project extends beyond twelve months, an agent's authority widens. Each change can create, expand or end the PE, with registration, deregistration and filing consequences. Groups should review the UAE footprint annually against the PE definitions, alongside the return preparation.
Document the annual review: what the UAE presence did this year, who had authority to conclude contracts, and how long projects lasted. This file is the evidence for the registration position taken, and it is what the FTA will ask for if the position is ever questioned. A PE that arose two years before anyone noticed creates historic registration and filing exposure; an annual review catches it in year one.
Project-based PEs
Construction and installation projects create PEs based on duration thresholds. Track project timelines actively, because a project extended past the threshold mid-year starts the registration clock then, not at some later convenient date.
Ending the PE
When the UAE presence genuinely ends, deregister within three months and file the final return. A PE left registered after the business left the UAE accrues filing obligations for nothing.

Frequently asked questions
My foreign company only sells goods into the UAE with no office. Must it register?
Mere cross-border sales with no fixed place of business and no dependent agent in the UAE do not create a permanent establishment, so no registration duty arises on that basis alone. Review the facts carefully against the PE definition, because warehousing, installation work or local agents can change the answer.
Does a UAE double tax treaty exempt us from registering?
No. Treaties allocate taxing rights between countries; they do not switch off domestic registration duties. If UAE law makes you a taxable person, register and then claim any treaty limitation on the tax return with full disclosure of the treaty position taken.
Who signs the EmaraTax application for a foreign company?
A person authorised by the foreign entity, evidenced by a board resolution or power of attorney, together with their identity documents. Many foreign groups appoint a UAE-based tax agent to manage the portal, but the legal responsibility for the registration remains with the non-resident taxable person.
