# Ships on the qualifying list
Ownership, management and operation of Ships is a Qualifying Activity in Ministerial Decision No. 229 of 2025. Ships is a defined term, and the activity covers the commercial operation of qualifying vessels: owning, managing and operating them for charter, freight or transport income. A free zone shipping company's operating income is Qualifying Income from any counterparty, subject to the other conditions.
The definition matters because not every vessel-related business qualifies. Ship management for third-party owners, where the company operates vessels it does not own, falls within management and operation. But ancillary marine services, agency, broking or consultancy need their own classification; they are not automatically covered because they touch ships. Read the defined term before assuming the whole marine cluster qualifies.
Charter income, freight income and pool distributions are the core qualifying lines. Each should be tagged to the vessel and the voyage or period, so the qualifying claim ties to the operating records. A shipping company's voyage accounts are the natural foundation of its tax workings; build the tax classification on them rather than reconstructing it.
# Substance afloat and ashore
The core income-generating activities of a shipping company are commercial and technical management: chartering decisions, voyage planning, crewing oversight, maintenance scheduling. These must be undertaken in the zone with adequate qualified staff. A one-person brass plate that outsources everything to a manager abroad fails Article 8; the decisions that earn the freight must be taken in the zone.
Crews are not the substance the test measures. Seafarers work aboard, not in the zone, and the test looks to the management function ashore. Document the shore organisation: the chartering desk, the operations team, the technical superintendents, their qualifications and their employment in the zone. The vessels' registries and the management agreements corroborate the activity; the payroll proves the substance.
Where management is outsourced to a third-party ship manager, the outsourcing rules apply: to another person in the free zone, with adequate supervision retained by the company. A shipowner whose entire operation is delegated without supervision has delegated the activity itself. Keep the management agreements and the supervision records, voyage approvals, maintenance sign-offs, with the tax file.
# Transfer pricing in one paragraph
Compliance with the arm's length principle is one of the QFZP conditions: transactions and arrangements with Related Parties must be priced as they would be between independent parties, under Article 34 of the Corporate Tax Law. The pricing method and the documentation sit with the company, and the FTA can adjust taxable income where the principle is not met. For a free zone company this bites twice: an adjustment can reclassify income between the 0% and 9% buckets, and persistent non-compliance can cost the status itself. Document related-party pricing before the return is filed, not after the query arrives.

Frequently asked questions
Is shipping a Qualifying Activity in UAE free zones?
Yes. Ownership, management and operation of Ships is a Qualifying Activity in Ministerial Decision No. 229 of 2025, with Ships as a defined term. Charter, freight and operating income is Qualifying Income, subject to the other QFZP conditions.
What substance does a shipping company need?
The commercial and technical management function in the zone: chartering, operations and technical staff, qualified and full-time, making the decisions that earn the freight. Crews aboard do not count; the shore organisation does.
How is related-party chartering priced?
At arm's length under Article 34, benchmarked to market charter rates with the references documented. Shipping has good public rate data, so the benchmarking should be thorough; the FTA can check the same sources.
Does vessel financing qualify?
Not as shipping. Financing and leasing of Aircraft is a separate Qualifying Activity; vessel financing is classified on its own terms and may be non-qualifying or excluded as finance and leasing. Keep it out of the operating book.
