Corporate Tax

Is a single family office subject to corporate tax in the UAE?

Is a single family office subject to corporate tax in the UAE? CTP008 says yes: an SFO pays tax on all income, with 0% only for regulated activities.

is a single family office subject to corporate tax in the uae

Yes. As of October 2026, an SFO or MFO set up as a juridical person is a Taxable Person and pays corporate tax on all its income, including management fees, according to FTA Public Clarification CTP008. It must charge related parties and connected persons at arm's length. A free zone family office gets 0% on wealth, investment or fund management income only if that activity is regulated by the UAE Central Bank, DFSA or FSRA.

# What CTP008 covers

A family office that holds a licence but is not regulated does not qualify. The foundation, holding company and SPVs above or beside it can still be tax transparent.

The Federal Tax Authority issued Public Clarification CTP008 on 19 September 2025. It covers the corporate tax treatment of family wealth management structures. These typically have five layers:

  • a Family Foundation (a foundation, trust or similar entity, domestic or foreign);
  • a holding company;
  • one or more special purpose vehicles (SPVs);
  • a single family office (SFO) or multi family office (MFO); and
  • the family members.

The clarification rests on Article 17 of Federal Decree-Law No. 47 of 2022 and Article 5 of Ministerial Decision No. 261 of 2024. It gives four worked examples using DIFC and ADGM entities. It does not change the law. It states the FTA's reading, and that reading applies from the date the legislation took effect. For families, the main point is that each layer is tested on its own. A transparent foundation does not make the family office transparent. A taxable family office does not stop the foundation applying for transparency.

# Why the family office itself is taxable

Under CTP008, an SFO or MFO that is a juridical person and does not meet the Article 17 conditions is a Taxable Person. It is taxed on all its income, including management fees and any other receipts. Because it serves the family, it must price its services to Related Parties and Connected Persons at arm's length (Articles 34 and 36 of the Corporate Tax Law).

Being in a free zone does not give 0% automatically. Ministerial Decision No. 229 of 2025 lists wealth and investment management services and fund management services as Qualifying Activities only where they are subject to the regulatory oversight of a Competent Authority: the UAE Central Bank, the DFSA or the FSRA. In the FTA's examples, a DIFC or ADGM SFO that holds a licence but is not regulated by the DFSA or FSRA cannot get 0% on that income. A DFSA-authorised MFO serving more than one family can, provided it also meets the other qualifying free zone person conditions.

# Foundations, holding companies and SPVs

CTP008 separates entities with and without separate legal personality:

  • No separate legal personality, such as an ADGM or DIFC trust: automatically tax transparent.
  • Separate legal personality, such as an ADGM or DIFC foundation or a trust under the UAE Federal Trust Law: may apply to the FTA for transparency if it meets Article 17(1).
  • LLCs are not a 'similar entity' to a foundation or trust, so they cannot be a Family Foundation.

A holding company or SPV can apply for transparency only if it is wholly owned and controlled by a transparent Family Foundation, directly or through an unbroken chain of transparent entities, and meets Article 17(1) itself. In Example 3, the SFO owns the holding company. Because the SFO is taxable, the holding company and SPVs below it cannot apply. A non-transparent vehicle can still use a free zone 0% for holding shares, the domestic dividend exemption or the participation exemption. An SPV holding real estate pays tax on that income.

# What the family members pay

The family members are generally not taxed on what they receive from the structure. CTP008 treats it as Personal Investment income or Real Estate Investment income. Cabinet Decision No. 49 of 2023 excludes both from a natural person's Business, whatever the amount. This applies to income from:

  • a taxable family wealth vehicle;
  • a transparent foundation, trust or similar entity that meets Article 17(1); and
  • a transparent vehicle that does not meet Article 17(1), if the income qualifies as Personal Investment or Real Estate Investment income.

The exception is income from a commercial Business carried on by a vehicle. A family member is taxed on their share of that if it exceeds AED 1 million in a Gregorian calendar year, the natural person threshold in Article 2(1) of Cabinet Decision No. 49 of 2023. Who holds the SFO's shares, the foundation or the family directly, makes no difference to the result (Example 2).

# The FTA example: transparent or not

In CTP008 Example 1, the family members are beneficiaries of a DIFC foundation (FFA). FFA wholly owns an unregulated SFO and a holding company (HoldCo). HoldCo owns SPV1, which holds shares, and SPV2, which holds real estate.

Scenario 1: transparency granted. FFA applies and qualifies under Article 17(1). HoldCo, SPV1 and SPV2 then apply and qualify. None of them pays corporate tax on its income. The SFO still pays tax on all its income at arm's length, and it cannot claim 0% on management fees because the DFSA does not regulate it.

Scenario 2: no application, or the conditions are not met. FFA is a Taxable Person, so HoldCo and the SPVs cannot apply for transparency either. FFA, HoldCo and SPV1 may use the free zone 0% for holding shares, the domestic dividend exemption or the participation exemption. SPV2 pays corporate tax on its rental and property income. The family members are untaxed in both scenarios. The difference is in the entities, not the individuals.

# Practical steps for a family structure

To apply CTP008:

  1. Map every entity and record whether it has separate legal personality.
  2. Test the foundation against Article 17(1): identified beneficiaries or a public benefit entity, a principal activity of holding and investing assets, no activity that would be a Business if done directly, and no main purpose of avoiding tax. File the transparency application if it qualifies.
  3. Check the ownership chain before applying for SPVs. A taxable entity anywhere above them stops the application.
  4. Price the family office's services to the family entities at arm's length, and keep transfer pricing support.
  5. Decide whether regulation is worth it. The free zone 0% on management income needs Central Bank, DFSA or FSRA oversight, not just a licence.

CTP008 is a reading of the law. Check the current text on tax.gov.ae before deciding how to set up the structure.

FAQAnswers to the questions people actually ask

Frequently asked questions

Is a single family office subject to corporate tax in the UAE?

Yes, if it is a juridical person. Under CTP008 it is a Taxable Person, taxed on all its income including management fees, and it must charge the family entities at arm's length.

Can a DIFC or ADGM family office get the 0% free zone rate?

Only on wealth, investment or fund management income regulated by the DFSA, FSRA or UAE Central Bank, and only if it meets the other qualifying free zone person conditions. A licence without regulatory oversight is not enough.

Can an LLC be a Family Foundation for corporate tax?

No. CTP008 says a 'similar entity' to a foundation or trust excludes a limited liability company.

Do family members pay corporate tax on income from the family structure?

Usually not, because it counts as Personal Investment or Real Estate Investment income. Their share of income from a commercial business run by a vehicle is taxed if it exceeds AED 1 million in a calendar year.

Must a single family office charge the family entities at arm's length?

Yes. An SFO serves Related Parties and Connected Persons, so it must price its services at arm's length under Articles 34 and 36 of the Corporate Tax Law, and keep transfer pricing support for those charges.

What should a family structure check before applying for tax transparency?

Map every entity and whether it has separate legal personality, test the foundation against Article 17(1), and check the ownership chain: a holding company or SPV can apply only through an unbroken chain of transparent entities, and a taxable entity anywhere above them stops the application.
