Small Business Relief for Free Zone Businesses in the UAE
Can a free zone company claim UAE small business relief? The QFZP exclusion, when free zone businesses qualify, and how the two regimes interact.

A Qualifying Free Zone Person cannot claim small business relief — the law expressly excludes them, because they already benefit from 0% tax on qualifying income. But a free zone company that is not a QFZP (for example, one taxed under the normal rules because it failed the qualifying conditions or elected out) can claim the relief like any other taxable person if its revenue is at or below AED 3 million across the whole history.

- QFZP exclusion
- Qualifying Free Zone Persons are expressly excluded from small business relief.
- Article 21, Federal Decree-Law No. 47 of 2022
- Non-qualifying free zone companies
- A free zone company taxed under normal rules may elect if it meets the revenue and residence tests.

- Status can change
- QFZP status is tested per period — a company can move between the regimes.

# Why Qualifying Free Zone Persons are excluded
The exclusion is a policy against stacking preferences. A Qualifying Free Zone Person already pays 0% corporate tax on its qualifying income — the most generous treatment in the regime. Extending small business relief on top would give free zone qualifiers a double benefit unavailable to mainland businesses, which the law deliberately prevents.
The exclusion is categorical: if you are a QFZP for the period, you cannot elect small business relief for that period, whatever your revenue. There is no de minimis exception and no partial claim. The two regimes are alternatives, not companions.
Note the asymmetry this creates. A QFZP pays 0% on qualifying income but 9% on non-qualifying income above the threshold — it might envy the relief's blanket zero. But the law's answer is firm: choose the regime you qualify for; you cannot combine them.
# When a free zone business can claim the relief
The door opens for free zone companies that are not Qualifying Free Zone Persons. This is a larger category than many realise: it includes free zone companies that failed the QFZP conditions (for example, on substance, transfer pricing, or audited accounts requirements), companies that elected not to be QFZPs, and companies whose income profile means they are taxed under the normal rules.
Such a company is an ordinary resident taxable person for corporate tax purposes. If its revenue is at or below AED 3 million for the period and every previous period, it can elect small business relief exactly like a mainland company. The free zone location is irrelevant to the relief once QFZP status is out of the picture.
The critical discipline is per-period status testing. QFZP status is assessed for each tax period, so a company can be a QFZP in 2024, fail the conditions in 2025, and elect small business relief for 2025 if its revenue history is clean. Each period starts with the question: what is my status this year?
| Scenario | QFZP this period? | Relief available? |
|---|---|---|
| Meets all QFZP conditions | Yes | No — excluded |
| Failed substance requirement | No | Yes, if revenue test met |
| Elected out of QFZP treatment | No | Yes, if revenue test met |
| QFZP last year, failed this year | No (this period) | Yes, if revenue history clean |
| New free zone company, low revenue | Depends on conditions | Only if not a QFZP |
# Choosing between the regimes
A free zone business that could go either way — qualifying as a QFZP or structuring to stay out and claim the relief — should compare the regimes honestly. QFZP treatment gives 0% on qualifying income indefinitely, with no sunset date, but demands strict ongoing compliance: substance, transfer pricing documentation, audited financials. Small business relief gives a blanket zero with simpler compliance, but sunsets for periods ending after 31 December 2029 and dies permanently on a single threshold breach.
For most genuine free zone operations with qualifying income, QFZP status is the better long-term home. The relief is a bridge for businesses that cannot meet QFZP conditions — a second-best that is still far better than normal taxation.
Beware of engineering a QFZP failure to access the relief. Deliberately failing substance or documentation requirements to escape into small business relief is contrived, risks penalties on the QFZP side, and may attract anti-abuse scrutiny. The regimes are designed as alternatives for genuinely different situations, not as a menu to game.
# Mini-example: a free zone consultancy between regimes
Cedar Advisory FZ-LLC is a free zone consultancy with revenue of AED 2.2 million. In 2024 it met all QFZP conditions and enjoyed 0% on its qualifying income. In 2025 it fails the transfer pricing documentation requirement — an administrative lapse, not a sham — and therefore is not a QFZP for 2025.
For 2025, Cedar is an ordinary taxable person. Its revenue history is clean (always under AED 3 million), so it elects small business relief for 2025 and is treated as having no taxable income. The relief cushions the year of the QFZP failure.
For 2026, Cedar fixes its documentation and re-qualifies as a QFZP — the relief is then unavailable again, but the 0% qualifying income treatment returns. The lesson: per-period status testing lets the business land in the right regime each year, and the relief serves as a genuine safety net for the gap year rather than a planning gimmick.

Frequently asked questions
Can a free zone company claim small business relief in the UAE?
Only if it is not a Qualifying Free Zone Person for the period. QFZPs are expressly excluded. A free zone company taxed under the normal rules — because it failed the QFZP conditions or elected out — can claim the relief if its revenue is at or below AED 3 million across the whole history, like any other taxable person.
Can I be a QFZP one year and claim small business relief the next?
Yes, because QFZP status is tested per period. If you fail the QFZP conditions in a later period, you are an ordinary taxable person for that period and may elect the relief if your revenue history is clean. Test your status fresh every year — the regimes do not lock you in.
Which is better: QFZP status or small business relief?
For most qualifying free zone businesses, QFZP status — 0% on qualifying income with no sunset. Small business relief is simpler but sunsets for periods ending after 31 December 2029 and ends permanently on a threshold breach. Treat the relief as a safety net for years you genuinely cannot meet QFZP conditions, not as a preferred alternative.
