Retained Earnings, Explained for UAE Business Owners
What retained earnings mean, how profits accumulate into them, and the UAE dividend and loss-of-capital rules every owner must know.
what are retained earnings
Retained earnings means the cumulative net profits a company has kept rather than paid out as dividends — every year's profit added, every year's loss and dividend subtracted, since the business began. It is the running scorecard of a company's trading history and usually the largest part of a mature company's equity. In the UAE, dividends can only be declared from genuine profits sitting in retained earnings, never from share capital.
Basis: IFRS Foundation
- Running total
- Retained earnings = all historical profits − all historical losses − all dividends declared.
- IAS 1 Presentation of Financial Statements
- Dividend source
- UAE law permits dividends only from net profits; distributions out of capital are prohibited.
- Federal Decree-Law No. 32 of 2021 (as of Oct 2026)
- Not cash
- Retained earnings are an accounting balance, not a bank balance — profits may be tied up in receivables or assets.
- IFRS Conceptual Framework
- Negative balance warning
- Accumulated losses exceeding profits create negative retained earnings, eroding equity and potentially triggering loss-of-capital procedures.
- Federal Decree-Law No. 32 of 2021 (as of Oct 2026)
- Tax-neutral accumulation
- Retaining profits does not itself create UAE Corporate Tax; tax was already charged on the profits when earned.
- Federal Decree-Law No. 47 of 2022 (as of Oct 2026)
# What retained earnings means
Retained earnings are the company's financial memory — every profit kept and every loss absorbed, accumulated since day one. Each year, the net profit (or loss) for the year is added to the opening balance, dividends declared to shareholders are subtracted, and the result becomes the new closing balance. A business that has earned AED 10 million, lost AED 2 million and paid AED 3 million in dividends over its life carries retained earnings of AED 5 million.
The balance is the clearest single indicator of a company's lifetime performance. Share capital shows what owners put in; retained earnings show what the business itself generated and kept. In mature companies, retained earnings dwarf the original capital — a AED 300,000-capital company carrying AED 8 million of retained earnings is a success story written in one line.
Crucially, retained earnings are not a pile of cash. They are a claim within equity, and the corresponding value may sit in receivables, inventory, equipment or investments. The distinction between 'we have earned it' and 'we can spend it' is where dividend disasters begin.
# How retained earnings works
The mechanics are simple but unforgiving. Profit for the year flows from the income statement into retained earnings via the statement of changes in equity. Dividends do the reverse — but note the timing: dividends reduce retained earnings when they are declared (when the liability is recognised), not when the cash is paid. An interim dividend declared in December but paid in January hits year-end equity.
Prior-year adjustments — corrections of material errors — also run through retained earnings, restating the opening balance rather than the current year's profit. This keeps the current year's performance clean and honest.
Appropriations move amounts between equity reserves without changing total equity: transferring 10% of profit to a statutory reserve, for instance. And in groups, retained earnings on the consolidated balance sheet include the parent's share of subsidiaries' post-acquisition profits — which is why consolidated retained earnings differ from the parent company's own books.
# Retained earnings in the UAE: rules and context
UAE law treats retained earnings as the only legitimate source of dividends. Distributions may be made only from net profits; paying dividends out of share capital is prohibited, and managers who authorise it can be held personally liable to restore the amounts. Before declaring, directors should confirm distributable profits exist, the company remains solvent afterwards, and any constitutional reserve requirements are met.
Accumulated losses get special attention. If losses reach one-half of share capital, the managers of an LLC must convene the partners to decide the company's fate — continue, recapitalise or dissolve (the procedural detail against the current Companies Law text). Auditors in the UAE flag deep negative retained earnings as a going-concern indicator, which can lead to qualified opinions or emphasis-of-matter paragraphs.
On tax, the UAE position is straightforward and owner-friendly: retaining profits triggers no additional Corporate Tax, since the 9% tax (above the AED 375,000 threshold) applied when the profits were earned. And with no dividend withholding tax as of October 2026, the retain-versus-distribute decision is driven by cash needs and investment plans, not by tax arbitrage.
# Worked example
Palm Marine Services LLC starts 2024 with retained earnings of AED 800,000. During 2024 it earns net profit of AED 450,000 after Corporate Tax. In November the shareholders declare an interim dividend of AED 200,000, paid in December.
Closing retained earnings are AED 800,000 plus AED 450,000 minus AED 200,000, which equals AED 1,050,000. The statement of changes in equity shows exactly this reconciliation, and the balance sheet equity section reads: share capital AED 300,000, retained earnings AED 1,050,000, total equity AED 1,350,000.
In 2025 the company wins a big contract but the client defaults, producing a net loss of AED 1,300,000. Retained earnings fall to negative AED 250,000. Total equity is now just AED 50,000 against a bank facility of AED 900,000. The auditor flags going concern, the bank reviews its covenants, and the partners must decide whether to inject capital. One bad year erased a decade of accumulation — the arithmetic of retained earnings cuts both ways.
# Common mistakes
Mistake one is treating retained earnings as spendable cash and declaring dividends the bank account cannot cover. Always reconcile: distributable profits for legality, cash and facilities for reality.
Mistake two is declaring dividends while in accumulated deficit, sometimes by netting current-year profit against brought-forward losses incorrectly. If opening retained earnings are negative AED 500,000 and this year's profit is AED 200,000, there are still no distributable profits — the deficit must be cleared first.
Mistake three is forgetting that dividends are declared gross of nothing in the UAE — there is no withholding to deduct as of October 2026 — but shareholders receiving dividends in their home countries may face tax there. The UAE company's books are clean; the shareholder's personal position may not be.
Finally, small companies often never formally declare dividends, just taking cash. Undocumented drawings create tax and legal exposure: document every distribution with a board or shareholder resolution, especially before an audit or a sale.

Frequently asked questions
Are retained earnings the same as cash?
No — this is the single most misunderstood point in small-business finance. Retained earnings of AED 2 million might sit in a bank account, or might be locked in unpaid customer invoices, stock on shelves and office fit-outs. The balance tells you profits were earned and kept; only the cash flow statement and bank balance tell you what is spendable. Never approve a dividend on the retained earnings figure alone.
What does negative retained earnings mean?
It means accumulated losses and dividends have exceeded all profits earned to date — the company has, in total, lost money over its life. It directly reduces total equity and, if large enough, can push equity negative. Under UAE company law, deep accumulated losses can trigger the requirement for partners to convene and decide the company's future, so a negative balance deserves a board conversation, not just a footnote.
How do retained earnings differ from net profit?
Net profit is one year's result; retained earnings are the lifetime accumulation. Each year's net profit (after tax) is added to opening retained earnings, then dividends declared are deducted, to reach the closing balance. Think of net profit as the year's rainfall and retained earnings as the reservoir level — related, but very different measures.
Can a company pay dividends if retained earnings are negative?
No. Dividends must come from distributable profits, and negative retained earnings mean there are none — the company first has to earn its way back into surplus. Paying a dividend while in accumulated deficit is effectively a distribution out of capital, which UAE law prohibits. Directors and managers who approve such payments can face personal liability to restore the funds.
Do retained earnings attract UAE Corporate Tax?
No additional tax arises merely from retaining profits — Corporate Tax at 9% (above the AED 375,000 threshold) was already charged on the profits in the year they were earned. The decision to retain versus distribute is tax-neutral under current UAE law: dividends paid to UAE shareholders face no withholding tax as of October 2026, so the choice is commercial, not fiscal.
What is an appropriation of retained earnings?
An appropriation moves amounts within equity — for example, transferring profit to a statutory reserve required by the company's articles, or earmarking funds for a planned expansion. Total equity does not change; the money is simply labelled. UAE companies sometimes maintain a statutory reserve of 10% of annual profits until it reaches a set percentage of capital, depending on their constitutional documents.
How are retained earnings presented in financial statements?
They appear as a separate line within the equity section of the balance sheet, and the statement of changes in equity reconciles the opening balance to the closing balance through profit, dividends and other movements. UAE auditors expect the retained earnings note to tie exactly: opening balance, plus total comprehensive income, minus dividends, plus or minus prior-year adjustments, equals closing balance.
