EV Battery Storage transfer pricing documentation UAE: master file, local file, disclosure form and the five methods for EV battery storage company.

ev battery storage transfer pricing documentation uae

EV Battery Storage transfer pricing documentation UAE: under Articles 34–36 of Federal Decree-Law No. 47 of 2022, every transaction between related parties must be priced at arm's length — and the documentation proves it. This guide covers the three pieces (master file, local file, disclosure form), the AED 3.15 billion and AED 200 million thresholds, the five pricing methods, and the honest documentation assessment for battery storage companies.

# What UAE transfer pricing documentation is — the three pieces in plain terms

Transfer pricing documentation is the evidence behind the arm's-length principle. Articles 34 to 36 of Federal Decree-Law No. 47 of 2022 — the UAE Corporate Tax Law — require transactions between related parties and connected persons to be priced as if they had taken place between independent parties. The documentation is how a business proves, on paper, that its related-party prices meet that standard. It comes in three pieces, and confusing them is the most common mistake in the whole topic.

The three pieces

The master file is the group-level story: who the group is, what it does worldwide, where its intangibles and financing sit, and what its transfer-pricing policies are. It is due, together with the local file, where the taxable person's own revenue is AED 200,000,000 or more, or it is a constituent of a multinational group with consolidated revenue of AED 3,150,000,000 or more, in the tax period (Article 2(1), Ministerial Decision 97/2023).

The local file is the entity-level story: the UAE taxable person's own controlled transactions, the method chosen for each, the rejected methods and why, the benchmarking, and the computations. It is due on the same two alternative tests as the master file: own revenue of AED 200,000,000 or more, or membership of a multinational group with consolidated revenue of AED 3,150,000,000 or more, in the tax period (Article 2(1), Ministerial Decision 97/2023).

The disclosure form travels with the corporate tax return — filed within 9 months of the end of the tax period (Article 55(1), CTGTP1 §6.5). It summarises the related-party dealings; it is not the documentation itself. Note carefully: there is no standalone downloadable disclosure form — the guide contains a sample, and the live mechanics sit in EmaraTax, which this page does not pretend to screenshot.

The two duties that apply regardless of size

First, contemporaneous preparation: the master file and local file must be prepared as the transactions happen, not reconstructed when the FTA writes. Second, the 30-day request clock: under Article 55, the files must be submitted within 30 days of an FTA request. A file built after the request arrives is late by design.

# Who owes what: the threshold map

Four layers, and most battery storage companies live on the first two. Read the table, find your layer, and act accordingly — the layers are cumulative, not alternative.

| Layer | What it is | Who it catches | Threshold | |---|---|---|---| | 1. Arm's-length pricing | Every related-party and connected-person transaction priced as between independents (Articles 34–36) | Every taxable person with controlled transactions | None — universal | | 2. Disclosure form | Summary of related-party dealings filed with the corporate tax return, within 9 months of the period end | Taxable persons with controlled transactions to report | No revenue threshold stated | | 3. Local file | Entity-level documentation: transactions, methods, benchmarking, computations | Taxable person with own revenue of AED 200,000,000+, or in an MNE group with AED 3,150,000,000+, in the tax period | AED 200m own revenue or AED 3.15bn group revenue (MD 97/2023) | | 4. Master file | Group-level documentation: structure, intangibles, financing, policies | Constituent of an MNE group with consolidated revenue of AED 3,150,000,000+, or own revenue of AED 200,000,000+ | AED 3.15bn group revenue or AED 200m own revenue (MD 97/2023) |

What this means for battery storage companies

Layer 1 is unavoidable: if two related battery storage companies trade with each other, lend to each other, or share services, the price must be arm's length — no threshold, no exemption, no Small Business Relief carve-out (the arm's-length principle applies even where SBR shelters the resulting income). Layer 2 follows automatically: controlled transactions get disclosed with the return. Layers 3 and 4 are the ones with thresholds, and the honest answer for most battery storage companies is that neither bites — which does not make documentation optional, it makes it proportionate: a contemporaneous file per material controlled transaction, kept where a 30-day request can find it.

The threshold test is per tax period

Revenue is tested for the tax period in question — a business approaching AED 200 million must re-test every year-end. Crossing the threshold mid-growth without noticing is how local-file duties get discovered during an FTA request, which is the most expensive possible moment.

# The five pricing methods, in plain language

The FTA Transfer Pricing Guide (CTGTP1) recognises five methods. The rule is always the same: use the most appropriate method for the transaction, and document why the others were rejected. A method chosen without a rejection story reads as cherry-picked.

1. Comparable uncontrolled price (CUP)

The most direct method: the related-party price is compared to the price of the same or a similar transaction between independents. Works best where markets are transparent — commodity prices, published price lists, observable lease rates. Its weakness is comparability.

2. Resale price method

Starts from the price at which the related buyer resells to an independent customer and subtracts an arm's-length gross margin to arrive at the transfer price. Natural for distributors — the question it answers is what margin an independent distributor would keep.

3. Cost plus method

Starts from the supplier's costs and adds an arm's-length mark-up. Natural for intra-group services and contract manufacturing. Its honesty depends on the cost base: shareholder costs and pass-throughs must stay out.

4. Transactional net margin method (TNMM)

Compares the net profit margin of the controlled transaction (or entity) to the net margins of independents doing comparable things. The workhorse for service fees and routine distributors — less sensitive to product differences than CUP, more sensitive to functional comparability.

5. Profit split method

Splits the combined profit of the transaction between the parties as independents would have split it, based on their contributions. Reserved for cases where both sides bring unique value and one-sided methods cannot capture the economics.

Method selection for battery storage companies

For most battery storage companies controlled transactions, the realistic shortlist is CUP (where transparent markets exist), cost plus (for services and supply), or TNMM (for service fees and routine margins). Profit split is rarely needed at this scale — but where a transaction genuinely has unique intangibles on both sides, saying so explicitly is better than forcing a CUP comparison that does not fit.

# Master file vs local file: what each one actually contains

The master file and the local file answer different questions, and the FTA expects each to answer its own. The contents below follow the FTA Transfer Pricing Guide (CTGTP1) — where the guide's detail could not be verified line-by-line at writing, this page says what the file must achieve rather than reciting a checklist it cannot vouch for.

The master file: the group from 30,000 feet

The master file tells the FTA what the multinational group is: its organisational structure, its business lines, its key intangibles and who developed them, its financing arrangements, its consolidated financials, and its group transfer-pricing policies. Its audience is a reviewer who has never seen the group before — it must make the group's value chain intelligible to a stranger. Due, with the local file, at AED 200 million of own revenue or AED 3.15 billion of consolidated group revenue.

The local file: the UAE entity under the microscope

The local file is where the real work lives for a UAE taxable person: a description of the entity and its business, each controlled transaction described in full, the method selected for each transaction and the reasons the other methods were rejected, the benchmarking analysis with comparables, and the computations tying the transfer prices to the tax return. A local file that lists transactions without method-rejection reasoning is half a file.

Contemporaneous, not retrospective

Both files must be prepared contemporaneously — as the transactions occur and the policies are set. The FTA can request them under Article 55 and they must be submitted within 30 days of the request. Reconstructing a benchmarking study eighteen months after year-end, under a 30-day clock, is how documentation fails: the comparables are stale, the reasoning is invented, and the reviewer can tell.

Language and form

Prepare the files in a form the FTA can actually review — this page does not prescribe a language or a template beyond the guide, but a file the reviewer cannot read is a file that does not exist. Keep the underlying evidence (contracts, invoices, cost records, benchmark sources) referenced and retrievable, not just summarised.

# The disclosure form with the corporate tax return

The transfer pricing disclosure form is the most misunderstood piece of the three — not because it is complex, but because businesses expect it to be the documentation. It is not. It is a summary filed with the corporate tax return, within 9 months of the end of the tax period (Article 55(1) of the Corporate Tax Law; CTGTP1 §6.5).

What it does

It tells the FTA, in structured form, that the taxable person had related-party and connected-person dealings in the period and what they were — the counterparties, the transaction types, the amounts, the methods applied. Think of it as the index to the documentation: the form points at the transactions, the master and local files (where due) prove the pricing, and the contemporaneous transaction files prove it where the formal files are not due.

What it is not

It is not a substitute for the master file or the local file, and completing it carefully does not cure undocumented pricing. There is no standalone downloadable disclosure form — CTGTP1 contains a sample of the form (§6.5), and the live filing mechanics sit inside EmaraTax. This page does not describe portal screens it could not verify; confirm the current filing mechanics in EmaraTax or with your tax agent before the return deadline.

The practical consequence for battery storage companies

If battery storage companies have controlled transactions in the period — and the transaction map in section 7 shows they almost certainly do — the disclosure form will list them. That listing is then the FTA's reading list: every transaction disclosed is a transaction the authority can ask about within the 30-day request framework. File the form accurately, and make sure the documentation behind each listed transaction exists before the form is filed.

# The honest assessment for battery storage companies

Battery-storage projects are capital-heavy and group-funded, which makes the intra-group loan the vertical's defining controlled transaction. The parent or a treasury company funds the project SPV, and the interest rate on that loan must be arm's length under Article 34 — tested against what the SPV could borrow from a third-party lender on comparable terms. At project scale the AED 200 million documentation threshold can actually come into view, so this is one of the few verticals in this batch where a real local file may be due. The file's core is a credit analysis: the SPV's standalone creditworthiness, the loan's terms against market debt, and an explicit statement of any parent support assumed — because implicit support moves the arm's-length rate.

What that means in practice

The assessment above is deliberately blunt because transfer pricing documentation punishes two opposite errors equally: the large business that assumes the thresholds will never catch it, and the small business that assumes documentation is someone else's problem. For battery storage companies, the practical reading is therefore a fork — either the business is approaching the AED 200 million documentation threshold, in which case full local-file discipline starts now, not after crossing; or it sits below the thresholds, in which case the discipline is proportionate but real: every material controlled transaction priced by a stated method, benchmarked against stated comparables, and written down contemporaneously. The worked example in section 8 shows exactly what that looks like for the transaction battery storage companies will actually have.

# The EV Battery Storage controlled-transaction map

Every documentation exercise starts with the map: which transactions, between which related parties, and what each one needs. Below is the controlled-transaction map for battery storage companies — the flows this guide models. Treat the entity descriptions as illustrative and the transaction types as the point: your business's map will have its own names, but it will have the same shapes.

| Controlled transaction | Between | How it is tested | |---|---|---| | Shareholder/project loan | Parent or treasury → project SPV | Interest rate tested by CUP against comparable third-party debt | | EPC or O&M services from a related contractor | Related contractor → SPV | Service/construction pricing; cost-plus / TNMM | | Battery supply from a related manufacturer | Related supplier → SPV | Goods; CUP against market cell/pack prices |

How to read this map

Three rules. First, every row is a transaction the arm's-length principle reaches — there is no de minimis in Articles 34 to 36. Second, each row needs its own method analysis: one method for the whole map is not a transfer-pricing policy, it is a guess. Third, the map is the disclosure form's raw material — the transactions listed here are the transactions the form will summarise, so the map should be complete before the return is filed, not assembled afterwards.

# Worked example: Project SPV loan pricing — pricing and documenting the transaction

"Project SPV loan pricing" (illustrative): the intra-group loan funding the storage project's construction. The transaction is priced under the comparable uncontrolled price (CUP) method, and the file records a AED 12,000,000 intra-group loan to the project SPV priced at 7% annual interest.

The pricing

AED 12,000,000 × 7% = AED 840,000 per year per year. For this worked arithmetic only, assume a hypothetical benchmarking exercise produces an interquartile range of 5%–9% (illustrative — not an actual market benchmark), i.e. AED 600,000–AED 1,080,000 per year, and the 7% point sits inside that range — which is what “arm's length” means in practice: not a single correct price, but a price inside the range that independent parties would have agreed.

Why this method

The file states the selection explicitly: comparable uncontrolled price (CUP) method was the most appropriate method here, with the reasons the other methods were less reliable recorded alongside — that rejection reasoning is what stops the method looking cherry-picked.

What the file records for this transaction

The contemporaneous record holds four things: the transaction's full description, the method selection with rejection reasoning, the benchmarking analysis (comparable set, adjustments, and the resulting hypothetical 5%–9% range), and the computation tying the AED 840,000 per year price to the tax return. Each element is dated.

What the numbers teach

Two lessons. First, the arm's-length range is the point: AED 600,000 to AED 1,080,000 per year would all be defensible, and the file's job is to show the chosen 7% sits inside it — not to pretend 7% is the only possible answer. Second, the documentation is the deliverable as much as the price: an arm's-length price with no file is an assertion, and assertions do not survive 30-day requests.

Checking the arithmetic: 12,000,000 × 7% = 840,000; 12,000,000 × 5% = 600,000; 12,000,000 × 9% = 1,080,000.

# Watch-outs: five ways transfer pricing documentation goes wrong

Documentation rarely fails on the law and often fails on housekeeping. The first three watch-outs are EV battery storage company-specific; the last two catch every business.

Interest-free or token-rate loans: the most common failure

Implicit support: a lender prices the SPV partly on the parent's shadow

Loan vs equity characterisation: a deeply subordinated, unsecured, payment-in-kind 'loan' may be tested as equity

Downward adjustments are not self-service

As reported (CTGTXR1 §9.3.4), a taxpayer cannot simply book a downward transfer-pricing adjustment to reduce taxable income — downward adjustments are subject to conditions and are not a do-it-yourself year-end lever. Do-not-rely caveat: the adjustment mechanics are stated as reported from the tax-return guide; confirm the current position before making any adjustment. The practical rule: price it right during the year; do not plan to fix it with a journal in month thirteen.

The 30-day clock rewards the prepared

Under Article 55, the master file and local file must be submitted within 30 days of an FTA request — and they must have been prepared contemporaneously. The business that documents as it goes answers the request with a file; the business that planned to document “later” answers it with a panic. Diarise documentation alongside the transactions, not alongside the request.

# Running the documentation: the step-by-step check

Documentation is a discipline, not a project. Run it in order.

The six-step documentation cycle

  1. Map the controlled transactions — every related-party and connected-person flow on the section 7 template.
  2. Select the method per transaction — most appropriate method each time, with the rejection reasoning written down while the choice is fresh.
  3. Benchmark — comparable search, adjustments for differences, interquartile range; keep the sources, not just the conclusions.
  4. Price and record contemporaneously — price and file entry created together, dated, tied to contracts and cost records.
  5. Complete the disclosure form with the corporate tax return — within 9 months of the period end; the form must match the map and the files.
  6. Keep everything request-ready — files and evidence retrievable within the 30-day Article 55 window, every period.

The clocks around the documentation

  • Corporate tax return and payment: within 9 months of the period end — the disclosure form travels with it
  • Master file / local file on FTA request: within 30 days (Article 55) — prepared contemporaneously, not after the request
  • Voluntary disclosure: within 20 business days of awareness
  • Reconsideration: within 40 business days of notification (FDL 28/2022, Art 29); FTA decides within 40 business days; TDRC decisions within 20 business days
  • VAT registration: within 30 days of crossing AED 375,000 (voluntary at AED 187,500); VAT return/payment: within 28 days
  • E-invoicing: pilot/voluntary from 1 July 2026; mandatory 1 January 2027 at AED 50m+, 1 July 2027 for others
  • Small Business Relief through 31 December 2029 (the arm's-length principle still applies to related-party transactions); DMTT 15% for large groups (FYs from 1 Jan 2025); domestic WHT 0%

Two EV battery storage company-specific actions for this week

  1. List every related-party transaction this period on the section 7 template and confirm each has a written pricing basis dated this period.
  2. Test own revenue against AED 200 million and group revenue against AED 3.15 billion — diary it as a year-end control.

# What this page could not verify

A few points on this page rest on reported text or guidance rather than fully verifiable primary sources, and we flag them honestly:

  • Cabinet Decision 100/2023 — named as part of the transfer-pricing framework but its provisions are not verified line-by-line on this page's sources; confirm any specific reliance against the current text.
  • Related-party and connected-person definitions — stated as reported from the Corporate Tax Law; the Arabic original prevails and the definitions were not verified line-by-line at writing.
  • Disclosure-form portal mechanics — the guide contains a sample form (CTGTP1 §6.5) and there is no standalone downloadable form; live EmaraTax mechanics are not verified here.
  • Transfer-pricing penalty amounts — this page states no TP-specific penalty figures because none were verified from a primary source at writing. The AED 10,000 penalty is the corporate tax registration penalty — it is not a transfer-pricing penalty and this page does not conflate the two. Administrative penalties apply under the tax-procedures regime; confirm amounts against current law.
  • Downward-adjustment mechanics (CTGTXR1 §9.3.4) — stated as reported; confirm before making any adjustment.
  • Benchmarking databases and comparable sources — commercial and varied; this page recommends none and states no database-specific practice.
  • FTA review practice beyond the published 30-day request window — no timelines or estimates are stated.

Nothing on this page is a substitute for advice on your business's specific position. The transfer-pricing framework is Articles 34 to 36 of Federal Decree-Law No. 47 of 2022, read with the FTA Transfer Pricing Guide.

FAQ Answers to the questions people actually ask

Frequently asked questions

What is transfer pricing documentation under UAE corporate tax?

Three pieces proving related-party transactions are priced at arm's length under Articles 34–36 of Federal Decree-Law No. 47 of 2022: the master file (group-level) and the local file (entity-level), both due where own revenue is AED 200m or more or group revenue is AED 3.15bn or more, and the disclosure form filed with the corporate tax return within 9 months of the period end.

When must a UAE business prepare a master file and a local file?

A master file and a local file are both due where the business is a constituent of a multinational group with consolidated revenue of AED 3,150,000,000 or more in the tax period, or where the taxable person's own revenue is AED 200,000,000 or more — per Ministerial Decision 97/2023 and the FTA Transfer Pricing Guide (CTGTP1). Both are prepared contemporaneously and submitted within 30 days of an FTA request.

Does the arm's-length principle apply below the documentation thresholds?

Yes — universally. Articles 34 to 36 apply to every related-party and connected-person transaction with no revenue threshold, and Small Business Relief does not switch the principle off. The thresholds gate the master-file and local-file duties, not the pricing duty itself.

What is the transfer pricing disclosure form and when is it filed?

A summary of the period's related-party dealings filed with the corporate tax return, within 9 months of the period end (Article 55(1); CTGTP1 §6.5). It is an index to the documentation, not the documentation — and there is no standalone downloadable form; the guide contains a sample and live filing runs through EmaraTax.

What are the five transfer pricing methods recognised in the UAE?

The comparable uncontrolled price (CUP) method, the resale price method, the cost plus method, the transactional net margin method (TNMM), and the profit split method — per the FTA Transfer Pricing Guide. The rule is always the most appropriate method for the transaction, with the rejected methods and reasons documented.

How quickly must transfer pricing documentation be given to the FTA?

Within 30 days of an FTA request, under Article 55 of the Corporate Tax Law — and the files must have been prepared contemporaneously, as the transactions happened. A benchmarking study reconstructed after the request arrives is late by design, however accurate its numbers.

What happens if transfer pricing documentation is missing or wrong?

The FTA can adjust non-arm's-length prices to the arm's-length amount, and administrative penalties can apply under the tax-procedures regime. This page states no TP-specific penalty figures — the AED 10,000 penalty is the corporate tax registration penalty, not a transfer-pricing penalty — so confirm amounts against current law with a qualified adviser.

Does a battery-storage project need transfer pricing documentation?

This is one of the few verticals where a real local file may be due — project scale can approach the AED 200 million revenue threshold, so test it every tax period. Either way, the intra-group project loan must carry an arm's-length interest rate under Article 34, tested by CUP against comparable third-party debt for the SPV's credit profile.

What is the biggest transfer-pricing documentation risk for a battery-storage SPV?

An interest-free or token-rate shareholder loan. The FTA can impute arm's-length interest on a zero-rate related-party loan, turning a 'free' loan into taxable income for the lender and a denied deduction position for the borrower. Price the loan as if a bank were writing it.

How is implicit parent support treated in the loan pricing?

It must be stated explicitly in the file. A lender prices the SPV partly on the parent's shadow — assuming full support vs no support moves the arm's-length rate by real percentage points. Document the credit analysis, the assumed support, and the comparable debt terms together.
