Juice Bar Corporate Tax Registration UAE: EmaraTax Steps, Deadlines and the AED 10,000 Penalty

How UAE juice bars register for corporate tax: EmaraTax steps, documents, the AED 10,000 late penalty, Small Business Relief and a worked AED example.

Juice Bar Corporate Tax Registration UAE: EmaraTax Steps, Deadlines and the AED

A UAE juice bar must register for corporate tax with the Federal Tax Authority via the EmaraTax portal once licensed and trading. Registration is free and online, but missing the deadline draws an AED 10,000 penalty. The juice bar then files a corporate tax return within nine months of each financial year-end: 0% on the first AED 375,000 of taxable income, 9% above, with Small Business Relief available to eligible outlets with revenue of AED 3 million or below.

Basis: UAE Legislation (ELAWS)

# Juice bar corporate tax registration UAE: who must register and why kiosks cannot wait

Corporate tax reaches every juice bar trading in the UAE — the mall kiosk, the standalone cafeteria, the beachfront outlet and the franchise unit alike. Once a food-and-beverage trade licence is issued and the business starts selling, the licence holder is a taxable person and must register for corporate tax with the Federal Tax Authority (FTA) through the EmaraTax portal. Registration is free, completed online, and separate from both filing the annual return and paying any tax. Owners who treat registration as optional paperwork discover the mistake through the penalty notice: late registration draws a flat AED 10,000 administrative penalty, regardless of whether the outlet owes a dirham of tax.

Juice bars have a particular reason to register promptly. The sector runs on thin margins and high revenue churn — a busy outlet can cross significant turnover while the owner is still focused on fit-out snags and staff visas. Registration creates the compliance calendar: the confirmed tax period, the nine-month filing deadline after each year-end, and the return on which Small Business Relief is elected. Most single-outlet juice bars sit under the AED 3 million revenue line and will elect the relief, but the election happens on the filed return — which presupposes registration. An unregistered outlet cannot claim relief it never filed for.

This guide covers who registers, which structure the outlet uses, how Small Business Relief interacts with juice-bar economics, the EmaraTax steps, the deadlines and penalties, and a worked example with real numbers.

# The trigger: trade licences, kiosks and franchise structures

The registration duty follows the licence holder. A limited liability company operating the juice bar registers as a juridical person; a sole establishment or individual licensee registers as a natural person conducting business. Mall kiosks operating under the same licence as the main outlet do not register separately — one taxable person, one registration, one consolidated return covering all outlets.

The licence-activity check

Before registering, confirm the trade licence actually covers the activities the outlet performs. A licence issued for 'cafeteria' that now sells bottled juices wholesale to offices, or a kiosk licence stretched to cover catering, creates an activity mismatch the FTA can question during registration or later review. Amend the licence first; it is faster than explaining the gap.

Franchise outlets

A franchisee registers its own company — the franchisor's registration does not cover it. Royalty and marketing-fund payments to the franchisor are deductible expenses of the franchisee provided they are genuine business costs at arm's length, documented by the franchise agreement and invoices. The franchisor, in turn, includes the royalties in its own taxable income.

Delivery-only and cloud-kitchen juice brands

A juice brand operating from a cloud kitchen with no dine-in counter is still carrying on business under its licence and must register like any other outlet. The absence of a shopfront changes nothing for corporate tax — but it changes the record-keeping: aggregator settlement reports become the primary sales record, and owners must reconcile every payout to the revenue figure. Delivery-only brands should also confirm their licence activity covers food preparation at the cloud-kitchen location, since operating from an unlicensed site creates problems beyond tax.

Corporate tax outcome fork for a juice bar: Small Business Relief versus the 0%/9% rates A decision diagram: after EmaraTax registration, revenue of AED 3 million or below leads to the Small Business Relief election and zero taxable income through 2029; revenue above that leads to the standard 0% on the first AED 375,000 and 9% above. After registration: which tax path? Annual revenue ≤ AED 3 million? Yes Small Business Relief elected Taxable income treated as nil Tax payable: AED 0 No Standard rates 0% on first AED 375,000 of taxable income 9% on the remainder Both paths still require registration and filing — relief is elected on the return, and ends for periods after 31 Dec 2029.
The post-registration fork for a juice bar: Small Business Relief for revenue at or below AED 3 million, or the standard 0%/9% corporate tax rates above it.

# What counts as taxable income in a juice bar: margins, wastage and the free-drinks trap

Juice-bar taxable income is revenue minus deductible expenses, but the sector has quirks that routinely trip up first-time filers.

What counts as revenue

All sales: walk-in, delivery aggregator orders (recorded gross, with the aggregator's commission as a separate expense), catering, and bottled-juice wholesale. Discounts reduce revenue; free promotional drinks do not create revenue but their ingredient cost is deductible.

Deductible costs with sector traps

  • Ingredients and packaging: fruit, vegetables, milk, ice, cups, straws and lids — deductible as cost of goods sold.
  • Spoilage and wastage: deductible where supported by records — daily waste logs, supplier credit notes for short-dated produce, and periodic stock counts. A juice bar that writes off 8% of fruit with no records will struggle to defend the figure.
  • Aggregator commissions: deductible as a selling expense; record them separately from revenue rather than netting them off sales.
  • Rent, wages, utilities, municipality and food-safety fees: deductible ordinary business expenses.
  • Owner drawings and personal expenses: not deductible. The owner's weekly cash 'salary' taken from the till is a drawing, not a wage, unless structured as a genuine employment with payroll records.
  • Fines: municipality or health fines are not deductible.

The free-drinks trap

Giving away 200 free smoothies at a mall opening costs the outlet the fruit and cups — say AED 3 each, or AED 600 deductible. The AED 15 menu price times 200 (AED 3,000 of 'lost' sales) is not a deductible loss. Books that record promotions at menu value overstate both revenue and expenses.

# Small Business Relief: why most juice bars register but pay nothing until 2030

Small Business Relief is the reason most single-outlet juice bars will register, file, and pay nothing through the decade's end. A resident taxable person with revenue of AED 3 million or below may elect the relief for tax periods ending on or before 31 December 2029 and be treated as having no taxable income. The typical neighbourhood juice bar — annual revenue AED 1.5 million to AED 2.8 million — qualifies comfortably.

The mechanics matter. The relief is elected on the tax return, so registration and filing remain mandatory. The revenue test is gross revenue: aggregator sales count at their full menu value before commissions, and wholesale bottled-juice sales count in full. An outlet doing AED 2.7 million in sales with AED 400,000 of aggregator commissions tests at AED 2.7 million, not AED 2.3 million — still under the line, but the distinction matters for busier outlets.

Multi-outlet operators must aggregate: three kiosks doing AED 1.2 million each belong to one taxable person with AED 3.6 million of revenue — above the threshold, so no relief, and tax computed at 0% on the first AED 375,000 of combined taxable income and 9% above. Growth has a tax consequence here, and expanding from two kiosks to three can be the step that crosses the line. The relief's sunset — periods ending after 31 December 2029 — means today's small outlet should use the relief years to professionalise its books for the post-relief era.

# VAT registration runs alongside: the second registration most juice bars need

Almost every juice bar that registers for corporate tax also needs VAT registration, because the mandatory VAT threshold is AED 375,000 of taxable supplies — a figure a functioning juice bar passes within months. The two registrations are separate applications on EmaraTax, with separate numbers and separate returns: VAT returns are typically quarterly, corporate tax annually. Owners sometimes assume one registration covers both taxes; it does not.

The sequencing that works: register for corporate tax first (or at the same time), then handle VAT registration within 30 days of crossing the threshold — late VAT registration carries its own AED 10,000 penalty. Keep the registrations' details consistent: the same trade licence number, the same financial year-end, the same business address. Inconsistent data across the two registrations is a common source of FTA clarification requests.

Input VAT on ingredients, packaging, equipment and rent (where charged) is recoverable on the VAT return once registered, which is the upside that softens the compliance burden. The corporate tax return then taxes the net profit after those same costs — the two systems share the books but serve different masters.

# Registering on EmaraTax: documents, steps and realistic timelines

Corporate tax registration runs through EmaraTax with no fee. Assemble the file before starting.

Documents to have ready

  • Valid food-and-beverage trade licence
  • Emirates ID and passport of the owner or authorised signatory
  • Certificate of incorporation and memorandum of association (for LLCs)
  • Proof of outlet address — tenancy contract, Ejari registration or mall lease
  • A monitored mobile number and email address for FTA correspondence
  • Financial year-end, if other than the calendar year

The steps

  1. Create or log in to an EmaraTax account.
  2. Select corporate tax registration and the correct applicant type (juridical person for an LLC, natural person for a sole establishment).
  3. Enter the trade licence details exactly as they appear on the licence.
  4. Complete the activity, address and financial year sections.
  5. Upload supporting documents and submit.
  6. Monitor the dashboard for FTA clarifications and respond quickly.

Realistic timelines

Clean applications are typically processed within days to a few weeks. Food businesses sometimes face extra scrutiny where the licence activity description is vague ('foodstuff trading' for a business that is clearly a juice bar), so make sure the licence wording matches the actual operation before applying. Registering in the same week the licence issues avoids the deadline pressure entirely.

# Deadlines, the AED 10,000 penalty and the compliance calendar

The FTA's staggered registration deadlines applied to businesses already licensed when corporate tax arrived; new juice bars are expected to register promptly after licensing. The penalty for missing the applicable deadline is AED 10,000 — flat, and unrelated to the tax bill. For a kiosk netting AED 8,000 a month, that is more than a month's profit erased by a form.

The calendar after registration

  • Corporate tax return and payment: within 9 months after each tax period ends. December year-end means filing by the following 30 September.
  • VAT returns: quarterly, on their own cycle — do not confuse the two deadlines.
  • Records: keep sales records, supplier invoices, waste logs, payroll and bank statements for the retention period the law requires.
  • Updates: amend the EmaraTax profile when the licence renews with changes, the outlet relocates, or the signatory changes.

Closing down

Surrendering the trade licence does not automatically deregister the business for corporate tax. Apply for deregistration on EmaraTax and file a final return; otherwise the FTA keeps expecting annual filings and can penalise the silence. Juice bars change hands and close frequently — the seller's deregistration and the buyer's fresh registration should be handled explicitly in any business sale agreement.

# Worked example: a mall juice bar's first year under corporate tax

Take a single-outlet juice bar in a Dubai residential mall, structured as an LLC with a December year-end. Its year looks like this:

  • Total sales (walk-in, aggregators at gross value, catering): AED 2,800,000
  • Ingredients and packaging: AED 980,000
  • Outlet rent: AED 540,000
  • Staff wages: AED 620,000
  • Utilities, aggregator commissions, municipality fees and other costs: AED 260,000

Total deductible costs are AED 980,000 + AED 540,000 + AED 620,000 + AED 260,000 = AED 2,400,000. Taxable income is AED 2,800,000 − AED 2,400,000 = AED 400,000.

Without Small Business Relief: the first AED 375,000 is taxed at 0%; the remaining AED 400,000 − AED 375,000 = AED 25,000 is taxed at 9%. Tax payable = AED 25,000 × 9% = AED 2,250.

With Small Business Relief: revenue of AED 2,800,000 is below the AED 3 million threshold, so the outlet elects the relief on its return and is treated as having no taxable income. Tax payable = AED 0.

The arithmetic shows why the relief dominates juice-bar tax planning: the compliance prize is not a clever deduction but the election itself. The outlet must still have registered on time (avoiding the AED 10,000 penalty) and must still file the return claiming the relief — the AED 2,250 of tax it would otherwise owe is less than a quarter of the penalty for failing to register.

# What this page could not verify

This page was written from the Corporate Tax Law, Ministry of Finance guidance and FTA-published materials available up to September 2026, and reviewed by Asad Shaheen. The following points could not be verified to the standard the rest of the page meets.

  • Current EmaraTax processing times for food-and-beverage applicants: turnaround varies with volume and document quality, and the FTA publishes no citable service-level commitment.
  • Exact late-filing and late-payment penalty amounts for corporate tax: the AED 10,000 late-registration penalty is established, but the current schedule for late returns and late payments under the Tax Procedures penalty regime should be confirmed against the FTA's latest published guidance before relying on any figure.
  • Franchise royalty deductibility in specific structures: royalties are deductible as ordinary business expenses where genuine and arm's length, but unusual structures (for example, royalties routed through related offshore entities) raise transfer-pricing questions this page does not resolve.
  • Municipality-level food licensing interactions with federal tax registration: tax registration is federal, but food-safety and outlet licensing sit with emirate authorities and were not cross-checked here.

Where a figure or deadline affects a filing, verify it against the FTA portal or take advice before acting.

FAQ Answers to the questions people actually ask

Frequently asked questions

Does a juice bar in the UAE need corporate tax registration?

Yes. Any juice bar trading under a UAE food-and-beverage licence is a taxable person and must register for corporate tax via EmaraTax, whether it is an LLC, a sole establishment or a mall kiosk. Registration is free; late registration attracts an AED 10,000 penalty.

When must a new juice bar register for corporate tax?

The FTA expected existing licensees to meet staggered deadlines and expects new licensees to register promptly after the trade licence issues. Register as soon as the licence is active rather than waiting for a reminder from the FTA.

What is the penalty for late corporate tax registration in the UAE?

AED 10,000. The flat administrative penalty applies even to a small kiosk that owes no tax — for example, one eligible for Small Business Relief.

Can a small juice bar claim Small Business Relief?

Yes, if it is a resident taxable person with revenue of AED 3 million or below. The relief is elected on the tax return for periods ending on or before 31 December 2029, and treats taxable income as nil. Registration and filing are still required.

What documents does a juice bar need for EmaraTax registration?

Have the trade licence, Emirates ID and passport of the owner or signatory, company incorporation documents if an LLC, proof of the outlet's address (tenancy contract or mall lease), monitored contact details, and the financial year-end.

Can each outlet of a juice bar chain register separately for corporate tax?

No. A juice bar cannot register a corporate tax entity separately from its legal owner; the taxable person is the licence holder, and each outlet's results consolidate into that person's return. A franchisee registers its own company and deducts royalties paid to the franchisor.

Is fruit wastage and spoilage tax deductible for a juice bar?

Spoilage and wastage are deductible as a cost of goods sold where supported by stock records — daily waste logs, supplier credit notes for short-dated fruit, and inventory counts. Undocumented shrinkage is harder to defend in a review.

Are Talabat and Deliveroo commissions deductible?

Delivery aggregator commissions are an ordinary business expense and deductible. Free promotional drinks are deductible at their ingredient cost, not at the menu price — the foregone margin is not a deductible loss.

Do I need to deregister for corporate tax if I close my juice bar?

Yes. Surrendering the trade licence does not end the tax obligation automatically — apply for corporate tax deregistration on EmaraTax and file a final return, or the FTA keeps expecting filings.

When is a juice bar's first corporate tax return due?

Within 9 months after the end of the tax period. A juice bar with a December year-end files by the following 30 September, claiming Small Business Relief on the return where eligible.

What is the corporate tax rate for a juice bar in the UAE?

0% on the first AED 375,000 of taxable income and 9% on the excess. Most single-outlet juice bars with revenue of AED 3 million or below instead elect Small Business Relief on the return, which treats taxable income as nil for periods ending on or before 31 December 2029.

What records must a juice bar keep for corporate tax?

Daily sales records (including aggregator settlement reports), supplier invoices, waste and spoilage logs, payroll records, bank statements, the tenancy contract and the workings behind the tax computation — kept for the retention period the law requires, in a form the FTA can audit.
