Real Estate Tax for Scrap Battery Recycling Plants in the UAE

VAT on industrial leases for UAE battery recycling plants: bare-land exemption, landlord TRN checks, key money, fit-out input VAT and rent deductions.

Real Estate Tax for Scrap Battery Recycling Plants in the UAE

A scrap battery recycling plant leasing industrial premises in the UAE pays 5% VAT on built-warehouse rent where the landlord is VAT-registered — but a bare-land lease is VAT-exempt, and the land’s status is assessed at each tax point. Key money is taxable at 5% as lease consideration; rent-free months and refundable deposits are not. Tenant fit-out (drainage, epoxy floors, extraction) carries recoverable input VAT on valid tax invoices, and rent is deductible for corporate tax. Always verify the landlord’s TRN on EmaraTax first.

Basis: UAE Legislation (ELaws)

# How VAT applies to a recycling plant's industrial lease

The scrap battery recycling real estate tax position of a UAE plant is decided before the first battery is crushed — in the lease. Recycling operators sit on some of the most VAT-sensitive premises in the industrial market: large warehouses with chemical fit-out, open yards for stockpiles, weighbridges, bunded drainage and fume extraction. Every one of those premises choices carries a VAT consequence, and the two most expensive mistakes — paying VAT on an exempt bare-land lease, and paying VAT to a landlord who is not registered to charge it — are both made on signing day.

What this page covers

This is the deep service how-to for the premises side of a scrap battery recycling business: how VAT applies to industrial leases, the bare-land versus built-asset distinction that decides exemption, landlord TRN verification, the treatment of key money, rent-free periods and deposits, input VAT recovery on plant fit-out, and the corporate tax treatment of rent and capex. The sector overview lives on the hub; this page is the lease file.

The premises VAT map

A recycling plant's premises costs fall into four VAT buckets: (1) rent for a built warehouse or unit — taxable at 5% where the landlord is registered; (2) rent for bare land — exempt; (3) one-off lease payments such as key money — taxable at 5% as lease consideration; and (4) fit-out and capex — taxable at 5% with input VAT recoverable by the tenant. Getting each cost into the right bucket is the whole discipline.

Why recycling plants are special

Few tenants improve leased premises as heavily as a battery recycler: acid-resistant drainage, bunded containment, epoxy floors, extraction systems and weighbridges can cost as much as a year's rent. That makes the tenant-versus-landlord works question — who contracts the fit-out — a bigger VAT decision here than for an ordinary warehouse tenant.

# Bare land vs built premises: the exemption that changes everything

The starting rule is simple; the exceptions are where the money is. Commercial and industrial property leases are standard-rated supplies in the UAE: a VAT-registered landlord must charge 5% VAT on the rent and issue a tax invoice, and the tenant recovers that VAT as input VAT. This is not optional and not negotiable — it is the default treatment of every built industrial unit, warehouse and office in the country.

The landlord must be registered

The 5% only applies where the landlord is actually VAT-registered. Registration is mandatory above AED 375,000 of taxable supplies in the previous twelve months (or expected in the next thirty days), so most professional industrial landlords are registered — but private individual landlords of single units often are not. The tenant's protection is the TRN check described below: no verified TRN, no VAT payment.

The tax invoice is non-negotiable

Input VAT on rent is recoverable only with a valid tax invoice showing the landlord's TRN, the tenant's details, the rent period and the VAT charged. A rent receipt, a bank transfer slip or a line in the tenancy contract is not a tax invoice. Whether the landlord invoices annually or quarterly, each invoice must be a proper tax invoice.

Advance rent and tax points

Where rent is invoiced or paid in advance, the VAT is due at the earlier of invoice or payment — the tax point. A full year's rent of AED 600,000 invoiced in January triggers AED 30,000 of input VAT in the January tax period (5% × 600,000 = 30,000), not spread across the year. Budget the cash flow accordingly: the VAT is paid upfront and recovered in the return.

The quarterly rhythm

Most industrial leases invoice quarterly: AED 150,000 rent plus AED 7,500 VAT per quarter (5% × 150,000 = 7,500). Match each invoice to the VAT return period in which it was issued, and keep a rent-VAT schedule — reviewers of refund claims routinely ask for it.

Bare industrial land is VAT-exempt; a built warehouse unit carries 5% VAT on rent A decision fork for scrap battery recycling premises. Leasing bare industrial land means the supply is exempt, so no VAT is charged on rent. Leasing a built warehouse or unit means 5% VAT applies to the rent, recoverable as input VAT by a VAT-registered tenant. Industrial lease? Bare land Exempt supply 0% VAT on rent No input VAT to claim Built warehouse Taxable supply 5% VAT on rent Recoverable as input VAT Mid-lease development of bare land can change the treatment — check the lease wording. Verify the landlord’s TRN before paying any VAT.
Bare land is exempt, so no VAT on its rent; a built warehouse is a taxable supply at 5%, which a registered recycler recovers as input VAT.

# Verifying your landlord's TRN before paying a fils of VAT

Here is the distinction that decides whether a recycling operator's premises bill carries 5% VAT or none at all. The supply of bare (unimproved) land is exempt from UAE VAT. The lease of a built warehouse, an industrial unit, or land with buildings on it is taxable at 5%. A recycling business choosing between an open plot for a sorting yard and a built warehouse is therefore choosing between two VAT regimes.

What counts as bare land

Bare land means land with no buildings or substantial structures on it — an open plot, a graded yard, a stockpile area. A plot with a site office cabin, a weighbridge and fencing is a judgement call: minor structures ancillary to the land's use as land do not necessarily make it 'developed', but a warehouse shell, a concrete plant pad or permanent buildings do. Where the status is borderline, document the position and consider a ruling rather than assuming exemption.

Assessed at the tax point — the mid-lease trap

The FTA's real-estate guidance assesses the land's status at the date of supply: a bare-land lease signed as exempt stays exempt for the supplies already made, but where a new tax point occurs after the tenant has built on the land, the supplier reassesses the status at that point. For a recycler this is a live risk: lease an exempt open plot, pour a concrete pad and erect a processing shed, and the rent invoiced after development may become taxable at 5%.

Do-not-rely note

The developed-mid-lease reassessment is the FTA's stated position in its real-estate guidance, but its application to a tenant-built industrial pad is fact-sensitive — what was built, when each tax point falls, and what the lease says all matter. Do not treat this section as a ruling for your site; get the position confirmed in writing for the specific plot and build programme.

The arithmetic of the choice

An 8,000 sqm open plot at AED 180,000 a year: exempt, so AED 180,000 with no VAT and no input VAT to recover. A 5,000 sqm built warehouse at AED 600,000 a year: AED 600,000 plus AED 30,000 VAT, of which the AED 30,000 is recovered as input VAT. The exempt plot is cheaper in cash terms but gives no input VAT; the built unit costs VAT that comes straight back. The decision is operational first, VAT second — but the VAT must be priced in.

# Key money, rent-free periods and deposits

Every dirham of rent VAT you pay to an unregistered landlord is a dirham you cannot recover. Industrial estates in the UAE mix large registered developers with small private landlords, sub-landlords and musataha holders — and VAT discipline varies wildly across them. The TRN check is a five-minute control that belongs in every lease file.

The verification steps

  1. Ask the landlord (or the broker) for the 15-digit TRN before signing — put the TRN in the lease itself.
  2. Verify the TRN on the FTA's EmaraTax portal; a valid TRN confirms the landlord is registered to charge VAT.
  3. Check the name on the tax invoice matches the registered name — invoices from a 'management company' with a different TRN than the lease landlord need explaining.
  4. Re-verify at each renewal: registrations lapse, and a landlord who was registered last year may not be this year.

Sub-leases and shared yards

Recycling operators sometimes sub-lease part of a larger plot. The sub-landlord charging you rent is making their own supply: if they are VAT-registered they charge 5% on the sub-rent, regardless of what the head landlord charges them. Verify the sub-landlord's TRN independently — the head lease's TRN is not theirs.

When the landlord refuses or cannot provide a TRN

Treat the rent as VAT-free and do not pay any VAT amount: an unregistered person may not charge VAT, and input VAT paid to one is not recoverable. If the landlord later registers, VAT applies only from registration — it cannot be back-charged for earlier periods. Document the refusal in writing; it is your evidence if the position is ever questioned.

The broker's invoice trap

Brokerage commission on the lease is a separate supply: a VAT-registered broker charges 5% on their commission (typically 5% of annual rent — AED 30,000 commission on a AED 600,000 lease, plus AED 1,500 VAT). Verify the broker's TRN separately and keep their tax invoice; commission VAT is recoverable input VAT like the rent itself.

# Recovering input VAT on plant fit-out and capex

Industrial leases in prime estates often come with entry payments that dwarf a month's rent. Each has its own VAT treatment, and misclassifying them is one of the commonest premises errors in VAT returns.

Key money: taxable consideration

Key money — the non-refundable premium paid to secure the lease — is part of the consideration for the lease supply. A VAT-registered landlord charges 5% on it: AED 100,000 of key money carries AED 5,000 of VAT (5% × 100,000 = 5,000), recoverable by the tenant with a tax invoice. Calling it a 'premium', 'goodwill payment' or 'entry fee' does not change the treatment; substance over labels.

Rent-free periods: no consideration, no VAT

A three-month rent-free period at the start of a AED 600,000-a-year lease saves AED 150,000 of rent (600,000 × 3/12 = 150,000) — and because no consideration changes hands for those months, no VAT is due on them either (5% × 150,000 = 7,500 of VAT not incurred). The lease must state the free months explicitly; a lease that simply shows a 'discounted annual rent' invites the argument that consideration was paid for the whole year.

Refundable deposits: not consideration

A security deposit held against damage and dilapidations, refundable at lease end, is not consideration for a supply — no VAT. But where the contract allows the landlord to retain part of the deposit as a fee (for example, a non-refundable 'deposit' that is really key money by another name), the retained part is consideration and taxable at 5%. Read the deposit clause for what happens on exit, not what it is called on entry.

Advance payments and rent deposits

Advance rent held and applied against future rent is consideration when applied — VAT follows the application, at the tax point of each application. A deposit expressed as 'two months' rent held as security' and returned untouched stays outside VAT entirely.

The fit-out contribution wrinkle

Some landlords offer a 'fit-out contribution' — cash towards the tenant's works. If it is a genuine contribution with no supply back to the landlord, it is outside VAT; if the tenant is really doing works for the landlord, it may be consideration for a supply of construction services. Structure and document contributions carefully.

# Ejari, Tawtheeq and proving the lease

A battery recycling plant's fit-out is industrial construction in miniature: acid-resistant drainage, bunded containment, chemical-grade epoxy flooring, fume extraction, weighbridges and security systems. The 5% VAT on these works is recoverable input VAT — but only where the works are the tenant's supply chain, documented with tax invoices.

Tenant's works vs landlord's works

The recovery question is always: who contracted the work? Works the tenant contracts and pays for directly — drainage contractor, flooring specialist, extraction installer — generate input VAT on the tenant's own tax invoices. Works the landlord does and recharges through a service-charge invoice are the landlord's supply; the tenant recovers the VAT shown on the landlord's recharge invoice instead. Never claim both.

What qualifies as recoverable fit-out

Bunded drainage (AED 320,000 → AED 16,000 input VAT), epoxy flooring (AED 180,000 → AED 9,000), fume extraction (AED 220,000 → AED 11,000) and a weighbridge (AED 80,000 → AED 4,000): total AED 800,000 of works, AED 40,000 of recoverable input VAT (5% × 800,000 = 40,000). Each needs the contractor's tax invoice with the tenant's TRN and the site address — invoices made out to the landlord belong to the landlord's return.

Movable plant vs fixtures

Processing equipment — crushers, separators, furnaces — is movable plant, not fit-out: its input VAT is recovered in the normal way on purchase. Fixtures that become part of the building (built-in drainage, fixed extraction ducting) stay with the premises on exit and may form part of dilapidations negotiations — keep the capex register split between movable plant and leasehold improvements from day one.

Timing: recover when invoiced

Input VAT is recovered in the tax period of the tax invoice, not when the works complete. A six-month fit-out programme generates input VAT across two or three VAT returns — schedule the claims as invoices arrive rather than waiting for handover.

The landlord-approval paper trail

Industrial landlords require written approval for chemical fit-out. Keep the approval with the VAT file: it evidences that the works were the tenant's (supporting input VAT recovery) and protects the dilapidations position at exit.

# Corporate tax: rent deductions and capex depreciation

VAT recovery needs a lease that exists on paper with the authorities — not just a signed contract in a drawer. The tenancy registration systems are the proof.

Dubai: Ejari

Every Dubai tenancy contract must be registered on Ejari. Registration is the landlord's obligation in practice, but the tenant should hold the Ejari certificate: it evidences the lease term, the rent and the parties, and it is required for the trade licence, visas and bank facilities. An unregistered tenancy is a compliance gap that complicates every downstream filing.

Abu Dhabi: Tawtheeq

Abu Dhabi's Tawtheeq system serves the same function — registered tenancy contracts evidencing the lease. Sharjah and the northern emirates have their own municipal attestation processes; the principle is identical: a registered, attested lease.

The VAT file for the premises

Keep a single premises VAT file per site: the registered tenancy contract (Ejari/Tawtheeq), the landlord's verified TRN record, every rent tax invoice, the key-money invoice, fit-out contractor invoices, and the rent-VAT schedule tying invoices to return periods. On a refund claim or audit, this file is the first thing reviewed.

Renewals and amendments

Re-register renewed and amended contracts. A rent increase mid-term needs an amended registration and a fresh TRN check — and the VAT on the increased rent follows the new invoices, not the old ones.

# Designated zones and free-zone premises

The premises story does not end with VAT. For UAE corporate tax, rent and fit-out are treated very differently — one is an expense, the other is an asset.

Rent: deductible when incurred

Rent for the recycling plant is deductible for corporate tax when it is incurred, provided it is wholly and exclusively for the business — which plant rent plainly is. Prepaid rent is spread over the periods it covers: AED 600,000 paid in January for the year is AED 50,000 of deduction per month, not AED 600,000 in January. Key money, as a lease premium, is typically amortised over the lease term for accounts — follow the accounting treatment.

Fit-out: capitalise and depreciate

The AED 800,000 of drainage, flooring, extraction and weighbridge works is capital expenditure: it is capitalised as leasehold improvements and depreciated over the shorter of the asset's useful life and the lease term. A five-year lease with AED 800,000 of improvements gives roughly AED 160,000 of annual depreciation (800,000 ÷ 5 = 160,000) — the deduction comes through depreciation, not as an upfront expense.

Small Business Relief

Eligible businesses can elect Small Business Relief through 31 December 2029, which can simplify the corporate tax position significantly for smaller recyclers under the revenue threshold. The election affects how the rent and depreciation deductions play out — model both positions before electing.

Where the plant is leased from a related party — a common structure where the operating company leases from the owner's property company — the rent must be at arm's length. Above-market rent between related parties invites transfer-pricing adjustment; document the market basis with comparable industrial rents.

Designated-zone premises and corporate tax

A plant in a designated zone does not automatically get Qualifying Free Zone Person status — that depends on the free zone, the activity and the substance conditions. Do not conflate the VAT designated-zone rules with the corporate-tax free-zone regime; they are separate tests.

# Traps recycling operators fall into

Recycling operators are often offered plots in industrial areas that sit inside VAT designated zones, with the suggestion that 'everything is VAT-free there'. For rent, that suggestion is wrong.

Rent is a service — the goods rules do not apply

The designated-zone VAT rules suspend VAT on the movement of goods into, within and between designated zones. Rent is a supply of services, not goods: a VAT-registered landlord of a designated-zone warehouse still charges 5% VAT on the rent, and the tenant recovers it as normal input VAT. The zone changes nothing about the lease invoice.

What the zone does change

Imported processing equipment delivered into the designated zone can move without VAT at the point of import (VAT is accounted for when the goods leave the zone into the mainland). Scrap batteries brought into the zone for processing get the same goods treatment. But the rent invoice, the service charges and the fit-out contractors' invoices are all standard-rated services at 5%.

Service charges in managed estates

Designated-zone industrial estates levy service and maintenance charges — also supplies of services at 5% where the estate operator is registered. Budget them with VAT, recover the input VAT, and keep the invoices: they are a material line for a large site.

The verification still applies

Zone or no zone, the landlord TRN check stands. 'Designated zone' is not a substitute for a verified TRN on the rent invoice.

# Worked example: one year of rent, key money and fit-out

The premises errors that cost recyclers real money are few, repeated and avoidable. Each of the following has appeared in real VAT files.

Paying VAT on an exempt bare-land lease

The operator leases an open plot, the landlord adds 5% 'VAT', and nobody questions it. If the land is genuinely bare, the supply is exempt: the VAT was never due, and input VAT charged on an exempt supply is not recoverable. The fix is contractual — agree the exempt treatment upfront and keep the land-status evidence — not a hopeful line on the VAT return.

Paying VAT to an unregistered landlord

The mirror image: the landlord is not VAT-registered, charges 5% anyway, and the tenant claims it. On review the claim fails — the supplier was not entitled to charge VAT — and the tenant is left with the cost plus penalties exposure. The TRN check at signing prevents this completely.

Key money booked as 'not VAT-able'

A AED 100,000 entry premium coded as a non-VAT balance-sheet item, with its AED 5,000 of VAT unclaimed — or worse, the landlord's invoice ignored and the output VAT undeclared by a sub-landlord. Key money is lease consideration: 5% in, 5% recoverable, on both sides' returns.

Fit-out invoices in the landlord's name

AED 800,000 of contractor invoices made out to the landlord, claimed by the tenant. Input VAT follows the invoice: the tenant cannot recover VAT on someone else's invoice. Get invoices reissued in the tenant's name before the return is filed.

Forgetting the mid-lease development reassessment

The exempt bare-land lease, the concrete pad, the processing shed — and rent invoices that quietly became taxable at the next tax point while the tenant kept treating them as exempt. Calendar a status review whenever the site's physical state changes.

The dilapidations sting

Lease-end reinstatement — removing bunded drainage, making good epoxy floors — is the tenant's cost with recoverable VAT on the contractor's invoice. Budget it during the lease, not at exit: dilapidations bills arrive when cash is tightest.

# Checklist: signing a recycling plant lease

Run this list before the lease is signed — every item is cheaper now than on a VAT return.

Before signing

  • Classify the premises: bare land (exempt) or built unit (5% VAT) — and record the basis.
  • Get the landlord's TRN in writing and verify it on EmaraTax.
  • Confirm key money, rent-free months and the deposit's refund terms in the contract, each with its VAT treatment.
  • Agree who contracts the fit-out works, and in whose name invoices will be issued.
  • Register the tenancy (Ejari/Tawtheeq) and keep the certificate with the VAT file.

During the lease

  • Match every rent invoice to its VAT return period; keep the rent-VAT schedule current.
  • Calendar a land-status review whenever the site's physical state changes (the mid-lease development reassessment).
  • Re-verify the landlord's TRN at each renewal.

At exit

  • Budget dilapidations with VAT, keep the contractor's tax invoice, and recover the input VAT in the exit-period return.

FAQ Answers to the questions people actually ask

Frequently asked questions

Is VAT charged on industrial warehouse rent in the UAE?

Yes, at 5%, where the landlord is VAT-registered. Commercial and industrial property leases are standard-rated supplies, so a registered landlord must add 5% VAT to the rent and issue a tax invoice — the tenant then recovers it as input VAT. Residential leases are exempt; industrial leases are not.

Is leasing bare land for a recycling yard subject to VAT?

No. The supply of bare (unimproved) land is exempt from UAE VAT, so a recycling operator leasing an open plot for a yard or stockpile pays no VAT on the rent — and recovers no input VAT on it either. The exemption turns on the land being bare at the tax point.

How do I verify my landlord's TRN before paying rent VAT?

Ask the landlord for their 15-digit TRN, then verify it on the FTA's EmaraTax portal before signing or paying. Only a registered landlord may charge VAT; an unregistered landlord's rent has no VAT, and VAT paid to one is not recoverable. Re-check the TRN at each renewal.

Is key money on an industrial lease subject to VAT?

Yes. Key money — the non-refundable premium paid to secure the lease — is part of the consideration for the lease supply, so a VAT-registered landlord charges 5% on it, e.g. AED 5,000 VAT on AED 100,000 key money. It is recoverable input VAT for the tenant with a valid tax invoice.

Do I pay VAT during a rent-free period on my plant lease?

No. A rent-free month involves no consideration, so no VAT is due for that month. But check how the contract allocates the free period: VAT follows the consideration actually charged, so the lease should state the free months explicitly rather than burying them in a 'discounted annual rent'.

Can I recover VAT on fit-out of a leased recycling plant?

Yes, where the works are the tenant's — bunded drainage, epoxy floors, fume extraction, weighbridges — the 5% VAT on contractor invoices is recoverable input VAT with valid tax invoices. Works the landlord does and recharges are the landlord's supply; confirm who contracts the work before claiming.

Is my security deposit subject to VAT?

No, provided it is genuinely refundable. A security deposit held against damage and returned at lease end is not consideration for a supply, so no VAT applies. If the contract lets the landlord keep part of it as a fee, that retained part becomes consideration and is taxable at 5%.

Is plant rent deductible for UAE corporate tax?

Yes. Rent for the plant is deductible for UAE corporate tax when it is incurred, provided it is wholly and exclusively for the business. Prepaid rent is spread over the periods it covers. Fit-out capex is not expensed outright — it is capitalised and depreciated under the business's accounting policy.

What if my landlord is not VAT-registered but charges VAT on the rent?

Do not pay it. Ask the landlord to remove the VAT and reissue the invoice without it — an unregistered person may not charge VAT, and input VAT is only recoverable where the supplier was entitled to charge it. Paying it anyway leaves you with an unrecoverable cost and a paperwork dispute.

Does VAT apply to rent for a warehouse inside a designated zone?

Rent is a supply of services, so the designated-zone goods rules do not make it VAT-free: a registered landlord of a designated-zone warehouse still charges 5% VAT on the rent. The tenant recovers it as normal input VAT. Do not assume 'designated zone' means 'no VAT on everything'.
