# What a VAT Group Is — and Why Groups Form One
A VAT group lets two or more related companies be treated as a single taxable person for VAT purposes: intra-group supplies are disregarded (no VAT charged between members), and the group files a single VAT return through a representative member. For a group of UAE companies trading heavily with each other — shared services, intercompany sales, centralized procurement — the VAT group eliminates the VAT friction on every internal transaction: no 5% charged, no input VAT to recover, no cash tied up in the VAT float between sister companies. The group also simplifies compliance: one registration, one return, one payment, instead of a return per company. But the VAT group is not free money — it comes with joint and several liability (every member is liable for the group's VAT debts), administrative conditions, and restrictions that make it unsuitable for some structures. Companies form VAT groups for three reasons: eliminating VAT on intercompany transactions, simplifying compliance across multiple entities, and centralizing the VAT function. This guide covers the formation rules in full: who can join, the conditions, the application, and the ongoing obligations.
The single-taxable-person concept
Once grouped, members are treated as one person: supplies between members are not supplies at all for VAT purposes — they are disregarded entirely, not zero-rated. Supplies to outsiders are the group's supplies, and the representative member accounts for them. This is stronger than zero-rating: there is nothing to report on intra-group transactions, not even in the zero-rated box.
When a VAT group does not help
If group companies barely trade with each other, the VAT group adds joint liability and administrative complexity for no benefit. If members have very different VAT profiles (one fully taxable, one making exempt supplies), grouping can worsen the partial-exemption position. And if a member might be sold, the exit mechanics need planning upfront — which our leaving-a-VAT-group guide covers.
# The Membership Conditions: Who Can Join
The VAT law sets specific conditions for VAT group membership, and every member must satisfy them at all times — not just at application. The core conditions: each member must be a taxable person (registered or registrable for VAT); the members must be related — broadly, under common control through ownership or voting power (the FTA applies specific thresholds and tests, on the exact control percentage in current guidance); each member must have a place of residence in the UAE (the VAT group is a UAE-only concept — foreign companies cannot join); and the members must not already belong to another VAT group. Anti-avoidance overlays the conditions: the FTA can refuse or cancel grouping where the arrangement's main purpose is tax avoidance rather than commercial simplification. In practice, the typical VAT group is a UAE holding company with its UAE operating subsidiaries — all UAE-resident, all under common control, all trading with each other. Joint ventures, minority-held associates, and foreign subsidiaries do not qualify. Test every proposed member against each condition before applying — a single ineligible member can block or break the whole group.
| Condition | Requirement | Common failure |
|---|---|---|
| Taxable person | Each member registered or registrable | Including a non-registrable entity |
| Related / common control | Ownership or voting-power control test | JV partners or minority holdings |
| UAE residence | Place of residence in the UAE for each member | Foreign subsidiary included |
| Single group | Not a member of another VAT group | Overlapping applications |
| Commercial purpose | Not mainly for tax avoidance | Grouping solely to manipulate recovery |
# The Representative Member: Role and Responsibilities
The VAT group acts through a representative member — one of the members nominated to handle the group's VAT affairs. The representative registers the group, files the single VAT return, pays the group's VAT, receives refunds, and corresponds with the FTA. Choosing the representative is a governance decision: pick the member with the strongest finance function, the cleanest compliance history, and the systems to consolidate the group's data — usually the holding company or the largest operating company. The representative's authority should be documented in an intra-group agreement covering data provision deadlines, funding of VAT payments, allocation of refunds, and what happens if a member fails to provide its figures. Remember that joint and several liability means the representative is not the only one on the hook — but in practice, the FTA deals with the representative first. If the representative member leaves the group or becomes ineligible, a new representative must be appointed promptly — a group without a functioning representative cannot file, and late filing penalties do not pause for internal reorganizations.
The intra-group VAT agreement
Document: which member is representative and how it can be changed; each member's deadline for providing VAT data; how VAT payments are funded (who pays what, when); how refunds are allocated; and indemnities between members for errors. This agreement is the operating system of the VAT group — draft it before applying, not after the first disputed payment.
Changing the representative
Notify the FTA of the change through the proper process, transfer the filing credentials and data history cleanly, and ensure no return period falls between representatives. Plan the handover like a finance-system migration — because that is what it is.
# The Application Process on EmaraTax
VAT group registration runs through EmaraTax: the representative member applies for the group, nominating the members and evidencing that each meets the conditions. The evidence file per member: trade licence, proof of UAE residence/establishment, ownership structure showing the control relationship (group chart with percentages), and VAT registration details (TRNs, or the basis for registrability). The FTA reviews the control relationships carefully — this is where applications stall, because 'common control' must be demonstrated, not asserted. Respond to FTA queries with exactly what is asked; partial responses restart the clock. Once approved, the group receives its VAT group registration (the members' individual TRNs are superseded for group purposes), and the effective date of grouping is set — intra-group supplies from that date are disregarded. Supplies before the effective date remain individual supplies with normal VAT. Plan the application timeline around the effective date: many groups align it with a quarter-end to simplify the cutover. After approval, each member's individual VAT registration is effectively absorbed — ensure no member keeps filing individually for group periods.

# Intra-Group Supplies: Disregarded, Not Zero-Rated
The central benefit, stated precisely: supplies between VAT group members are disregarded for VAT purposes — they are treated as if they never happened. No VAT is charged, no invoice VAT is shown, and the transactions do not appear on the VAT return at all (not even as zero-rated supplies). This covers goods, services, intercompany loans' interest (where otherwise taxable), management charges, royalties, and cost recharges between members. The disregarding applies only while both parties are members — supplies to or from a member before joining or after leaving are normal supplies. Three subtleties: first, the disregard does not change the corporate tax or transfer-pricing position — intercompany transactions still need arm's-length documentation for corporate tax. Second, supplies between a member and a non-member (including foreign group companies) are normal supplies with standard VAT treatment. Third, the disregard can affect partial exemption: if the group's combined supplies include exempt supplies, the group's input VAT recovery is apportioned on the combined position — grouping a fully taxable company with an exempt-supply company can reduce the taxable company's recovery. Model the combined partial-exemption position before applying.
# Ongoing Obligations and Compliance
The VAT group's ongoing compliance mirrors a single large taxable person, with group-specific additions. The representative files one VAT return per period covering all members' external supplies, pays the net VAT, and claims refunds. Each member must provide its data to the representative on time — the intra-group agreement's deadlines are the enforcement mechanism. The group must notify the FTA of changes: a member ceasing to meet the conditions, a new member joining, a change of representative, or changes in control. Record-keeping covers the group as a whole: all members' invoices, the intra-group transaction records (kept for corporate purposes even though disregarded for VAT), and the membership-condition evidence. The FTA can audit any member and the group as a whole. Annual health check: re-verify every member still meets the conditions (control percentages change with share transactions), confirm the partial-exemption position if any member makes exempt supplies, and review whether the group still serves its purpose — groups formed for a transaction that has completed should be disbanded rather than maintained.
| Task | Frequency | Owner |
|---|---|---|
| Data provision to representative | Per VAT period | Each member |
| Group VAT return | Per VAT period | Representative member |
| Membership conditions review | Annually (and on any share change) | Group tax function |
| FTA notifications of changes | As they occur | Representative member |
| Partial exemption review | Annually | Group tax function |
| Group purpose review | Annually | Board / tax function |
# Mistakes That Break VAT Groups
VAT groups fail in predictable ways. The ineligible member: a company that never met the control test was included, and the FTA invalidates the grouping retrospectively — years of disregarded supplies become taxable. The silent exit trigger: a partial share sale takes a member below the control threshold and nobody notifies the FTA — the member's supplies should have been taxable from the exit date. The partial-exemption surprise: grouping an exempt-supply business with taxable businesses reduces everyone's recovery, discovered at year-end. The data failure: a member provides its figures late or wrong, the group return is wrong, and joint liability means everyone pays. The zombie group: the commercial reason ended but the group continues, accumulating compliance cost and liability for no benefit. The fix for all five is governance: the intra-group agreement, the annual conditions review, the data deadlines with teeth, and the willingness to disband when the purpose ends. A VAT group is a machine that needs maintenance — unmaintained, it becomes a liability.
The retrospective invalidation
If the FTA finds a member never qualified, it can treat the grouping as never having existed for that member — every intra-group supply involving it becomes a taxable supply retrospectively, with VAT, penalties, and interest. This is the catastrophic failure mode, and it is entirely prevented by proper eligibility analysis at application.
# Form Your VAT Group Properly
A VAT group done right eliminates VAT friction across your UAE operations and simplifies compliance into a single return; done wrong, it creates joint liability for an ineligible structure. TaxAdvisors handles VAT group formation end to end: eligibility analysis for every proposed member, the control-relationship evidence file, the intra-group agreement, the EmaraTax application, the cutover planning, and review of the first group returns. We also model the partial-exemption impact before you commit and run the annual membership health check. If you are considering grouping — or if you have an existing group nobody has reviewed in years — the eligibility review is the place to start. Bring your group structure chart and last four VAT returns; the analysis usually takes a week.

Frequently asked questions
What is a VAT group in the UAE?
A VAT group treats two or more related UAE companies as a single taxable person: supplies between members are disregarded for VAT (no VAT charged, nothing reported), and the group files one VAT return through a representative member. It suits groups with heavy intercompany trading. Members are jointly and severally liable for the group's VAT debts, so only group companies under common control.
Who can join a UAE VAT group?
Each member must be a taxable person (registered or registrable), the members must be under common control (ownership/voting-power test), each must have a UAE place of residence, and none may belong to another VAT group. Foreign companies cannot join. The FTA scrutinizes the control relationship — demonstrate it with a group chart and percentages, not assertions. on the exact control threshold in current FTA guidance.
Are supplies between VAT group members really VAT-free?
They are disregarded — a stronger concept than zero-rating. No VAT is charged and the transactions do not appear on the VAT return at all. This covers goods, services, management charges, and cost recharges between members. But it applies only while both parties are members, and only for VAT — corporate tax and transfer-pricing documentation still apply to intercompany transactions.
What does the representative member do?
The representative registers the group, files the single VAT return, pays the group's VAT, receives refunds, and corresponds with the FTA. Choose the member with the strongest finance function and document the arrangement in an intra-group agreement covering data deadlines, payment funding, refund allocation, and indemnities. If the representative leaves, appoint a successor promptly.
How do I apply for VAT group registration?
The representative applies on EmaraTax with evidence per member: trade licences, UAE residence proof, the group ownership chart showing control, and VAT registration details. Align the effective date with a VAT period-end for a clean cutover. Respond to FTA queries completely — the control-relationship evidence is where applications stall.
Does a VAT group affect corporate tax?
No — the VAT group is disregarded for corporate tax purposes. Intercompany transactions still need arm's-length transfer-pricing documentation, and each company remains separately subject to corporate tax (unless a corporate tax group is separately formed — a different concept with different rules, covered in our comparison guide). Do not confuse the two grouping regimes.
What happens if a member stops qualifying?
It must leave the group — membership conditions apply continuously, not just at application. A partial share sale dropping below the control threshold is the classic trigger. Notify the FTA, and treat the member's supplies as normal taxable supplies from the exit date. Failing to act leaves a period of incorrectly disregarded supplies to be fixed.
Can a VAT group include a company making exempt supplies?
Yes, but model the partial-exemption impact first: the group's input VAT recovery is apportioned on the combined supplies, so adding an exempt-supply member can reduce the recovery of the taxable members. In some structures this destroys the VAT group's benefit. Run the combined recovery calculation before applying — not after the first annual adjustment.
How do I leave or disband a VAT group?
Notify the FTA of the member's exit or the group's disbandment, settle the final group return, and resume individual VAT registrations and filings from the exit date. Plan the exit like the entry: align with a period-end, switch intra-group invoicing back to normal VAT, and document the cutover. Our leaving-a-VAT-group guide covers the process step by step.
