Water Treatment Company Tax UAE: VAT & Corporate Tax 2026

UAE water treatment company tax 2026: 5% VAT on equipment and contracts, composite vs multiple supplies, retention rules, and corporate tax.

water treatment company tax uae

A water treatment company in the UAE charges 5% VAT on equipment sales, installation and maintenance contracts — there is no reduced rate — and must classify each project as one single composite supply or several multiple supplies, because the tax point differs for each component. Retention sums held past 12 months can trigger VAT before the cash arrives. Mainland companies pay 0% corporate tax on the first AED 375,000 of taxable income and 9% above, with Small Business Relief to 31 December 2029.

Basis: Legal Advice Middle East (legislation text)

Default rate: 5%
Water treatment equipment sales, installation and maintenance contracts are all standard-rated at 5% VAT. There is no reduced, zero or exempt treatment for this sector — 5% is the answer unless the supply itself qualifies elsewhere (e.g. a genuine export).
Federal Decree-Law No. 8 of 2017 (standard rate); no zero-rating covers water treatment
Single-supply test tightened
A single composite supply now requires a single supplier AND that the prices of the different components are not separately identified or charged — in the tax invoice, the quote or the underlying contract. Separately priced equipment, installation and maintenance are multiple supplies.
Article 4(4), Cabinet Decision No. 52 of 2017 (VAT Executive Regulation), clarified effective 15 November 2024 (VATP040)
Tax point: installation
For goods that require assembly or installation, the date of supply is the completion of the installation — not delivery to site. Otherwise the earliest of delivery, tax invoice or payment applies.
Article 25, Federal Decree-Law No. 8 of 2017
Retention: 12-month backstop
If more than 12 months pass between providing the goods or services and the retention claim, the expiry of one year from provision becomes the date of supply — VAT is payable even though the retention cash has not arrived.
Article 26, Federal Decree-Law No. 8 of 2017 (post-2023 amendments)
Corporate tax: 0% / 9%
Mainland water treatment companies pay 0% corporate tax on taxable income up to AED 375,000 and 9% above. Small Business Relief can reduce the bill to nil through tax periods ending 31 December 2029 (MD 131/2026).
Article 3, Federal Decree-Law No. 47 of 2022; threshold AED 375,000

# The tax shape of a water treatment project

A water treatment business rarely sells one simple thing. A typical project sells the plant (membranes, pumps, vessels), the labour to install and commission it, and then a one-, three- or five-year operation and maintenance contract — often to a developer or a government utility, often with 10% of the contract value held back as retention until the defects-liability period ends. Every one of those elements is VAT-relevant, and the sector's tax questions all reduce to two things: what rate, and when.

The rate is the easy part. There is no reduced, zero or exempt treatment for water treatment in UAE VAT — equipment, installation and maintenance are all standard-rated at 5%. (The treated water itself, as a supplied good, is also 5% — water and utilities were brought into VAT from day one.) The hard part is the timing and the structuring: whether the project is one single composite supply or several multiple supplies, because that decision changes the date of supply of each component and therefore which tax period's return carries the output VAT. This guide walks through the VAT anatomy of a water treatment project — equipment, installation, maintenance, retention, government contracts and imports — then the corporate tax position, a worked example, and what could not be verified.

# One supply or several? The composite-supply test

A water treatment contract bundles goods (the plant and its components) and services (installation, commissioning, training, maintenance). VAT law asks you to classify that bundle as either a single composite supply — one indivisible supply with one VAT treatment — or multiple supplies, each taking its own treatment and its own date of supply. The FTA's Taxable Person Guide (VATG001, section 5.4) sets out both concepts, and a 2024 clarification made the test materially stricter.

The test now has two limbs. First, the components must be supplied by a single supplier — straightforward where your company delivers everything, less so where you subcontract the civil works or the commissioning to a third party (subcontracted components may still qualify under the same supplier limb per the clarification, but the facts need care). Second — and this is the limb that decides most water treatment contracts — the price of the different components must not be separately identified or charged by the supplier. The clarification (effective 15 November 2024, published as VATP040) looks at the tax invoice, the quote and the underlying contract: if any of them shows equipment at AED 2.2 million, installation at AED 500,000 and maintenance at AED 300,000, there is no single composite supply, however much you describe the project as one turnkey deal. Artificially bundled supplies with separately identifiable prices are multiple supplies, full stop.

In this sector the rate is 5% either way, so why does the classification matter? Because it drives the date of supply (next section), and because the components may not stay at 5% in every fact pattern — exported plants are zero-rated under Article 45, and installation done outside the UAE has its own place-of-supply analysis. Get the classification wrong and you file the VAT in the wrong period, or at the wrong rate. Two rules of thumb: if the customer can and does see separate prices for equipment, installation and maintenance, treat it as multiple supplies; and if you want the single-supply treatment, the contract must genuinely carry one indivisible price with no separate component pricing anywhere in the paperwork.

# The tax point: equipment, installation and maintenance each have one

Once you know whether the project is one supply or several, Article 25 assigns the date of supply — the tax point that decides which return the output VAT belongs to.

For equipment that does not need installation, the rule is the familiar earliest-of-three: delivery, tax invoice, or payment. For water treatment plant — which almost always needs assembly and installation — the Decree-Law has a specific rule: the date of supply is the completion of the assembly or installation. A reverse-osmosis train delivered to a Sharjah site in June but commissioned in August has its tax point in August, even if the invoice went out with the delivery. And the earliest-of-three still lurks underneath: an advance payment received before completion can pull the tax point forward to the payment date, so deposits and milestone payments must be tracked separately from the physical works.

Maintenance and O&M contracts are a different regime: Article 26 treats contracts with periodic payments or consecutive invoices as continuous supplies. The date of supply is the earliest of the tax invoice date, the payment due date shown on the invoice, or the date of receipt of payment — provided none of those exceeds one year from the date of provision. A three-year O&M contract invoiced quarterly produces twelve tax points, and the tax invoice for each must be issued within 14 days of the Article 26 date (the Article 67 timeline was expressly extended to continuous supplies by the 2023 amendments). Spare-parts-only sales ride the Article 25 goods rule; spares bundled into the maintenance price follow the continuous-supply rule. The discipline is a tax-point schedule per contract: every component, every milestone, every recurring invoice, mapped to a date of supply before the return is filed.

# Retention and warranty clauses: VAT before the cash

Retention is where water treatment VAT gets expensive. EPC and developer contracts routinely hold back 5–10% of the contract value until the defects-liability or warranty period ends — 12 to 18 months after handover is normal. The cash arrives late; the VAT does not wait.

Under Article 26 as amended in 2023, if the time between providing the goods or services and claiming the associated retention payment exceeds 12 months, the expiry of one year from the date of provision is added as a specific date of supply. The output VAT on the retained amount becomes payable in the return covering that anniversary — with no corresponding cash inflow. A contractor that completed a AED 2 million plant in March 2026 with 10% retention released in September 2027 owes 5% on AED 200,000 (AED 10,000) in the March 2027 period, eighteen months before the money arrives.

Warranty clauses need the same scrutiny. A two-year free-maintenance warranty bundled into the project price is part of the supply's consideration; a separately priced extended warranty is its own continuous supply with its own tax points. Spare parts supplied free under warranty are the hardest edge — the deemed-supply and FOC treatment was not verified against current FTA guidance for this page, and this is exactly the item to put to your adviser with the actual contract wording. The operational answer is a retention ledger: every contract, its retention percentage, the release milestone, and the one-year backstop date, reviewed before each return.

# Contracts with developers and government entities

Much water treatment work in the UAE is for government utilities, municipalities and government-owned developers. The VAT treatment of these contracts surprises businesses that assume government means tax-free.

It does not. There is no general exemption for supplies made to government purchasers in the VAT Decree-Law: your contract to design, build or maintain a treatment plant for a government utility is a standard-rated supply of services at 5%, and the government entity's procurement department will expect a proper tax invoice. What the law does keep outside the scope of VAT (Article 7, with the boundary drawn by the Executive Regulation) are the sovereign functions of government — the government's own activities, not your supply to it. The precise boundary between sovereign and commercial government activity was not verified line by line for this page, and on a large government EPC contract the contract itself should state the agreed VAT treatment rather than leaving it to inference.

Two practical consequences follow. First, government clients are registered taxable persons and will recover the VAT you charge, so there is no commercial reason to absorb it — price exclusive of VAT and invoice it properly. Second, government payment cycles are slow while your VAT liability follows the Article 25/26 tax points, not the payment date; a milestone completed in June creates June output VAT whether the utility pays in June or December. Build the VAT into the project's cash-flow forecast the same way you build in the retention.

# Imports: the VAT you pay at the port is recoverable

Water treatment is import-heavy: membranes, high-pressure pumps, instrumentation and control systems mostly come from outside the UAE. The VAT treatment is mechanical but the cash flow is real.

On imported goods, 5% VAT is due at the customs event — the date of import is the date of supply under Article 25(4) — calculated on the customs value plus any duty. For a VAT-registered importer this is recoverable as input VAT in the return for the tax period covering the import, subject to the normal conditions: the goods must be for the taxable business and the import documentation must be in order. A AED 1 million membrane shipment ties up AED 50,000 until the return is processed — which is why project cash-flow plans should treat import VAT as working capital, not as a cost.

Imported services are the sharper edge. Overseas engineering design, foreign commissioning specialists and offshore project management fall under the reverse charge: you self-account for 5% output VAT and recover it as input VAT in the same return. Two warnings from the 2023 amendments: first, Article 55 now requires you to receive and retain invoices meeting the VAT law's requirements before recovering input VAT on imported services — a bare bank transfer to a foreign consultant no longer supports the claim. Second, a finprov summary of the January 2026 changes reports that self-invoicing for the reverse charge is no longer required from 1 January 2026, with proper supporting documentation taking its place; that January 2026 change was not verified against the primary legislation for this page, so keep issuing the documentation trail your current filing position relies on until your adviser confirms the new position.

# Corporate tax: mainland 9% or free-zone 0%?

Corporate tax applies to the profit, not the project value. A mainland water treatment company pays 0% on the first AED 375,000 of taxable income in a tax period and 9% above. Taxable income is accounting profit adjusted for the law's add-backs and deductions — on a project business, watch the revenue-recognition timing, warranty provisions and any related-party equipment sourcing, which pull in the transfer pricing rules.

Small Business Relief is the provision that matters most to smaller contractors. Under Article 21 of Federal Decree-Law No. 47 of 2022, an eligible resident person with revenue not exceeding AED 3 million in the relevant tax period and all previous tax periods can elect to be treated as having no taxable income — no corporate tax payable for the period. Ministerial Decision No. 131 of 2026 extended the relief to tax periods ending on or before 31 December 2029. The project-business trap is the revenue test: it is revenue, not profit, that counts, so one large EPC contract can push a thin-margin contractor over AED 3 million and end the relief permanently — including for later, smaller years. A simplified return must still be filed, and the election is made in the return itself.

Free-zone companies have a separate route. A Qualifying Free Zone Person pays 0% on qualifying income, and manufacturing is one of the qualifying activities under Ministerial Decision No. 229 of 2025 — a free-zone company that manufactures treatment equipment may qualify, subject to the full conditions: adequate substance, audited financial statements, transfer pricing documentation and the de minimis rules. The 0% is never automatic; the site's QFZP guide walks through the conditions, and the distribution and service components of the business need to meet the qualifying-activity definitions as currently worded.

# VAT registration: the threshold arrives with the first big contract

VAT registration is mandatory when taxable supplies plus taxable imports exceed AED 375,000 in the previous 12 months, or are expected to exceed that in the next 30 days; voluntary registration is available from AED 187,500. For water treatment companies the threshold usually arrives with the first serious contract, not after a year of trading — a single AED 2 million EPC contract crosses it on signature if the forward-looking test is met, because the 30-day forward look starts the obligation when the contract is signed, not when the invoice goes out.

Once crossed, registration must be completed within the statutory deadline — the site's VAT registration guide records this as a 30-day deadline, corrected from the 20 days some older summaries cited. Late registration draws administrative penalties under the penalty framework (Cabinet Decision No. 129 of 2025, effective 14 April 2026), and the output VAT for the unregistered period remains payable. The pattern that catches project businesses is the lumpy pipeline: a quiet first half followed by two contracts that together breach the threshold in month nine, with nobody running the monthly total. Keep a rolling 12-month tracker of supplies plus imports from day one — on a project business it is the cheapest compliance control there is.

# Worked example: an AED 2m treatment plant project

A mainland water treatment contractor, calendar financial year, supplying a single AED 2,000,000 project plus a maintenance contract. The numbers are illustrative.

The project: equipment AED 1,200,000 delivered and installed, commissioning completed in August 2026; maintenance contract AED 300,000 per year for three years, invoiced quarterly; 10% retention (AED 200,000) on the project value, released 18 months after handover in February 2028.

VAT on the project. The contract prices equipment and installation separately, so these are multiple supplies. Equipment plus installation completed August 2026: 5% on AED 1,700,000 = AED 85,000 output VAT in the Q3 2026 return. The maintenance contract is a continuous supply: AED 75,000 invoiced quarterly, AED 3,750 output VAT per quarter. The retention: 18 months exceeds the 12-month backstop, so the one-year anniversary of provision — August 2027 — becomes a date of supply, and AED 10,000 of output VAT (5% of AED 200,000) falls into the Q3 2027 return, six months before the cash arrives. Total project output VAT: AED 85,000 + AED 45,000 (maintenance over three years) + AED 10,000 (retention) = AED 140,000, spread across eleven returns.

Input VAT: 5% on imported equipment of AED 800,000 = AED 40,000 at the customs event, recoverable in the import period; 5% on local subcontract and operating costs as incurred. Corporate tax: with revenue of AED 2,000,000 in 2026 the company is under the AED 3 million SBR test, so the Small Business Relief election can reduce the 2026 corporate tax to nil — but the 2027 pipeline must be watched, because one more contract of similar size ends the relief.

# What this page could not verify

Stated plainly, as on every page.

First, the January 2026 reverse-charge self-invoicing change reported by a practitioner summary was not verified against the primary legislation for this page — keep your current documentation trail until your adviser confirms the new position.

Second, the VAT treatment of spare parts supplied free under warranty, and the deemed-supply analysis for FOC goods, was not verified against current FTA guidance for this page.

Third, the boundary of sovereign vs commercial government activity under Article 7 and the Executive Regulation was not verified line by line — confirm the agreed VAT treatment in the government contract itself.

Fourth, the QFZP summary — including manufacturing as a qualifying activity — is a high-level description of Cabinet Decision No. 100 of 2023 as reported; confirm the current qualifying-activity definitions and de minimis conditions before relying on the 0% treatment.

Fifth, the transfer-pricing note for related-party equipment sourcing is a flag, not guidance; the UAE transfer pricing rules were not examined in depth for this page.

Sixth, all worked-example figures are illustrative; confirm the current law before acting.

FAQ Answers to the questions people actually ask

Frequently asked questions

Is a water treatment project with equipment, installation and maintenance one supply or several for VAT?

Apply the two-part test. First, is there a single supplier? Second — and decisive since the 15 November 2024 clarification of Article 4(4) of the VAT Executive Regulation — are the prices of the components separately identified or charged in the tax invoice, the quote, or the underlying contract? If your AED 3 million contract prices the equipment at AED 2.2 million, installation at AED 500,000 and maintenance at AED 300,000, that is multiple supplies: each component takes its own date of supply and its own VAT treatment. If there is genuinely one lump-sum price with no separately identified component prices, and the components form one indivisible economic supply, you may argue a single composite supply — but the bar is high, and artificially bundling separately-priced items does not qualify.

When is the tax point for installed water treatment equipment?

For goods that require assembly or installation, Article 25 makes the date of supply the completion of the assembly or installation — not the delivery of the equipment to the site. So a reverse-osmosis plant delivered in June but commissioned in August has its tax point in August. This is separate from any maintenance contract that follows: maintenance with periodic payments falls under the Article 26 continuous-supply rules, with its own tax points at invoice, due date or payment, capped by the one-year backstop. Splitting the dates correctly matters because each date assigns the output VAT to a specific tax period's return.

Can VAT be due on retention money before the client pays it?

Yes — potentially well before you see the cash. Under the post-2023 Article 26, if the gap between providing the goods or services and claiming the associated retention payment exceeds 12 months, the expiry of one year from the date of provision becomes a specific date of supply, and VAT is payable then. Retention clauses of 10% held for 13 or 18 months are standard in developer and EPC contracts, so a water treatment contractor can owe 5% on the retention amount in a period where no money changed hands. Track every retention milestone against its one-year backstop; this is one of the most common VAT surprises in the sector.

Are contracts with UAE government entities VAT-free?

Supplies made to UAE government departments and government-owned developers are standard-rated at 5% like any other commercial supply — there is no general government-purchaser exemption in the VAT law. What sits outside scope are the government's sovereign functions (Article 7 of the Decree-Law, with the Executive Regulation defining the boundary), which is the government's activity, not yours: your contract to build or maintain a treatment plant for a government entity is a taxable supply of services at 5%. The exact boundary of sovereign vs commercial government activity was not verified line by line for this page; on a large government EPC contract, confirm the treatment in the contract itself.

How does VAT timing work on a multi-year maintenance contract?

A maintenance or O&M contract with periodic payments is a continuous supply under Article 26: the date of supply for each billing is the earliest of the tax invoice date, the payment due date shown on the invoice, or the date payment is received — provided it does not exceed one year from the date of provision. The tax invoice must then be issued within 14 days of that date of supply (Article 67 as amended). On an annual contract invoiced quarterly, that means four tax points a year, and the output VAT for each quarter goes into the return covering the invoice or payment date, whichever triggered first.

What VAT applies to imported treatment equipment and foreign engineering services?

VAT paid at customs on imported membranes, pumps and components is recoverable as input VAT by a registered importer, subject to the normal conditions — so importing is a cash-flow cost, not a permanent one. For imported services, such as overseas engineering design or commissioning specialists, the reverse charge applies: you self-account for 5% output VAT and recover it as input VAT in the same return. Note the 2023 amendment to Article 55: input VAT on imported services can now only be recovered if you receive and retain invoices meeting the VAT law's requirements, so do not recover on a bare bank transfer to a foreign consultant.

Can a small water treatment contractor use Small Business Relief?

Where eligible, yes. Small Business Relief (Article 21 of the Corporate Tax Law) lets a resident person with revenue not exceeding AED 3 million in the relevant and all previous tax periods elect to be treated as having no taxable income — so no corporate tax payable. Ministerial Decision No. 131 of 2026 extended it to tax periods ending on or before 31 December 2029. The revenue test catches project businesses: a single large EPC contract can push you over AED 3 million in one year and end the relief permanently, even if margins are thin. A simplified return must still be filed, and the election is made in the return.
