visa cancellation vs tax clearance order
Visa and establishment-card cancellations generally precede the trade licence cancellation — the licensing authority will not cancel a licence that still sponsors people. Tax clearance runs as a parallel track: the FTA work (returns, deregistrations) proceeds while immigration matters are settled, and the two tracks converge at the licence cancellation, which needs both the immigration clearances and the tax evidence.

# The correct order for visa cancellation and tax clearance
Cancel visas before the licence cancellation; run the tax track in parallel. The cancellation needs both tracks complete. Order matters because each step produces the evidence the next step demands. The licensing authority wants to see that the tax position is closed; the FTA wants to see that the business has genuinely ceased the activity each registration covered. So the sequence runs: wind-down resolution first, then the tax reconciliation, then filing and settlement, then deregistration applications, and only then the licence cancellation. Within the tax work itself, VAT deregistration normally precedes corporate tax deregistration. The VAT deregistration carries its own final return and a settlement of the VAT account, and corporate tax deregistration expects the entity's affairs to be substantially complete. Trying to deregister for corporate tax while the VAT registration is still live — or while the final VAT return is unfiled — invites the FTA to ask what the company is still doing that justifies a VAT registration. Where excise tax applies, its deregistration follows the same logic. The licence cancellation is the last domino, not the first: applying early is the most common sequencing error in UAE wind-downs.
# Why the order matters: dependencies and blockers
Each authority checks the others' outputs. The FTA's deregistration workflow verifies that no liability is outstanding on the portal before it approves anything, so an unpaid penalty — even one the company considers trivial — blocks the approval until it is settled. The licensing authority, in turn, checks for the FTA's clearance or deregistration evidence before it cancels the licence; without it, the application is returned. The dependencies also run backwards in time: you cannot file a credible final VAT return until the books are closed through the cessation date, and you cannot close the books until trading has actually stopped and the assets are dealt with. This is why the realistic critical path starts with stopping the business properly — final invoices issued, final purchases recorded, bank position known — and only then moves to the tax filings. Businesses that treat the steps as independent errands to be done in any order discover the hard way that the system is designed as a chain: each link is inspected before the next one is forged.
# What to do when the sequence stalls
Stalls almost always trace to one of three causes: an outstanding balance on the portal, a missing filing, or a document the authority did not accept. Diagnose in that order. Log in to EmaraTax and read the actual ledger — not the company's internal records — because the portal's view is the one that gates progress. If a balance shows, settle it and keep the receipt; if a return shows as unfiled, file it even if the period looks ancient, since the system will not age it out. If the paperwork was rejected, read the rejection reason literally rather than guessing: authorities usually state exactly which document or attestation was missing. Where the stall is a genuine dispute — the company believes the assessment is wrong — the reconsideration route exists under the Tax Procedures Law, but it runs alongside the wind-down rather than pausing it, so keep the undisputed parts moving. And if the stall has lasted months with no movement, get a second pair of eyes on the file: a fresh review by a tax agent often spots the single blocked item everyone else walked past. # Keeping the sequence moving
Sequences stall in the gaps between steps, not inside them. The practical fix is to prepare the next step's inputs while the current step is being processed: while the FTA reviews a deregistration, assemble the licensing cancellation file; while the liquidator advertises, reconcile the final accounts. Keep a single owner for the whole sequence — one person whose job is to know exactly which gate is open and what it is waiting for. And resist the temptation to pause between gates: every idle week is a week in which a new obligation can fall due, and the sequence is cheapest when it moves continuously from the first filing to the clearance.

Frequently asked questions
Can the tax clearance be issued while visas are still active?
The FTA's clearance concerns the tax ledger, not the visa position, so the tax work can complete while immigration matters are still being settled. But the licence cancellation — the step the clearance serves — needs both. In practice, finish whichever track is ready first and let the other catch up; just do not file the cancellation until both are done.
Can the steps for visa cancellation and tax clearance be done in parallel?
Some can. The internal preparation — board resolutions, document gathering, closing the books — runs alongside everything. But the authority-facing steps are sequential by design: the FTA will not approve a deregistration with open liabilities, and the licensing authority will not cancel the licence without the tax evidence. Treat the authority steps as a chain and the preparation as the work you do while the chain moves.
What blocks visa cancellation and tax clearance most often?
Unpaid amounts on the EmaraTax portal, including penalties the company had forgotten about. Unfiled historic returns. A deregistration application submitted before the final return for that tax is processed. And licence-cancellation applications filed before the tax evidence exists. In our experience the blocker is visible on the portal in the large majority of cases — the delay comes from not looking, not from mystery.
