TAXP010: Free Zone and Designated Zone Mean Different Things Under Each UAE Tax

FTA clarification TAXP010 (2 October 2026) confirms Free Zone and Designated Zone status must be tested separately for corporate tax, VAT and excise.

The FTA issued Public Clarification TAXP010 on 2 October 2026 to explain how Free Zones and Designated Zones are defined under the corporate tax, VAT and excise laws. The core message is simple: the definitions differ under each law, so a business must test its location separately for every tax and never carry a status from one tax into another.

# What the FTA clarified on 2 October 2026

Businesses use the terms free zone and designated zone as if they were interchangeable. On 2 October 2026, the Federal Tax Authority issued Public Clarification TAXP010, Free Zones and Designated Zones for Tax Purposes, to correct that habit in one place. The clarification sets out how a Free Zone and a Designated Zone are defined under each of the three federal taxes, corporate tax, VAT and excise tax, and it shows exactly where the definitions part company.

The clarification identifies four separate categories: a Corporate Tax Free Zone, a Corporate Tax Designated Zone, an Excise Tax Designated Zone and a VAT Designated Zone. A single plot of land can sit in several of these categories at once, or in only one of them. The FTA's instruction is direct: test your location under each tax law on its own terms. The clarification creates no new law and changes none. It states the FTA's position, and it applies from the date the relevant legislation took effect, so it reaches back over periods businesses have already filed.

# The corporate tax test: two lists, both must match

For corporate tax, a Free Zone is a defined geographical area inside the UAE that a Cabinet decision specifies. A Corporate Tax Designated Zone is narrower. The area must appear in the list of Designated Zones under the VAT law and, at the same time, be recognised as a Free Zone under the Corporate Tax Law. TAXP010 states the point plainly: a VAT Designated Zone is not automatically a Corporate Tax Designated Zone.

The practical check has two steps. First, ask your free zone authority to confirm in writing whether the specific area where your business sits meets the conditions the clarification cites. Second, test the area against both lists rather than assuming the zone's marketing name answers the question. Zones contain sub-areas, and the status of the zone as a whole does not always settle the status of the particular premises a business occupies. A Qualifying Free Zone Person incorporated or registered in a Corporate Tax Free Zone can earn the 0 percent rate on qualifying income, but only while it meets every condition in the Corporate Tax Law, Cabinet Decision No. 100 of 2023 and Ministerial Decision No. 229 of 2025.

# Why distributors feel this clarification first

The highest-stakes consequence lands on distribution. Under the free zone rules, distributing goods or materials counts as a qualifying activity, eligible for the 0 percent rate, only where the distribution happens in or from a Corporate Tax Designated Zone and the business meets all the related conditions. A distributor set up in an area that holds VAT designated status but fails the dual corporate tax test does not earn 0 percent on that income, however the zone describes itself.

The downside of getting this wrong compounds. If a Qualifying Free Zone Person fails any required condition during a tax period, it loses that status from the beginning of that period and for the following four tax periods. A wrong assumption about zone status in one year can therefore remove the 0 percent rate for five years in total. Distributors and trading companies should re-test their premises against TAXP010 now, before the next return, and keep the authority's written confirmation with their tax file.

# VAT and excise run their own, separate tests

VAT keeps its own designated zone regime. A VAT Designated Zone is an area on the Cabinet's list that meets the VAT law's conditions, and goods movements into, out of and between such zones follow the VAT rules for supplies outside the State, subject to the exceptions the VAT law sets. Nothing in that status answers any corporate tax question, and TAXP010 now says so in terms.

Excise tax runs a third test. An excise designated zone depends on customs supervision and on a warehouse keeper registered with the FTA. Areas outside free zones can qualify if the warehouse keeper applies to the FTA and meets the requirements. Businesses that store excise goods, such as tobacco products, energy drinks or sweetened drinks, must therefore track a third status for the same premises. The lesson generalises: whenever a rule uses the words designated zone, ask which tax is speaking before you ask whether you qualify.

# What free zone businesses should check now

Pull together three documents: your licence and premises details, your free zone authority's confirmation of the status of your specific area, and your last corporate tax filing position. Test the area against the four TAXP010 categories one by one. Record the answer for each tax separately, because the evidence that settles the VAT question does not settle the corporate tax question.

Then look at the income side. If you rely on the 0 percent rate, confirm that each income stream still qualifies, with special care for distribution income, which needs the Corporate Tax Designated Zone test. If any answer surprises you, take advice before you file the next return rather than after an assessment. Because the clarification applies from the date the legislation took effect, an error may already sit inside filed periods, and early correction is almost always cheaper than correction after an FTA review.

FAQ Answers to the questions people actually ask

Frequently asked questions

What is FTA Public Clarification TAXP010?

TAXP010, issued on 2 October 2026, explains how Free Zones and Designated Zones are defined under the UAE corporate tax, VAT and excise tax laws. It identifies four categories, confirms the definitions differ under each law, and tells businesses to test their location separately for every tax. It states the FTA's position and does not amend any legislation.

Is a VAT Designated Zone automatically a Corporate Tax Designated Zone?

No. TAXP010 confirms that a Corporate Tax Designated Zone must meet two tests at once: the area must appear on the VAT list of Designated Zones and be recognised as a Free Zone under the Corporate Tax Law. Holding VAT designated status alone is not enough, which is the single most common wrong assumption the clarification corrects.

Why does Designated Zone status matter for free zone distributors?

A Qualifying Free Zone Person earns the 0 percent corporate tax rate on distribution income only where the goods are distributed in or from a Corporate Tax Designated Zone and all other conditions are met. Distribute from an area that fails the dual test and the income loses the 0 percent treatment, putting the person's qualifying status at risk for that period and the four that follow.

What happens if a Qualifying Free Zone Person fails a condition?

The person loses Qualifying Free Zone Person status from the beginning of the tax period in which the failure occurs and for the following four tax periods. That five-year effect is why TAXP010 matters in practice: a wrong assumption about zone status in a single year can remove the 0 percent rate for years, so businesses should verify their area's status in writing now.
