The Special Committee: Instalments, Waiver & Refund

Article 50's special committee for penalty instalments, waivers and refunds: what it decides, how to apply, and when to use it.

fta special committee waiver

A special committee chaired by the Chairman of the FTA's Board of Directors or his deputy, acting on the Director General's presentation can approve payment of administrative penalties by instalments, or totally or partially waive or refund them — Article 50 of the Tax Procedures Law. It decides circumstances and payment capacity, not legal merits. Apply with the full financial and mitigation file; it never pauses the 40-day dispute clocks.

# The mercy forum

The dispute ladder decides whether penalties were rightly imposed; the special committee decides what should happen to penalties that were. Chaired by the FTA's Director General, it can approve instalment plans for administrative penalties or totally/partially waive or refund them. It is the forum for the taxpayer whose penalty was correctly imposed but whose circumstances — first offence, immediate correction, genuine hardship — justify relief. Understanding it prevents the costliest category error in penalty practice: arguing mercy to the dispute ladder and law to the committee.

This topic sits inside the UAE's four-stage dispute ladder: tax assessment review (Article 28, 40 business days), reconsideration (Article 29, 40 business days), TDRC objection (Article 32, 40 business days with the connected tax paid in full), and court appeal (Article 36, 40 business days with 50% of penalties secured). Each stage is a precondition for the next — you cannot skip a rung, and each has its own clock.

# What the committee decides

Three things: payment of administrative penalties by instalments (the timetable and terms); total or partial waiver of penalties (the mitigation case); and refund of penalties (including, in practice, the May 2025 late-registration waiver initiative's automatic refunds). The committee's formation, bylaws, and meeting procedures are set by decision — the route is administrative, not adversarial. What it does not decide: whether the penalty was lawfully imposed. Walk in expecting a merits ruling and you will be disappointed; walk in with the cash-flow evidence and the mitigation story and you are in the right room.

The application file

The complete financial picture: cash-flow statements and projections, the compliance history (clean years help enormously), the correction evidence (what was fixed and when), the circumstances (documented, beyond control), and the specific ask (instalment terms, waiver percentage, refund). Candour is the currency — the committee helps the honest struggling, not the strategic.

# Committee vs dispute: choosing the forum

Dispute where the penalty may be wrong — computation errors, wrong deadlines, failed thresholds, misapplied uplifts. There the penalty dies on its merits and no waiver is needed. Seek the committee where the penalty was correctly imposed but relief is justified — the first offence with immediate correction, the genuine hardship, the disproportionate accumulation. The two can run in sequence: dispute first (protecting the 40-day clocks — the committee application never pauses them), and if the dispute fails on the merits, ask the committee for instalments or partial waiver of what remains. Never file the committee application instead of the dispute where the merits are arguable; never dispute where only mercy is available.

Timing the application

Apply when the liability is clear enough to address — after the dispute concludes, or in parallel where cash flow needs managing during the dispute. Apply before enforcement, not after: the committee helps planners, and its instalment terms need proposing before the execution machinery starts.

# Procedure and timelines

Every stage runs on business days — Fridays, Saturdays, Sundays and UAE public holidays do not count — and every clock starts on notification, not on the date printed on the letter. Diary the notification date the day it arrives: screenshot the EmaraTax timestamp or keep the delivery proof. File at the 10-day mark, never on the deadline; portal outages on the final day are your problem, not the FTA's.

The FTA decides reconsideration and assessment-review requests within 40 business days and notifies within 5. The TDRC decides objections within 20 business days and notifies within 5, extendable by up to 60 business days where the case needs it. Miss a filing window and the request is inadmissible — the merits are never heard, and the courts have no power to extend these statutory windows.

# Next steps

The special committee is the system's recognition that correctly-imposed penalties can still be unjust in their effects. Use it for what it is — the forum of circumstances — with the full financial file and honest mitigation story. And keep it separate from the dispute ladder in both diary and strategy: different forum, different question, different clock.

# Mistakes that lose the special committee: instalments, waiver & refund cases

The patterns below recur across UAE tax disputes. Avoiding them is worth more than any single clever argument. Review this list before filing at each rung — the mistakes compound up the ladder, and a file that avoids all four starts every forum from strength:

Missing the window

The most common and most final mistake. Every rung of the ladder — assessment review, reconsideration, TDRC objection, court appeal — runs on 40 business days from notification, and a late filing is inadmissible with no power to extend. Diary the notification date the day it arrives, count business days on a calendar excluding weekends and UAE public holidays, and file at the 10-day mark. Portal outages on the final day are your problem.

Arguing the wrong forum's case

Each forum answers a different question. Reconsideration asks the FTA to correct its own decision; the TDRC gives an independent committee's view; the court applies litigation standards. A file that copy-pastes the same grounds up the ladder underperforms at every rung. Restructure the arguments for each forum: answer the previous decision's stated reasons, lead with what that forum is best placed to grant, and drop what it has already rejected.

Evidence that does not prove

Assertions without documents, reconstructions presented as records, and screenshots without dates or context — reviewers discount all of them. Build every ground as proposition plus contemporaneous proof: EmaraTax receipts, bank value dates, dated contracts, third-party confirmations. One indexed bundle, tabs matching the numbered grounds, key exhibits translated into Arabic. The file that can be verified in fifteen minutes wins.

Ignoring the economics

Not every winnable point is worth winning. Weigh the amount at stake against the cost of each rung — including the tax-paid condition for the TDRC and the 50%-of-penalties security for court — and against management time. Where the economics turn, settle, seek instalments under Article 50, or narrow the dispute to the points that pay. Persistence is a virtue only while it pays; knowing when to stop is part of running a dispute well.

Treating the dispute as a single event

A tax dispute is a campaign across up to four forums, not a single filing. Businesses that treat reconsideration as the whole case — holding back evidence for later, or failing to diary the next rung's deadline — arrive at the TDRC or court unprepared. From day one, plan the full ladder: what each forum needs, what each costs, and where you would stop. The file should be built once, to litigation standard, and then tightened — not reinvented — at each stage. Get these five disciplines right and the merits get the hearing they deserve.

FAQ Answers to the questions people actually ask

Frequently asked questions

What is the Article 50 special committee?

A committee chaired by the Chairman of the FTA's Board of Directors or his deputy, acting on the Director General's presentation that can approve payment of administrative penalties by instalments, or totally/partially waive or refund them. It addresses circumstances and payment capacity — not whether the penalty was lawfully imposed, which belongs to the dispute ladder.

Can the committee cancel my penalty entirely?

It can totally or partially waive penalties where the circumstances justify it — first offences, immediate correction, genuine hardship, documented and evidenced. 'Totally' is available but exceptional; frame the application honestly around what the circumstances support.

Does applying to the committee pause my dispute deadline?

No — nothing about the committee application pauses the 40-business-day dispute clocks. Where the penalty's merits are arguable, file the reconsideration first and pursue the committee track separately. The tracks are independent; the clocks are unforgiving.

What should the waiver application contain?

The full financial picture (cash flows, projections), the compliance history, the correction evidence, the documented circumstances, and the specific ask. The committee decides on circumstances — bring the circumstances, evidenced, not legal arguments about the penalty's validity.
