Delivery Aggregator Settlements: The Reconciliation Guide

Map every aggregator payout — gross, commission, promos, refunds — to the ledger. Unmatched settlements are the disclosure.

delivery aggregator settlements: the reconciliation guide

Map every delivery-aggregator settlement account to the ledger per period: gross sales, commission deducted, promotions and refunds buried in the statements, and the net payout — each identified from the platform statements, with the unmatched settlements as the disclosure's correction population.

# What the rules say

Delivery aggregators added a settlement layer the industry is still learning to reconcile: aggregator payouts net of commission, with promotions, refunds, and adjustments buried in the statements. The disclosure maps every aggregator settlement account to the ledger per period — gross sales, commission, net payout each identified — with the unmatched settlements as the correction. Pull the full aggregator statements for the window before filing; the platforms keep perfect records, and the FTA can obtain them. Unmapped aggregator revenue is unreported income with a paper trail.

# How to handle it in practice

Purchase-side errors are concentrated in food cost: supplier invoices double-counted across outlets, supplier credit notes for short-dated stock never processed, and input VAT claimed on undocumented cash purchases from markets. The disclosure's purchase schedule handles the material items invoice by invoice, with the cash-purchase population addressed systematically — undocumented cash purchases cannot carry input VAT, and claiming it anyway is a standard hospitality finding. Fix the goods-receiving control: no invoice, no booking, no exceptions.

# Documents to prepare before you open EmaraTax

A disclosure is only as strong as its evidence. Before starting the form, assemble the discovery memo (what was found, when, by whom), the original filed figures for each affected period, the corrected figures with a clear reconciliation between the two, and the source documents behind the correction — tax invoices, contracts, bank statements, import declarations, or payroll records as the error type requires. Keep everything for at least five years: Article 3 of Cabinet Decision No. 74 of 2023 (the Executive Regulation of the Tax Procedures Law) requires tax records to be retained for five years after the end of the relevant tax period (seven years for corporate tax under Article 56 of Federal Decree-Law No. 47 of 2022), and the FTA can ask to see the file behind any disclosure inside that window. A complete, dated file also protects you if the same error is ever questioned again — you can show exactly what was disclosed and when.

# The five-year window behind every disclosure

Errors do not expire quickly. Tax records must be kept for five years after the end of the relevant tax period, and the FTA's assessment powers run on a similar horizon — longer where evasion is suspected. Practically, this means a voluntary disclosure should sweep every affected period inside the window, not just the most recent one: correcting 2025 while leaving the same 2023 error in place invites the FTA to find the older one itself, at which point the voluntary route is closed for that period. When you discover an error, ask whether the same mistake happened in earlier periods before you file — one complete disclosure covering all affected periods is cheaper and safer than a drip-feed of corrections.

FAQ Answers to the questions people actually ask

Frequently asked questions

Is VAT due on the gross or the net aggregator amount?

Under the VAT rules for the platform arrangement — the commission and the supply characterisation each need analysis. Confirm the current treatment on tax.gov.ae for your platform's model; your disclosure should show the gross-to-net build with the VAT applied at the right point.

What are the most common restaurant tax errors?

Unrecorded cash takings, aggregator settlements never mapped to the ledger, service charges and tips with unanalysed VAT treatment, outlet sales missing from consolidation, and input VAT claimed on undocumented cash purchases. Each repeats across periods — sweep the full window in one disclosure.

How do you disclose unrecorded cash takings?

Quantify the full cash stream across all affected periods — bank deposits as the anchor, supplier-implied volumes as corroboration — with the reconstruction method shown, for VAT and corporate tax together. File within 20 business days of awareness. Partial cash disclosure is the most dangerous kind; disclose completely.

How should aggregator sales be reconciled?

Map every aggregator settlement account to the ledger per period: gross sales, commission, promotions, refunds, and net payout each identified from the platform statements. The unmatched settlements are the correction population; the platforms' perfect records are the evidence base. Keep the source documents that prove each corrected figure — the FTA verifies disclosures against primary records, not summaries.

Are service charges subject to VAT?

Under the VAT rules for the charge as structured — whether it forms part of the taxable consideration depends on the mechanics shown on the menu, the invoice, and the flow to staff. Confirm the current analysis on tax.gov.ae and correct per period with the charge mechanics evidenced.

How do multi-outlet restaurants disclose?

Outlet by outlet: each outlet's sales systems and bankings reconciled to head-office consolidation per period, with cloud kitchens treated as outlets. The gaps are the correction; the reconciliation is the evidence. Then fix the daily outlet feed control. Document the control fix with its effective date in the disclosure file — remediation is what keeps a closed matter closed.

Can you claim VAT on cash market purchases?

Only with a valid tax invoice — undocumented cash purchases from markets cannot carry input VAT recovery, and claiming it is a standard hospitality finding. The disclosure surrenders such claims invoice by invoice (or systematically for the population) and the goods-receiving control is fixed going forward.

What is the disclosure deadline for restaurants?

Twenty business days from awareness where the understatement exceeds AED 10,000 (Article 10, Cabinet Decision No. 74 of 2023; an error of AED 10,000 or less is corrected in the next tax return instead) — awareness being when the reconciliation gap or treatment error was identified. Hospitality reviews surface errors in batches across outlets; date the discovery memo to the review that found each batch. Calendar the 20-business-day deadline from the discovery memo date, and file by day 15 so the final days are buffer, not work time.
