Tax Loss Relief Errors: Corporate Tax Disclosure

Losses carried forward or transferred without meeting the conditions need correction with the loss continuity workings in the disclosure.

tax loss relief errors: corporate tax disclosure

Tax losses carried forward or transferred between group companies without satisfying the continuity and condition requirements must be corrected through a voluntary disclosure with the loss continuity workings shown year by year — the loss amount, the conditions tested, and the utilisation claimed. Losses are a multi-year asset on the computation, so an error in year one compounds through every year the loss was used.

# What the rules say

Relief misclaims are distinctively corporate tax territory. Qualifying Free Zone Person status claimed without meeting the conditions, Small Business Relief applied above the revenue threshold or outside its time window, and group relief or business restructuring relief taken without satisfying every condition all unwind in a disclosure — and unwinding a relief usually restates several years at once. Because relief conditions are tested annually, the disclosure must show the condition-by-condition position for each year claimed.

# How to handle it in practice

Multi-year corrections are normal in corporate tax because one wrong policy — a misapplied relief, a standing transfer pricing method — repeats every year. Sweep every affected year inside the record window in a single disclosure rather than correcting the latest year alone. And where the error reduced tax in some years but the correct position is complex, take advice before filing: a corporate tax disclosure that restates three years of computations needs to be right first time.

# The five-year window behind every disclosure

Errors do not expire quickly. Tax records must be kept for five years after the end of the relevant tax period, and the FTA's assessment powers run on a similar horizon — longer where evasion is suspected. Practically, this means a voluntary disclosure should sweep every affected period inside the window, not just the most recent one: correcting 2025 while leaving the same 2023 error in place invites the FTA to find the older one itself, at which point the voluntary route is closed for that period. When you discover an error, ask whether the same mistake happened in earlier periods before you file — one complete disclosure covering all affected periods is cheaper and safer than a drip-feed of corrections.

# Where a tax agent fits into the disclosure

An FTA-registered tax agent can prepare and file the voluntary disclosure on your behalf through EmaraTax, and for complex errors — multi-period corrections, related-party adjustments, designated-zone treatments — professional preparation materially reduces the risk of a second, corrective disclosure. The legal responsibility stays with the taxable person: the agent files for you, but the declaration is yours. If you already have an agent, tell them the moment you suspect an error rather than after you have decided what the right figures are — the 20-business-day clock runs from awareness, and the days you spend deciding are days the clock is already counting.

FAQ Answers to the questions people actually ask

Frequently asked questions

What breaks tax loss continuity?

Ownership changes beyond the permitted threshold and failures of the same-business test, among other conditions in the law. Your disclosure should test each condition for each year the loss was carried or transferred, and unwind the utilisation for every year the chain breaks.

How do you correct a corporate tax return error in the UAE?

Through the Article 10 voluntary disclosure framework: minor errors are typically corrected via the return mechanism the FTA provides, material errors through the voluntary disclosure form in EmaraTax — with the 20-business-day awareness clock running in both cases. Restate the computation, reconcile it to the audited financial statements, and pay any difference immediately.

What is the deadline for disclosing a corporate tax error?

Twenty business days from becoming aware where the understatement exceeds AED 10,000 (Article 10, Cabinet Decision No. 74 of 2023; an error of AED 10,000 or less is corrected in the next tax return instead) — the same clock as VAT and excise. Corporate tax penalties, including the AED 10,000 late-registration penalty, sit under Cabinet Decision No. 75 of 2023. Separately, the FTA's waiver initiative (announced 7 May 2025) waives, or refunds, the AED 10,000 late-registration penalty where the first corporate tax return or annual declaration is filed within seven months of the end of the first tax period. Confirm current figures and thresholds on tax.gov.ae.

What is the penalty for late corporate tax registration?

AED 10,000 under Cabinet Decision No. 75 of 2023. Registration was required even where reliefs might apply, so businesses that assumed they were out of scope and never registered face this penalty plus disclosures for the unreported periods. Register first, then disclose.

Can a corporate tax error be fixed in the next return?

Only within the mechanism the FTA provides for the error's size and nature — minor corrections through the return, material ones through the disclosure form. Do not freelance the correction into an unrelated filing. Check current FTA guidance on the boundary and keep the 20-day clock running while you confirm it.

Do you need audited financial statements for the disclosure?

The corrected computation must reconcile to the financial statements, and where audit is required the audited figures anchor the disclosure. Even where audit is not mandatory, a computation that ties to the books is far more credible than one that does not. Prepare the reconciliation before filing, not after the FTA asks.

What happens if the FTA finds the corporate tax error first?

The voluntary route closes and the error is assessed, with penalties under Cabinet Decision No. 75 of 2023 applied in full and no cooperation credit. Corporate tax data cross-checks against VAT filings and financial statements, so computation errors are discoverable without a site visit — disclose within the window.

Should a tax agent prepare a corporate tax disclosure?

Strongly advisable. Multi-year restatements, relief condition workings, and transfer pricing analysis need professional preparation to be right first time. An FTA-registered tax agent files in EmaraTax on your behalf; the legal responsibility and the declaration remain yours. Bring the agent the complete workings, not a vague worry — the engagement is fastest when the quantification is already drafted.
