What Happens When the FTA Discovers the Error First

FTA discovery closes the voluntary route and triggers assessment with the full penalty stack. How discovery happens and what it costs.

what happens when the fta discovers the error first

When the FTA discovers the error first — through audit, data matching, or third-party reports — the voluntary route closes for that error and the case proceeds as a tax assessment with penalties applied in full and no cooperation credit. Discovery commonly comes from customs-VAT data matching, bank information, or supplier records.

# What the rules say

FTA discovery is the scenario the whole regime is priced against. When the Authority finds the error — through a tax audit, data matching between customs and VAT returns, bank information, or a third-party report — the case proceeds as a tax assessment. The voluntary route is closed for that error, the penalties are applied without the mitigation of coming forward, and the business's cooperation record for any subsequent dispute is damaged. Discovery also extends the practical risk: an assessed error is a harder fact to explain to banks, investors, and acquirers in due diligence than a disclosed and corrected one.

# How to handle it in practice

Cooperation credit is real but informal: it is not a percentage discount written in the law but the practical difference between how the Authority treats a business that came forward and one that was caught. It shows up in how queries are handled, in whether verification stays narrow or widens into a full audit, and in the tone of any subsequent proceedings. A clean disclosure history is also an asset in due diligence — buyers discount businesses with assessed tax penalties far more than ones with disclosed and corrected errors.

# Why the audit notice is the real deadline

The 20-business-day rule is the legal deadline, but the practical deadline is the arrival of an FTA audit notice. A voluntary disclosure is, by definition, voluntary: it must come before the Authority starts examining the period or the error. Once a tax audit is notified, or the FTA otherwise discovers the error through its own data matching, the case moves to assessment and the penalty-mitigation benefit of disclosing is lost. This is why internal reviews should run on a schedule rather than on suspicion — quarterly reconciliations of sales, purchases, and tax accounts surface errors while the voluntary route is still open. If you receive an audit notice and know of an undisclosed error in the audit period, take professional advice immediately: the options narrow sharply from that point.

# The cost of disclosing vs the cost of waiting

Disclosing costs the underpaid tax plus the 1% monthly voluntary disclosure penalty on it, counted from the day after the original return due date to the filing date, plus the professional cost of preparing the filing; the 14% per annum late payment penalty starts only if the disclosed tax is unpaid 20 business days after filing. Waiting costs the same tax plus more months of the 1% monthly voluntary disclosure penalty, plus a fixed 15% of the tax difference if the FTA notifies an audit first (Cabinet Decision No. 40 of 2017 as amended; No. 75 of 2023 for corporate tax) — and the loss of any cooperation credit in later proceedings. There is also a cost that never appears on a penalty notice: an assessed error, as opposed to a disclosed one, is a harder fact to explain to banks, investors, and buyers in due diligence. For most errors, the cheapest day to disclose is the day of discovery.

FAQ Answers to the questions people actually ask

Frequently asked questions

How does the FTA discover errors without an audit?

Through data matching — customs declarations against VAT returns, bank data, and third-party reporting — plus whistleblower and counterpart information. Many errors are visible in government datasets long before any audit visit, which is why waiting is not a strategy.

Does voluntary disclosure eliminate tax penalties?

No — the underpaid tax and the 1% monthly voluntary disclosure penalty remain payable, and 14% per annum is added if the tax is unpaid 20 business days after filing. What a timely disclosure avoids is further months of the 1% monthly voluntary disclosure penalty and the full assessment penalty stack that follows an FTA discovery (a fixed 15% of the tax difference on top of the monthly 1%). Disclosure transforms the penalty outcome; it does not erase the tax.

What penalties apply if the FTA finds the error first?

The case proceeds as a tax assessment with penalties applied in full under the relevant Cabinet Decision — No. 40 of 2017 as amended for VAT, excise, and procedural violations, No. 75 of 2023 for corporate tax — and the voluntary route is closed for that error. The cooperation credit of coming forward is also lost, which affects how the case is handled.

What is the late-payment penalty rate in the UAE?

Fourteen per cent per annum under Cabinet Decision No. 40 of 2017 as amended, but on disclosed or assessed tax it starts only if the tax is still unpaid 20 business days after the disclosure is filed or the assessment is received; the period before that is priced by the 1% monthly penalty on the tax difference. It applies whether you disclose or are assessed, which is why paying the disclosed difference on filing day is the highest-value action after the disclosure itself.

Can you challenge a penalty after disclosing?

Yes, through a separate route: if the FTA issues a penalty decision you disagree with, Article 29 gives you 40 business days from notification to request reconsideration. The disclosure corrects your return; the reconsideration challenges their decision. Track the two clocks independently — filing one never extends the other.

Is a late disclosure still worth filing?

Yes. A late disclosure runs up more months of the 1% monthly voluntary disclosure penalty, but it still avoids the assessment penalty stack of an FTA discovery and preserves your cooperation record. File immediately, pay the difference the same day, and confirm the current figures on tax.gov.ae.

How does disclosure affect due diligence?

Buyers, banks, and investors treat disclosed-and-corrected errors far more kindly than assessed penalties — the former shows a functioning compliance process, the latter suggests one that failed. A clean disclosure history is a commercial asset, not just a compliance record.
