# The two thresholds for oil & gas businesses

Registration is mandatory once taxable supplies exceeded AED 375,000 in the previous 12 months, or are expected to exceed AED 375,000 in the next 30 days. Voluntary registration is available from AED 187,500. Non-resident businesses with no UAE residence have no threshold and register from the first dirham of UAE supplies. The test looks backwards over the previous 12 months and forwards over the next 30 days; meeting either triggers mandatory registration. Registration is rarely a question in oil and gas: turnovers dwarf the AED 375,000 threshold from the first transactions. The structuring questions are tax grouping across concessions, operators and service companies, and voluntary registration for pre-revenue exploration phases.

# What counts toward the threshold in oil & gas

Article 19 of the VAT Law counts taxable supplies, which include zero-rated supplies, plus imported goods and services received. Exempt supplies do not count. For producers, refiners, distributors, service companies and traders, that means: Zero-rated export turnover counts toward the threshold in full. Tax groups across operating and service companies remove VAT from internal supplies and simplify the position. Businesses that count the wrong turnover register late, and late registration carries its own penalties.

# Voluntary registration: when it pays for oil & gas

Voluntary registration at AED 187,500 suits businesses in a sustained refund position: recovering input tax on fit-out, equipment or imports while outputs are zero-rated or still building. Voluntary registration at AED 187,500 suits exploration and development phases recovering input tax before production. The application is made through EmaraTax, and the FTA may ask for the business's supporting evidence before approval.

# Registration traps in oil & gas

The traps are consistent across the sector: non-resident businesses with no threshold, imported services counting toward it, the wrong entity tested where several companies operate together, and tax groups not considered where internal supplies would otherwise carry VAT between group companies. Each concession holder and contractor is tested separately unless grouped. Each trap is cheaper avoided than fixed.

# After registration: the first obligations

Registration brings the TRN, and with it the obligations: tax invoices on taxable supplies, VAT returns on the assigned tax periods, payment of VAT due, and records kept for the statutory periods. A full tax invoice must show the supplier's name, address and TRN, a sequential invoice number and date, the customer's name and address, a description of the supply with quantities, the rate applied, and the VAT amount in UAE dirhams. VAT records must generally be kept for five years after the end of the tax period they relate to, and longer for specific categories such as real estate records. Invoices, contracts, import and export evidence, and the workings behind apportionment all sit inside that file.

# Deregistration and re-registration for oil & gas

Deregistration is available where the conditions are met, such as turnover falling and staying below the voluntary threshold, but it requires outstanding returns, payments and adjustments to be settled, including Capital Asset Scheme consequences on remaining assets. For producers, refiners, distributors, service companies and traders with seasonal or project-based income, deregistering in a quiet year and re-registering later can cost more in administration than it saves; model the full cycle, including the output tax on stock held at deregistration, before applying.

# The registration application for oil & gas

Applications go through EmaraTax with the trade licence, incorporation documents, and evidence supporting the turnover position: financial statements, contracts, or projections for the forward-looking test. The FTA can ask questions before approving, and the answers should match the threshold analysis on this page. For producers, refiners, distributors, service companies and traders, the common delay is a mismatch between the declared activity and the licence, or turnover evidence that does not support the basis claimed; prepare the file before applying, not after the query arrives.

FAQ Answers to the questions people actually ask

Frequently asked questions

When must a oil & gas business register for VAT?

Once taxable supplies exceeded AED 375,000 in the previous 12 months or are expected to exceed AED 375,000 in the next 30 days. Voluntary registration is available from AED 187,500. Non-residents with no UAE residence register from the first dirham.

Do zero-rated sales count toward the threshold?

Yes. Zero-rated supplies are taxable supplies and count in full toward both thresholds. Exempt supplies do not count. Imported goods and services received also count, which surprises many businesses.

Can an oil company recover VAT on equipment?

Yes, in full, because the sector's outputs are taxable. Import VAT and plant VAT are recoverable, with large assets monitored under the Capital Asset Scheme.

Should a new oil & gas business register voluntarily?

Where it is in a refund position, recovering VAT on set-up costs while outputs are zero-rated or still ramping up, voluntary registration at AED 187,500 usually pays. Where outputs will be exempt, registration may add compliance without recovery.

What happens after VAT registration?

The business receives a TRN and must issue tax invoices, file VAT returns for its tax periods, pay VAT due, and keep records for the statutory retention periods. Deregistration later requires the conditions to be met and outstanding matters settled.
