Company Setup
Sharjah Company Setup and Accounting: Mainland and Free Zones
Sharjah attracts founders on cost. The licence can be cheaper than Dubai, but the tax rules are the same, the free zone 0% rate still needs an audit, and a Sharjah licence does not cover a Dubai office.
sharjah company setup accounting
A Sharjah mainland company is licensed by the Sharjah Economic Development Department (SEDD), with a tenancy contract attested by Sharjah Municipality. Free zone options include SAIF Zone, Hamriyah Free Zone, SPC Free Zone and SHAMS, each with its own authority and lease. As of October 2026, corporate tax is 0% up to AED 375,000 and 9% above; a free zone company gets 0% on qualifying income only as a Qualifying Free Zone Person, which needs audited accounts at any revenue. SAIF Zone and Hamriyah have been listed as VAT designated zones. A Sharjah licence does not cover a regular office or staff base in Dubai.

# Mainland or free zone in Sharjah
Mainland. The Sharjah Economic Development Department (SEDD) issues commercial, professional and industrial licences. A mainland company can trade across the UAE, and Sharjah's industrial areas suit workshops, trading and light manufacturing.
Free zones. The main options are:
- SAIF Zone (Sharjah Airport International Free Zone) for trading, logistics and light industry next to the airport;
- Hamriyah Free Zone for heavier industry, port-linked trading and oil and gas services;
- SPC Free Zone (Sharjah Publishing City) for low-cost service, e-commerce and trading licences with flexi-desks;
- SHAMS (Sharjah Media City) for media, creative and general service licences.
Published fees vary and change often. As one example, SPC publishes an E-Publishing package from AED 4,999, checked October 2026; SHAMS uses a cost calculator and states its prices are estimates. Always check the authority's own site and keep a dated copy. See SPC Free Zone cost and tax and Meydan vs SHAMS. For Dubai districts, see the Dubai business areas guide.
# Premises: attested leases and the Dubai office question
Sharjah uses its own tenancy system. For a mainland licence the tenancy contract is normally attested by Sharjah Municipality, and the attested lease is needed for issue and renewal. Free zone companies lease from their zone authority, from a flexi-desk to a warehouse or plot.
The common cost-saving plan, a Sharjah licence with the team working in Dubai, has a legal problem. A trade licence covers business from licensed premises in the emirate that issued it. Running a regular office or staff base in Dubai means carrying on economic activity in Dubai, which needs a Dubai licence, usually a DET branch of the same company. Dubai licensing fines run from AED 100 to AED 100,000 under Law No. 13 of 2011. Dubai's free zone mainland permits under Executive Council Resolution No. 11 of 2025 cover only Dubai free zone companies, not Sharjah ones.
For tax, a branch is part of the same company and shares its VAT TRN and corporate tax registration. See can I use a Sharjah licence in Dubai.
# VAT and corporate tax for Sharjah companies
Corporate tax. Every company must register; late registration costs AED 10,000. Mainland companies pay 0% up to AED 375,000 and 9% above, and may elect Small Business Relief with revenue of AED 3,000,000 or less, for tax periods ending on or before 31 December 2029 (Ministerial Decision No. 73 of 2023, as amended by Ministerial Decision No. 131 of 2026). Free zone companies reach 0% on qualifying income only as Qualifying Free Zone Persons:
- adequate substance in the zone;
- qualifying income, with non-qualifying revenue below the lower of 5% of revenue or AED 5,000,000;
- audited financial statements at any revenue;
- arm's length pricing and transfer pricing documentation.
A low-cost SPC or SHAMS service licence selling to mainland clients or individuals usually earns non-qualifying income, so the 0% rate is often out of reach. A QFZP cannot also claim Small Business Relief. See Sharjah free zones corporate tax.
VAT. Registration is mandatory above AED 375,000 of taxable supplies and imports and voluntary from AED 187,500. SAIF Zone and Hamriyah have been listed as designated zones, so goods held in their designated areas are outside the UAE for VAT, while services are taxed at 5%. SPC and SHAMS companies follow ordinary VAT rules.
# Audit: what cost-conscious founders miss
The cheapest licence is rarely the cheapest company once compliance is counted. Three audit points decide the real annual cost:
- Mainland LLCs appoint an auditor every year under the Commercial Companies Law.
- Free zone rules. Advisers describe approved auditor panels for SAIF Zone and Hamriyah, but we could not read the rule text, and no deadline is published in an official source we could verify. Confirm both with the authority before engaging an auditor. See approved auditors by free zone.
- QFZP claims. Any free zone company claiming 0% needs audited accounts whatever its size, under Ministerial Decision No. 84 of 2025.
A founder comparing a Sharjah package with a Dubai one should add the audit, bookkeeping and, where needed, a Dubai branch licence to the Sharjah side. If the business will not be a QFZP and has no audit duty from its zone or legal form, a simpler set of books may be enough, but the corporate tax return and the seven-year record rule still apply.
# Bookkeeping and banking
Bookkeeping. A practical monthly routine for a small Sharjah company:
- Record sales by customer type: free zone, mainland, individual or overseas, so the QFZP position is visible.
- Reconcile bank and payment gateway balances.
- Track imports with customs declarations for VAT and stock.
- Keep separate cost centres if a Dubai branch exists, so its activity can be shown.
- Keep corporate tax records for seven years.
Banking. Banks look at where the business actually operates. A Sharjah licence with all staff, clients and premises in Dubai can raise questions during onboarding and periodic reviews, because the licence address and the operating address do not match. Low-cost flexi-desk licences may also get extra scrutiny on substance and expected turnover. Prepare a short business profile, client and supplier lists and evidence of the office used. See opening a corporate bank account.
# Setup checklist for a Sharjah company
- Decide where the team will actually work. If it is Dubai, budget for a Dubai licence too.
- Choose mainland or a free zone based on customers and activity, not the package price alone.
- Get an attested lease or zone lease and the licence.
- Register for corporate tax promptly and for VAT once the threshold is in sight.
- Decide whether a QFZP claim is realistic; if not, plan for the standard regime.
- Confirm audit rules with the zone and appoint an auditor if needed.
A one-page cost comparison that includes audit, bookkeeping and any Dubai branch usually shows whether the Sharjah saving is real. Revisit it each year at renewal, because headcount, client mix and the QFZP position all change as the business grows.
