# ADGM and the corporate tax law
The Abu Dhabi Global Market is a financial free zone with its own laws, courts and regulator, the Financial Services Regulatory Authority. For corporate tax, an ADGM company is a Free Zone Person under the same law and the same seven conditions as every other free zone entity. ADGM's status as a financial centre determines its business mix, not its tax treatment.
ADGM hosts fund managers, fintech businesses, regional headquarters and holding structures. Fund management and headquarter services are Qualifying Activities that fit naturally; holding shares for investment purposes suits the holding structures. Fintech needs individual analysis: the technology does not determine the classification, and fintech businesses that take funds or lend cross into the banking exclusion regardless of their licence category.
Like DIFC, ADGM's advantages for QFZP purposes are practical: a sophisticated regulatory environment, professional infrastructure, and activities that naturally produce qualifying income. The tax test itself is identical to the one applied in any other zone.
# Substance, pricing and the fintech boundary
Substance for ADGM financial businesses follows the same pattern: the regulated and decision-making functions in the centre, qualified and full-time, evidenced by employment records and minuted decisions. Holding structures need their decision-makers in the zone; a holding company directed from abroad fails Article 8 however well it is capitalised.
Transfer pricing covers the usual financial-centre flows: management fees, fund fees to related vehicles, intra-group funding. Fintech related-party arrangements, platform fees, licensing of technology within the group, need arm's length support like any other related-party transaction, with the technology's value properly analysed rather than assumed.
The fintech boundary deserves a standing review. A fintech that starts as a software provider and gradually takes customer funds, extends credit or holds balances is drifting toward banking activities, which are excluded. Review the activity classification whenever the product set changes; the drift is usually gradual and the tax consequence is binary.
# Practical points for ADGM companies
Align the FSRA permissions with the tax activity mapping at licensing and at every material product change. The permission and the classification answer different questions, and both must be right. Keep the mapping document with the tax file.
For holding structures, document investment intent at acquisition and keep the decision record in the zone. The holding activity is light on substance but not exempt from it; the directors who decide must be identifiable, qualified and in the zone.
As with every zone, this site carries no fee figures and no rankings. Obtain commercial terms directly from the authority and keep the tax analysis on the law.

# Two definitions before any rate
A Free Zone is a geographically defined area with its own licensing authority, specified in a Cabinet decision. A Free Zone Person is a juridical person incorporated, established or otherwise registered in a Free Zone, including a branch of a Non-Resident Person registered in one. Every Free Zone Person is a taxable person; the licence is not an exemption. A Qualifying Free Zone Person is the narrower statutory class: a Free Zone Person meeting all seven conditions of Article 18. The 0% rate belongs to that class only, and only on Qualifying Income.
# The zone never changes the tax test
Every point on this page is the federal law applied in this zone, not a zone-specific concession. The seven QFZP conditions, the qualifying and excluded activity lists, the substance test, the transfer pricing conditions and the de minimis rule are identical in every UAE free zone; no free zone authority can vary them, and no zone offers a softer version of the test.
Choose the zone on commercial grounds, premises, talent, sector ecosystem, cost, logistics, and then test the planned business against the federal conditions. The other confusion to avoid is licensing: the zone authority's licence permits the activity, but Ministerial Decision No. 229 of 2025 classifies it for tax. Keep the licence and the tax mapping aligned at setup and at every material change, and do not assume permission implies a qualifying classification.
Zone-specific pages like this one apply the common test to the zone's typical business mix, its traders, manufacturers or financial firms, so companies see which of their income lines are likely qualifying and where the classification discipline needs to be tightest. The test is federal; the application is local.

Frequently asked questions
Do ADGM companies get the 0% automatically?
No. An ADGM company is a Free Zone Person tested against the same seven QFZP conditions as any other free zone entity. ADGM's financial-centre character shapes its business mix toward fund management and headquarters, but it does not change the tax treatment or lower the bar.
How is fintech classified for QFZP purposes?
Individually, against the decision's definitions. Software and platform services are classified on their own terms; fintech that takes funds or lends crosses into the excluded banking activity regardless of technology or licence label.
What substance does an ADGM holding company need?
The decision-makers in the zone, qualified and identifiable, with board minutes showing investment decisions actually taken there. The activity is light but the test still applies per Article 8; a holding company directed from abroad fails however well capitalised the structure.
Does the FSRA licence determine tax classification?
No. The FSRA permits the activity; Ministerial Decision No. 229 of 2025 classifies it for tax. Keep both aligned at licensing and at every material product change, and do not assume that regulatory permission implies a qualifying tax classification.
