# Ajman Free Zone and the seven conditions

Ajman Free Zone hosts a large SME population: traders, service companies, small manufacturers and e-commerce businesses. For corporate tax, an Ajman Free Zone company is a Free Zone Person under the same seven QFZP conditions as a DIFC fund manager. The zone's SME character makes the honest assessment particularly important, because the compliance cost of the QFZP regime weighs heaviest at small scale.

E-commerce is the segment to watch. Ajman Free Zone hosts online sellers whose customers are individuals: transactions with natural persons are an Excluded Activity, so consumer sales can never be Qualifying Income. An e-commerce company selling to individuals is not a QFZP candidate at any scale; the excluded book makes the arithmetic impossible. B2B sellers face the standard trading analysis instead.

Small traders should map their goods to the Qualifying Commodities definition before assuming anything. General trading to mainland buyers is non-qualifying income, and a small trader's de minimis headroom is small in absolute terms: a single large non-qualifying deal can breach the AED-based ceiling even where the percentage looks comfortable.

# The SME assessment

For most Ajman Free Zone SMEs, the real choice is between the QFZP route and the standard regime with small business relief. The QFZP route demands audited statements at any revenue, substance evidence, transfer pricing documentation and monthly monitoring. The standard route offers the AED 375,000 band and the relief. At modest profits the standard route is usually cheaper all-in; model both with the compliance cost included.

Where the SME's business genuinely fits, small manufacturing, qualifying commodities trading with the right customers, B2B logistics, the QFZP route is excellent and Ajman's cost base makes the substance affordable. The fit must be real: the activity on the list, the customers classifiable, the operations in the zone.

The Article 19 election is available to formalise the standard-route choice. It is a planning decision to be modelled, not a fallback for a failed period. Make it deliberately or not at all.

# Practical points for Ajman Free Zone companies

Consumer-facing businesses should not attempt QFZP status. Measure the excluded book, accept the standard regime, and spend the compliance budget on the standard obligations. The excluded list is not negotiable.

Trading SMEs: classify the catalogue, tag revenue at invoicing, and watch the absolute ceiling. Small absolute headroom means the monthly ratio report matters more, not less, at small scale. One unmanaged deal is the classic SME breach.

No fee figures and no rankings are carried here. Commercial terms come from the authority; the tax analysis comes from the law applied to the company's facts.

# The Article 19 election: choosing the standard rates

A Free Zone Person that does not want the Qualifying Free Zone Person regime may elect, under Article 19 of the Corporate Tax Law, to be taxed at the standard 0%/9% rates of Article 3(1). The election is effective from the start of the tax period in which it is made or the following one. It restores access to small business relief, tax groups, qualifying group transfers, business restructuring relief and loss transfers, all of which exclude QFZPs. It is a genuine planning choice for companies whose activities do not fit the qualifying list, not a fallback for a failed de minimis test.

# The zone never changes the tax test

Every point on this page is the federal law applied in this zone, not a zone-specific concession. The seven QFZP conditions, the qualifying and excluded activity lists, the substance test, the transfer pricing conditions and the de minimis rule are identical in every UAE free zone; no free zone authority can vary them, and no zone offers a softer version of the test.

Choose the zone on commercial grounds, premises, talent, sector ecosystem, cost, logistics, and then test the planned business against the federal conditions. The other confusion to avoid is licensing: the zone authority's licence permits the activity, but Ministerial Decision No. 229 of 2025 classifies it for tax. Keep the licence and the tax mapping aligned at setup and at every material change, and do not assume permission implies a qualifying classification.

Zone-specific pages like this one apply the common test to the zone's typical business mix, its traders, manufacturers or financial firms, so companies see which of their income lines are likely qualifying and where the classification discipline needs to be tightest. The test is federal; the application is local.

FAQ Answers to the questions people actually ask

Frequently asked questions

Do Ajman Free Zone companies get the 0% automatically?

No. They are Free Zone Persons under the same seven QFZP conditions. The zone's SME character makes the honest regime assessment particularly important, because QFZP compliance costs weigh heaviest at small scale.

Can an Ajman e-commerce company be a QFZP?

Not selling to individuals: transactions with natural persons are an Excluded Activity, so consumer sales can never be Qualifying Income at any scale. B2B sellers face the standard trading analysis instead: qualifying commodities qualify, general goods to mainland buyers do not.

Should a small Ajman company choose QFZP or small business relief?

Model both with compliance costs included. At modest profits the standard route with small business relief, barred to QFZPs, is usually cheaper all-in. The 0% wins where activities genuinely fit and scale justifies the cost.

What is the biggest risk for small traders?

The absolute de minimis ceiling. Small headroom in dirham terms means one large non-qualifying deal can breach the AED-based ceiling even where the percentage looks comfortable. Monthly monitoring matters more at small scale, not less, because volatility moves the ratio faster.
