Corporate Tax Deregistration for Natural Persons in the UAE
How natural persons deregister from UAE corporate tax: when you can, the final return, settling liabilities, and the formal FTA process.
corporate tax deregistration natural person uae
A natural person deregisters from UAE corporate tax through a formal FTA application when the business activity has ceased or turnover will permanently stay below the AED 1 million threshold — deregistration is never automatic. Outstanding returns must be filed, liabilities settled, and records retained. The FTA confirms deregistration; until confirmation arrives, filing obligations continue. Keep the deregistration confirmation permanently.

# When deregistration is appropriate
Cessation: the freelance business closed, the shop shut, the consultancy wound down — no business activity, no turnover, no prospect of resumption. This is the cleanest ground: the taxable activity has ended.
Permanent shrinkage: the activity continues but at a level that will stay below AED 1 million — the consultant who retired from big contracts and now does occasional small projects. 'Permanent' is the key word; a single quiet year in a cyclical business is not grounds.
Not appropriate: a bad year, a sabbatical with intent to resume, or turnover timing games. Deregistering to skip a filing and re-registering next year is not a strategy — it is a compliance gap with penalties on both sides.
# The formal process
Apply through EmaraTax for corporate tax deregistration as a natural person, stating the grounds — cessation with the cessation date, or the basis for permanent sub-threshold activity. The application is a formal request, not a notification; the FTA decides.
File all outstanding returns first: every tax period up to the deregistration period must be filed, and every dirham of tax and penalties settled. The FTA will not deregister a taxpayer with open periods — clear the ledger, then apply.
Respond to any FTA queries on the application promptly. The authority may ask for evidence of cessation — cancelled licences, final accounts, closure documents. Provide it; the application succeeds on evidence, not assertion.
-
Clear all filings
File every outstanding return and settle all tax and penalties. Nothing open, nothing owed.
-
Gather cessation evidence
Cancelled licences, closure documents, final accounts — proof the activity ended or permanently shrank.
-
Apply on EmaraTax
Submit the deregistration application with grounds and evidence through the portal.
-
Await confirmation
Continue filing obligations until the FTA confirms deregistration. Keep the confirmation permanently.
# The final return
The final return covers the last period of activity — the full calendar year in which cessation occurred, or the final period per the deregistration mechanics. Report the complete year's activity including any closing adjustments: asset disposals, final stock, settlement of receivables.
Closing adjustments matter: equipment sold on closure crystallises gains or losses against written-down values; remaining stock disposed of is accounted for; bad debts on uncollectible receivables may be deductible with evidence. Close the books like a business ending, because it is one.
After the final return, retain all records for the full retention period — deregistration does not shorten it. The closed file must survive the retention clock: five years of potential queries after the last period.
| Task | Status needed |
|---|---|
| All returns filed | Complete |
| Tax and penalties paid | Zero balance |
| Cessation evidence | Documented |
| Application submitted | Via EmaraTax |
| FTA confirmation received | Kept permanently |
| Records retained | Full retention period |
# What deregistration does not do
It does not erase history: past periods remain assessable within the statutory limits, and past penalties remain payable. Deregistration ends future filing obligations; it does not rewrite the past.
It does not cancel other tax obligations: VAT deregistration is separate, with its own conditions and process. Clear each tax independently — corporate tax deregistration leaves VAT registration untouched.
It does not prevent re-registration: if the business restarts and crosses the threshold again, register again. Serial deregistration and re-registration around the threshold looks like avoidance — only deregister when the position is genuinely permanent.
# Restarting after deregistration
If activity resumes, the threshold test starts fresh from the resumption — but the history matters for Small Business Relief's revenue-history test and for the FTA's view of the pattern. Keep the deregistration confirmation and the cessation evidence; they prove the gap was genuine.
Re-register promptly when the resumed activity crosses AED 1 million. The FTA will compare the new registration against the old file — a clean deregistration followed by honest re-registration is unremarkable; a suspicious cycle is not.
Consider whether the restart should use a different structure. The pause is a natural moment to reassess: the freelancer who deregistered and returns with bigger plans may now suit an LLC. Structure follows the restarted business, not nostalgia for the old wrapper.

Frequently asked questions
My turnover dropped below AED 1 million. Am I deregistered automatically?
No — deregistration is never automatic. You remain registered with filing obligations until you apply and the FTA confirms deregistration. Falling below the threshold in one year, without the permanence the process requires, usually means staying registered and filing.
How long does deregistration take?
It depends on the completeness of your filings and the FTA's review. Clear all outstanding returns and liabilities before applying — applications with open periods stall. Submit complete evidence of cessation and respond to queries promptly to avoid delays.
Can I deregister if I still have an active trade licence?
An active licence for the business activity undermines a cessation claim — the FTA will ask why the licence continues if the activity ended. Cancel or amend the licence to match the claimed position before applying; the paperwork must tell one coherent story.
Do I still file while the application is pending?
Yes. Filing obligations continue until the FTA confirms deregistration. A pending application is not a filing holiday — miss a return while waiting and you add a violation to the file you are trying to close.
What records must I keep after deregistration?
All of them, for the full retention period after the last tax period — generally five years. Deregistration ends future filings, not the record-keeping duty for past periods. Archive the complete file: returns, workings, records, and the deregistration confirmation itself.
