The complete QIF test under Article 10: regulatory oversight, investor base, investment-business purpose, the 5% ancillary cap and FTA application.
qualifying investment fund conditions uae
An investment fund is exempt as a Qualifying Investment Fund only if it meets Article 10 of Federal Decree-Law No. 47 of 2022 plus the Cabinet Decision framework: regulatory oversight of the fund or manager, listing on a Recognised Stock Exchange or widely marketed interests, a non-avoidance purpose, Investment Business as the principal activity with other activities capped at 5% of revenue, no investor day-to-day control, and investor transparency. The fund must apply to the FTA — status is never automatic.

# The Article 10 gateway conditions
Article 10(1) sets the gateway. The fund — or its investment manager — must be subject to regulatory oversight by a competent UAE authority or a recognised foreign authority. A fund run from an unregulated vehicle with an unregulated manager fails at the first hurdle.
The fund must be listed on a Recognised Stock Exchange, or its interests must be marketed and made available sufficiently widely to investors. A private club vehicle with a handful of hand-picked investors does not meet the widely-marketed test.
The principal purpose of the fund must not be the avoidance of corporate tax. Funds with genuine collective-investment economics pass comfortably; vehicles whose design is driven by tax outcomes invite challenge.
| Condition | What it requires |
|---|---|
| Regulatory oversight | Fund or manager supervised by a UAE or recognised foreign authority |
| Investor access | Listed on a Recognised Stock Exchange, or interests widely marketed |
| Purpose | Principal purpose is collective investment, not tax avoidance |
| Application | Fund applies to the FTA for QIF status |
# The Cabinet Decision conditions: investment business and the 5% cap
The Cabinet framework adds that the fund's principal business activity must be Investment Business. Pooling investor capital and investing it under a stated policy is the core; everything else is measured against it.
Other business or business activities are treated as ancillary or incidental only if their combined revenue does not exceed 5% of the fund's total revenue in the same financial year. Breach the 5% cap and the activities are no longer ancillary — the QIF position is at risk.
Monitor the cap continuously, not just at year end. A single large non-investment receipt — an advisory fee, a trading profit, services income — can blow the percentage in a low-revenue year. Structure fee-generating activity outside the fund where possible.
# No investor day-to-day control, plus transparency
Investors must not exercise day-to-day control over the fund's management. The fund must be genuinely manager-run: investors set strategy through governance rights, but the manager makes the daily investment decisions.
A vehicle where one investor directs trades, approves each deal or holds veto rights over portfolio decisions looks like that investor's personal account, not a collective fund. Document the manager's discretion in the constitutional documents and the investment management agreement.
The current framework also imposes a transparency obligation: investors must be provided with all information necessary to compute their adjusted taxable income. The exemption at fund level is paired with proper taxation at investor level — the system is designed to be neutral, not to create untaxed income.
# What changed: the framework replaced Decision No. 81 of 2023
Cabinet Decision No. 81 of 2023 set the original additional conditions, including a diversity-of-ownership condition, a minimum-staffing requirement for the investment manager, and a two-year grace period for new funds to meet the ownership conditions. A subsequent Cabinet Decision replaced that framework.
The replacement removed the diversity-of-ownership condition and the minimum-staffing requirement, removed the grace period for meeting conditions, and added the investor transparency obligation described above. The direction is simpler conditions but faster consequences for breach.
Funds that structured around the old conditions — particularly the ownership-diversity mechanics — should re-test against the current framework rather than relying on pre-replacement advice. The conditions that remain (investment business, 5% cap, no investor control, transparency) are now the whole test.
# Applying and staying qualified
The fund applies to the FTA on EmaraTax — QIF status is never automatic. Under FTA Decision No. 15 of 2026, the fund registers for corporate tax first and applies within 90 business days of the end of the relevant Tax Period.
Qualification is continuous. Each Tax Period the fund must still meet every condition: regulated, widely held or listed, investment-business-led, within the 5% cap, manager-controlled, transparent to investors. An annual compliance review against each condition is the minimum discipline.
Keep the evidence pack for seven years: regulatory licences, offering documents proving wide marketing or listing, revenue analyses proving the 5% cap, management agreements proving manager discretion, and the investor information packs proving transparency.
# Worked QIF self-assessment: twelve checks before applying
Run these checks in order and document each answer; a 'no' anywhere stops the application until it is fixed.
File the completed checklist with the application so the FTA sees the self-assessment behind the claim.

Frequently asked questions
What are the conditions for a Qualifying Investment Fund in the UAE?
Under Article 10 of Federal Decree-Law No. 47 of 2022 plus the Cabinet Decision framework: regulatory oversight of the fund or manager, listing on a Recognised Stock Exchange or widely marketed interests, a principal purpose of collective investment rather than tax avoidance, Investment Business as the main activity with other activities capped at 5% of revenue, no investor day-to-day control, and transparency to investors. The fund must apply to the FTA.
What is the 5% ancillary activity rule for QIFs?
Non-investment business activities are treated as ancillary or incidental only if their combined revenue does not exceed 5% of the fund's total revenue in the same financial year. Breaching the cap means the activities are no longer ancillary and the QIF status is at risk — so fee income and side businesses need continuous monitoring.
Did the QIF ownership-diversity condition survive?
No. The Cabinet Decision that replaced Decision No. 81 of 2023 removed the diversity-of-ownership condition and the investment manager's minimum-staffing requirement, removed the grace period for meeting conditions, and added an investor transparency obligation. Analyses built on the old conditions should be re-run.
Is QIF status automatic once conditions are met?
No. The fund must apply to the FTA on EmaraTax, and under FTA Decision No. 15 of 2026 it registers for corporate tax first, then applies within 90 business days of the end of the relevant Tax Period. Meeting the conditions without applying gives no exemption.
Can investors control the fund's daily decisions?
No. Investors must not exercise day-to-day control over the fund — the manager must genuinely run it. Investors exercise governance rights, but daily investment decisions must sit with the manager under a properly documented discretionary mandate.
