Corporate Tax Filing Cost in ADGM: When an SPV Return Is Simple and When It Is Not

ADGM companies file federal corporate tax returns on EmaraTax. See what filing from AED 299 a year covers for SPVs, foundations and operating firms.

An ADGM company files the same federal corporate tax return as any other UAE company, on EmaraTax, under Federal Decree-Law No. 47 of 2022. There is no separate ADGM tax. Our corporate tax filing starts from AED 299/year for an ADGM entity with clean records. That is a starting price, it excludes VAT, and it never includes government fees. A passive SPV can sit at that price; an active or layered structure cannot.

# ADGM Companies File Federal Tax, Not an ADGM Tax

Abu Dhabi Global Market is a financial free zone with its own companies law, courts and regulator, the FSRA. None of that creates an ADGM corporate tax. Every ADGM company, SPV, foundation and operating firm is a taxable person under the federal law, registers free on EmaraTax and files one federal return each year, due within nine months of its financial year end. Our page on ADGM corporate tax and free zone status sets out the full regime position.

State the invariance once, because it answers the search behind this page: the filing fee starts from the same AED 299/year in ADGM as in any other emirate, and the Federal Tax Authority charges nothing for the return itself. What varies is the entity in front of the preparer. ADGM's register holds thousands of passive holding vehicles alongside regulated firms and startups, and those two ends of the register need very different filings.

# What Corporate Tax Filing From AED 299 a Year Covers

Our corporate tax filing starts from AED 299/year. At that level, the service prepares the annual federal return from your financial statements, tests Small Business Relief and Qualifying Free Zone Person status against your income, reviews the computation with you and files on EmaraTax through our corporate tax return filing service. The UAE-wide structure is on our corporate tax filing cost page for the UAE, and it applies unchanged in ADGM.

What moves an ADGM filing above the starting price is documented in the table below. The pattern is consistent: passivity keeps the price down, and every related-party flow, financing arrangement or exemption claim adds evidenced work. None of that work is optional padding. Each item exists because the return asserts a position the Federal Tax Authority can later ask you to prove.

# An SPV Return Is Simple Only When the SPV Is Truly Passive

The classic ADGM SPV holds shares in an operating company or a property, receives dividends or a capital gain, and does nothing else. Its return is short because its life is short on paper: a handful of transactions, one income type, and a participation exemption or free zone analysis that resolves quickly. That SPV genuinely belongs at the starting price.

Real SPVs drift. The vehicle starts lending to a sister company, then guarantees a group facility, then charges a management fee, then holds intellectual property the group licenses. Each step adds a related-party transaction that needs transfer pricing support, a disclosure in the return and a judgment about whether the income is qualifying. An SPV that finances the group is a financing business wearing a passive vehicle's clothes, and its filing must be priced and prepared as one. If your SPV has any flow beyond dividends and gains, say so before the return is scoped, not after it is filed.

# How ADGM Foundations Are Treated for Corporate Tax

An ADGM foundation is a legal person with no shareholders, built to hold wealth and govern succession. For corporate tax it starts life as a taxable person in its own right, and it registers and files accordingly. Federal law then offers two routes that can change that treatment where the conditions are met: a foundation can be treated as an unincorporated partnership, and a family foundation can apply to be treated as transparent so its income is taxed at the level of its beneficiaries instead.

Neither route is automatic, and neither survives sloppy records. The application route needs evidence about the founder, the beneficiaries, the assets and the purpose of the structure, and the position must be revisited as the foundation's assets and family circumstances change. The filing fee for a foundation therefore buys a classification decision first and a return second. A foundation that files as transparent without a granted application, or as opaque when transparency was available, pays for the error in tax or in correction work.

# Operating Companies and Regulated Firms File a Heavier Return

Beyond SPVs and foundations, ADGM hosts operating companies, tech startups and FSRA-regulated firms, and their returns carry trading income, payroll costs, revenue recognition judgments and often research or financing arrangements. Regulated firms must also reconcile the tax computation to the numbers they report to their supervisor, so the preparation joins two reporting systems before it files one return.

This page deliberately does not re-price ADGM structures. Our dated guide to ADGM SPV costs in 2026 covers the setup and annual government cost of the vehicle itself, and it stays the right read for formation budgeting. This page covers only the annual federal filing on top of that structure. If you need the wider local workload handled, our tax consultant in ADGM page covers the ongoing advisory position for ADGM entities.

# The Cost of Getting an ADGM Filing Wrong

The federal penalties apply to ADGM entities without exception. Late corporate tax registration carries an AED 10,000 penalty, with relief under the current waiver initiative where the first return is filed within seven months of the end of the first tax period. Weak records attract an AED 10,000 records-keeping penalty per violation, rising for a repeat within two years, and an SPV whose only defence of its tax position is its minute book cannot afford gaps in either.

The sharper risk sits in claimed reliefs. A QFZP position or participation exemption asserted without evidence collapses on review, and correcting it after the Federal Tax Authority finds the error exposes the tax difference to a fixed 15% penalty plus 1% per month, against the far gentler treatment of a voluntary disclosure made first. For holding structures built specifically to be tax-efficient, the filing is where the efficiency is either proven or lost.

FAQAnswers to the questions people actually ask

Frequently asked questions

How much does corporate tax filing cost for an ADGM SPV?

Our filing starts from AED 299/year, excludes VAT and never includes government fees, and a genuinely passive SPV holding shares with clean records normally files at or near that price. The fee rises when the SPV lends, guarantees, licenses or charges group companies, because each flow needs transfer pricing support and disclosure. Describe the SPV's actual activity before accepting a quote priced on passivity.

Is there a separate ADGM corporate tax?

No. ADGM has its own companies law, courts and financial regulator, but no tax of its own. An ADGM company is a taxable person under the federal corporate tax law, registers free with the Federal Tax Authority on EmaraTax and files one federal return a year. The standard rates apply: 0% on taxable income up to AED 375,000 and 9% above that, subject to any relief the entity qualifies for.

Do ADGM foundations have to register and file for corporate tax?

Yes, a foundation registers as a taxable person and files, unless a transparency treatment applies. Federal law allows a foundation to be treated as an unincorporated partnership in defined circumstances, and a family foundation can apply to be taxed transparently so income falls on its beneficiaries. Both routes are conditional and evidence-based, so the classification must be settled and, where required, applied for before the filing position is taken.

How is this different from the ADGM SPV cost guide?

The dated SPV guide prices the vehicle itself: formation, Registration Authority charges and annual renewal of the ADGM structure. This page prices only the annual federal corporate tax filing that sits on top of the vehicle, starting from AED 299/year. An SPV owner needs both numbers for a full annual budget, and they come from different authorities, which is why the pages stay separate.

Can an ADGM SPV claim 0% corporate tax?

An ADGM SPV can access 0% on qualifying income only while it meets every Qualifying Free Zone Person condition, including adequate substance, audited financial statements, transfer pricing compliance and the de minimis test. Many passive SPVs instead rely on the participation exemption for dividends and capital gains, which has its own ownership, holding period and subject-to-tax conditions. The filing must test the right relief; claiming the wrong one fails on review.

What penalties apply if an ADGM company files late?

Late corporate tax registration carries a fixed AED 10,000 penalty, although the current waiver initiative can cancel it where the first return is filed within seven months of the first tax period ending. Incorrect returns corrected after the Federal Tax Authority intervenes attract a fixed 15% penalty on the tax difference plus 1% per month. Registration itself is free, so there is no saving in delaying it.
