Transfer Pricing Audit Defence in the UAE
FTA transfer pricing audit support in the UAE: documentation produced within 30 days, benchmarking refreshed, and every deadline on the dispute ladder met.
transfer pricing audit uae
A transfer pricing audit tests whether your related-party prices match what independent parties would have agreed. Our defence service rebuilds the evidence the FTA asks for — functional analysis, benchmarking and the master and local files — manages the response timetable, and prepares the technical case through assessment, review and reconsideration, working alongside your registered tax agent where formal representation is required.

# What a transfer pricing audit looks like in the UAE
A transfer pricing audit rarely arrives labelled as one. It usually begins inside a wider corporate tax audit or with a focused information request: your master file, your local file, the benchmarking behind a margin, the agreements behind a fee. Under Article 55 of the Corporate Tax Law, the master and local files must be produced within 30 days of the FTA asking. The audit itself runs under the Tax Procedures Law, which guarantees at least 10 business days' notice before a tax audit begins.
What the FTA tests is consistent: whether the transaction was accurately delineated, whether the method fits the facts, whether the comparables survive scrutiny, and whether the documentation was prepared when the transactions happened. Where the price fails the arm's length standard in Article 34, the Authority may adjust it and assess the difference. Understanding how an FTA audit runs end to end is the starting point; the defence is built backwards from the adjustment the FTA would have to justify.
# The transactions the FTA challenges most
Challenge concentrates where judgement lives. Four categories account for most transfer pricing enquiries, and each fails in a recognisable way.
Management and head-office charges
The FTA asks two questions: did the UAE entity actually benefit from the service, and is the mark-up on the cost base arm's length? Charges for shareholder activities, duplicated services, or allocations with no clear key fail the first question before pricing is ever reached.
Royalties and intellectual property
Royalty challenges turn on who develops, enhances, maintains, protects and exploits the intangible. A UAE entity paying royalties to a group company that performs none of those functions holds a weak file, whatever the licence agreement says.
Intercompany loans
Interest is tested against what an independent lender would charge this borrower: credit standing, term, currency, security. The general interest deduction limitation in the Corporate Tax Law can restrict the deduction further, so rate and quantum are defended separately.
Trading margins and persistent losses
A distributor described as limited-risk that reports losses year after year contradicts its own functional profile. Either the profile is wrong or the pricing is — the defence starts by deciding which, honestly, before the FTA decides for you.
# What our audit defence service does
Defence work is sequenced: establish what you hold, rebuild what is missing, and put every answer in front of the FTA once, evidenced and consistent. Nothing speculative is filed, because an answer given early cannot be withdrawn later.
| Stage | What we do | Output |
|---|---|---|
| Gap review | Test your existing files against the Article 34 and Article 55 duties | A written gap list, with fixes ranked by exposure |
| Benchmarking refresh | Rebuild or update the comparable sets behind each challenged price | A defence-ready study with its rejection log |
| Response drafting | Draft answers to FTA queries with the evidence exhibited behind each one | A response pack ready for your tax agent to file |
| Meetings and follow-ups | Prepare the people and the figures; reconcile every number across answers | A consistent, evidenced narrative that survives follow-up questions |
# The deadlines that decide your case
Transfer pricing audits are lost on clocks as often as on arguments. Each deadline below closes a door if it passes, so the timetable is diarised on the day the first letter arrives — not reconstructed when a reminder does.
| Event | Deadline | Source |
|---|---|---|
| Produce the master file and local file on request | 30 days | Article 55, Corporate Tax Law |
| Minimum notice before a tax audit | 10 business days | Article 16(2), Tax Procedures Law |
| Request a review of a tax assessment | 40 business days | Article 28, Tax Procedures Law |
| Request reconsideration of an FTA decision | 40 business days | Article 29, Tax Procedures Law |
| Object to the Tax Disputes Resolution Committee | 40 business days — reconsideration first, tax paid in full | Articles 32 and 33, Tax Procedures Law |
# How an adjustment lands — and how you fight it
An adjustment becomes a tax assessment. Unpaid assessed tax then accrues a late payment penalty of 14% per annum for each month or part month, and administrative penalties apply on top — subject to the Tax Procedures Law ceiling that no penalty may exceed two times the tax assessed. Record-keeping failures carry their own fixed penalties, and the documentation penalties that attach to transfer pricing files are a separate exposure again.
The fight follows a statutory ladder. First, a review of the assessment under Article 28. Then reconsideration under Article 29. Then objection to the Tax Disputes Resolution Committee under Article 32 — admissible only if reconsideration was sought first and the tax is paid in full — whose decisions are final where the disputed amount does not exceed AED 100,000. Beyond the committee lies the federal court. Where the same profit is also taxed abroad, a corresponding adjustment or the treaty mutual agreement procedure may relieve the double taxation. Each stage has its own clock, evidence standard and settlement posture, and the strategy is set for the whole ladder at the start, not improvised stage by stage.
# Our role, and its limits
Stated plainly, because an audit is the worst time to discover it: formal representation before the FTA and the dispute committees is reserved to registered tax agents and legal representatives. This business is not on the FTA Tax Agent register. Our role is the technical case — the gap review, the benchmarking, the drafting, the timetable — prepared so your registered tax agent files from strength, or so you can appoint one with the file already built. Our guide to FTA audit defence for CFOs covers the management side of the same ground.
No adviser can promise you an outcome, and any who does should be dismissed on the spot. What decides these cases is the quality of evidence produced inside fixed deadlines. The earlier the defence starts, the more of the ladder remains open to you — ideally on the day the first request lands, while the 30-day document clock can still be met from a standing start. Send us the FTA's letter and we will map your deadlines and gaps in writing.

Frequently asked questions
How long do we have to hand over our transfer pricing documentation?
Thirty days from the FTA's request, for the master file and local file, under Article 55 of the Corporate Tax Law. That clock is why documentation should exist before any request arrives: rebuilding a functional analysis and a benchmarking study inside 30 days, while also answering audit queries, is the weakest position a taxpayer can occupy. If a request has already landed, the gap review starts the same week.
How far back can the FTA audit our transfer pricing?
Five years from the end of the relevant tax period as the standard rule, under Article 46 of the Tax Procedures Law. That extends to 15 years where the case involves tax evasion or a failure to register for tax. Corporate tax records themselves must be kept for seven years after the tax period under Article 56 of the Corporate Tax Law — keep transfer pricing files for at least that long, and longer wherever an exposure is still open.
We have no benchmarking study. Can one be built during the audit?
Yes, but it will be tested harder than a contemporaneous one. A study built during an audit is built honestly from the data of the periods under review, dated as analysis prepared now, and it should concede what it cannot prove. What must never happen is backdating: a document pretending to predate the audit damages credibility on every other point in the file. The forward fix is a current study for current transactions, built alongside the defence.
What penalties follow a transfer pricing adjustment?
The adjusted tax itself, plus a late payment penalty of 14% per annum for each month or part month the assessed tax remains unpaid. Administrative penalties can apply on top, subject to the ceiling in Article 24(4) of the Tax Procedures Law: no penalty may exceed two times the tax assessed. Failures in the underlying records carry separate fixed penalties — AED 10,000 for a first violation and AED 20,000 for a repeat within 24 months.
Can we appeal an FTA transfer pricing assessment?
Yes, through a fixed ladder. Request a review of the assessment within 40 business days, then reconsideration within 40 business days of that decision. An objection to the Tax Disputes Resolution Committee follows within 40 business days, but it is admissible only where reconsideration was sought first and the tax has been paid in full; committee decisions are final at or below AED 100,000. Beyond the committee, the federal courts hear the appeal.
Can you represent us before the FTA?
Formal representation before the FTA and the dispute committees is reserved to registered tax agents and legal representatives — and this business is not on the FTA Tax Agent register, which we state here rather than let you discover later. What we do is build the case they present: gap review, benchmarking, drafted responses and deadline management. If you have no agent, we prepare the file so one can be appointed and briefed without lost time.
