DIFC Corporate Tax: The Free Zone Position (UAE)
DIFC companies face the same QFZP test as any free zone: the activities that fit, substance, pricing, and the boundaries.

DIFC is a financial free zone, and its companies are Free Zone Persons under the same seven QFZP conditions as any other zone. This page covers the fitting activities like fund management and reinsurance, substance for financial businesses, transfer pricing, and the excluded boundaries.

# DIFC and the corporate tax law
The Dubai International Financial Centre is a financial free zone with its own laws, courts and regulator, the Dubai Financial Services Authority. For corporate tax purposes, a company incorporated in DIFC is a Free Zone Person like any other: the Corporate Tax Law applies in full, the seven QFZP conditions are tested the same way, and the 0% belongs to Qualifying Free Zone Persons only. Nothing about DIFC's financial-centre status changes the tax analysis; it changes which activities cluster there.
DIFC hosts the activities the qualifying list favours for finance: fund management, wealth and investment management, reinsurance, headquarter services and treasury centres. A DIFC fund manager or reinsurer sits in the cleanest part of the QFZP regime, provided the substance is real. The DFSA's licensing perimeter and the tax activity definitions should be read together when structuring: the licence permits the activity, the decision classifies it.
DIFC companies sometimes assume their centre's prestige implies a tax position. It does not. The FTA tests a DIFC entity against Article 18 like any JAFZA trader. The advantages of DIFC for QFZP purposes are practical, not legal: deep professional infrastructure, auditors and advisers on site, and a business community whose activities naturally fit the qualifying list.
# Substance and pricing in a financial centre
Substance for DIFC financial businesses means the regulated functions in the centre: portfolio managers, underwriters, risk officers, the executives directing the regional business. These are typically well-paid, clearly qualified people whose presence is easy to evidence, which makes the substance file for a DIFC entity one of the stronger ones to build, provided the people are actually there and not merely seconded on paper.
Transfer pricing is the heavier lift. Fund management fees, reinsurance premiums with related cedants, headquarter charges and treasury spreads are all related-party transactions requiring arm's length support. Financial services have reasonable comparables, independent manager rates, market reinsurance pricing, but the documentation must be thorough because the entire revenue line usually sits inside the perimeter.
Mind the excluded boundaries that financial businesses approach: banking and insurance are excluded activities, and wealth managers serve individuals. A DIFC entity whose business drifts from fund management into banking-like products, or whose client base is individuals, crosses from the cleanest part of the regime into the excluded list. Monitor the activity boundary as closely as the pricing.
# Practical points for DIFC companies
Use the centre's infrastructure: appoint auditors early from the deep local market, keep the DFSA permissions and the tax activity mapping aligned, and minute investment and underwriting decisions in the centre. The professional ecosystem makes compliance easier; use it rather than improvising.
Watch the private-client line. DIFC wealth managers with individual clients earn excluded income on those mandates; measure it separately and honestly, because the de minimis arithmetic for a private-client book rarely works. Consider whether the private business belongs in a separate standard-regime entity.
Do not publish or rely on DIFC fee comparisons for tax purposes. This site carries no fee figures for any free zone, and tax planning should not turn on licence costs. The tax analysis stands on the law; the commercial analysis stands on the authority's current terms, obtained directly.
| DIFC activity | Tax character |
|---|---|
| Fund management | Qualifying Activity |
| Reinsurance | Qualifying Activity |
| Wealth management (corporate clients) | Qualifying Activity |
| Wealth management (individuals) | Excluded: natural persons |
| Headquarter / treasury services | Qualifying (related parties) |
| Banking / direct insurance | Excluded |
# Transfer pricing in one paragraph
Compliance with the arm's length principle is one of the QFZP conditions: transactions and arrangements with Related Parties must be priced as they would be between independent parties, under Article 34 of the Corporate Tax Law. The pricing method and the documentation sit with the company, and the FTA can adjust taxable income where the principle is not met. For a free zone company this bites twice: an adjustment can reclassify income between the 0% and 9% buckets, and persistent non-compliance can cost the status itself. Document related-party pricing before the return is filed, not after the query arrives.

Frequently asked questions
Do DIFC companies get the 0% automatically?
No. A DIFC company is a Free Zone Person subject to the same seven QFZP conditions as any other. DIFC's financial-centre status changes which activities cluster there, not the tax test applied to them.
Which DIFC activities fit QFZP best?
Fund management, reinsurance, headquarter services and treasury centres: all Qualifying Activities with natural substance in a financial centre, where the regulated functions are visibly performed. Wealth management fits for corporate clients; mandates for individuals are excluded income as transactions with natural persons.
What is the main tax risk for DIFC entities?
Transfer pricing, because the whole revenue line is usually related-party, and the excluded boundaries: banking, insurance and individual clients. The substance file is typically strong; the pricing file needs equal attention.
Does the DFSA licence determine the tax classification?
No. The DFSA licence permits the activity; Ministerial Decision No. 229 of 2025 classifies it for tax purposes. Read both instruments, keep the licensed activity and the tax mapping aligned, and do not assume that permission implies a qualifying classification.
