DIFC Company Setup Cost: Category First, Then the Fees

DIFC publishes Registrar fees by category in US dollars. See the handbook figures, what sits outside them, and the ongoing DFSA and Registrar cost.

difc company setup cost

DIFC does publish fee information — in its Registrar handbooks, priced in US dollars, and split by category. A regulated firm, a non-regulated company and a Prescribed Company sit in different categories with different fee routes, and a DFSA-regulated applicant needs regulatory approval before incorporation even starts. The Registrar's charges are only one layer: office, visas, any corporate service provider and, for regulated firms, DFSA costs all sit outside them.

# The Category Decision That Sets DIFC Cost

Most free zones sell you a package. DIFC sells you a category, and the category decides the cost structure before any number is quoted. The Registrar of Companies sorts applicants into regulated financial firms, non-regulated companies and retail businesses, and passive holding structures such as the Prescribed Company each sit in their own route with their own handbook.

The regulated route is the longest and the most expensive to run, because two authorities are involved. A financial services applicant must first obtain in-principle approval from the Dubai Financial Services Authority, with a draft licence, before the Registrar incorporation can even be submitted. A non-regulated company deals with the Registrar alone. Same centre, completely different cost shape.

So the first budgeting question in DIFC is never how much incorporation costs. It is which category your activity puts you in — because that answer decides which handbook, which regulator and which fee route applies to you.

# What DIFC Itself Publishes: The Handbook Fees

Unlike zones that publish nothing, DIFC publishes fee information inside the handbook for each entity category, priced in US dollars. In the Public Company Financial Handbook, the Registrar's incorporation fee for a public company is USD 8,000, and the licence fee is USD 12,000 on incorporation and annually, with an AED 20 Knowledge and Innovation fee added. The same handbook lists the Innovation Licence route at a USD 100 incorporation fee and a USD 1,500 licence fee, with discount terms that taper over the early years.

The handbook also prices the sponsorship layer that visa-bearing companies need: a new establishment card at USD 618, or USD 656 at the express rate, plus a USD 680 Personnel Sponsorship Agreement deposit. A financial entity that processes personal data notifies the Data Protection Commissioner at USD 1,250 under that handbook.

Read those figures for what they are: the Registrar's published charges for the category that handbook covers. They are not a DIFC total, and they are not transferable to a category whose handbook you have not opened.

# Costs That Sit Outside the Registrar's Fees

The Registrar's table is the start of a DIFC budget, not the budget. Every DIFC company needs a registered address inside the centre, so an office lease or co-working arrangement is a real annual cost set by the property market, not by the Registrar. Only the passive categories escape that logic, by using a corporate service provider's address instead.

People cost money outside the table too. Each sponsored employee or investor passes through visa processing with its own government steps, and most founders pay a corporate service provider or legal adviser to run the incorporation, draft the constitutional documents and handle the portal filings. None of that is in the handbook fee section.

Regulated firms carry a second, larger layer. DFSA application and authorisation work, annual supervision and the regulatory capital your activity requires all sit outside the Registrar's charges, and the business setup and tax cost picture only becomes honest once that layer is priced against your actual activity.

# Ongoing Compliance: The DIFC Cost That Repeats

A DIFC company does not go quiet after incorporation. The Registrar runs a compliance calendar: the licence renews with a confirmation statement, changes to directors, shareholders, the registered address and the ultimate beneficial owners must be filed as they happen, and annual audited accounts with a directors' report go to the Registrar after each financial year. Each filing is small; together they are a permanent governance cost.

Employers carry a further DIFC-specific layer. The DIFC Employee Workplace Savings Plan replaces the traditional end-of-service gratuity for DIFC staff, so an entity with employees enrols in the plan or an approved alternative and funds employer contributions monthly. That is a payroll cost mainland founders never meet, and it belongs in the DIFC budget from the first hire.

Data protection is recurring as well, and regulated firms add DFSA returns, compliance staff or outsourced compliance support. DIFC's cost advantage is credibility, not cheapness — budget for the governance that credibility requires.

# Federal Tax on Top: DIFC Is Still UAE Tax

DIFC has its own Registrar, its own courts and its own regulator, but it does not have its own tax system. Corporate tax and VAT are federal, and the Federal Tax Authority charges a DIFC company exactly what it charges any other UAE company: corporate tax registration is free through EmaraTax, and VAT registration is free. That invariance is worth stating plainly, because DIFC marketing often implies a separate fiscal world.

A DIFC company can access the 0% corporate tax rate on qualifying income only by meeting the Qualifying Free Zone Person conditions — adequate substance, qualifying activities and audited financial statements where required. Non-qualifying income faces the standard structure of 0% up to AED 375,000 of taxable income and 9% above it. VAT registration becomes mandatory past AED 375,000 of taxable supplies and opens voluntarily from AED 187,500. DIFC specialists, including our tax consultant in DIFC team, handle the free zone analysis; the DIFC corporate tax position repays a full read before you assume a rate.

Running compliance is a professional cost, not a government fee. Our bookkeeping starts from AED 499/month, corporate tax filing starts from AED 299/year, and VAT return filing starts from AED 599/quarter. Those are starting prices, they exclude VAT, and they never include government fees.

# How to Build a DIFC Budget Without a Fantasy Total

Build a DIFC budget in layers and refuse any single total that skips them. Layer one is the Registrar: take the incorporation and licence figures from your own category's handbook, in the US dollars DIFC publishes them in, and add the establishment card and deposit if you will sponsor anyone. Layer two is presence: office or co-working, or a corporate service provider's address for a passive structure. Layer three is people: visa processing per person. Layer four is regulation: for DFSA-regulated firms, price the regulator's route against your activity before you commit.

Then add the recurring layer most budgets forget — renewal, audited accounts, filings, data protection, workplace savings contributions for staff, and federal tax compliance. DIFC rewards founders who price the whole structure, because the centre's value is the credibility that structure buys. Use our setup cost estimator to model the layers, then ask each adviser to price the same layer list in writing.

FAQAnswers to the questions people actually ask

Frequently asked questions

Does DIFC publish its incorporation fees?

Yes, but by category rather than as one tariff. The Registrar publishes fees inside the handbook for each entity route, priced in US dollars. The Public Company Financial Handbook lists an incorporation fee of USD 8,000 and an annual licence fee of USD 12,000 for that category. Other categories sit in their own handbooks, so confirm your category's handbook before you budget from any single figure.

What separates a regulated DIFC setup from a non-regulated one on cost?

Regulated means the Dubai Financial Services Authority regulates your activity. A regulated applicant obtains DFSA in-principle approval and a draft licence before the Registrar incorporation can be submitted, and then carries DFSA application, authorisation and supervision costs on top of the Registrar's fees. A non-regulated company deals with the Registrar alone, so its cost structure is shorter and far more predictable.

What is a DIFC Prescribed Company and how is it priced?

A Prescribed Company is DIFC's passive holding category, the local equivalent of a special purpose vehicle. It is not an operating business: it holds assets or shares, uses a corporate service provider's address and sits in its own fee category with its own Registrar guidance. Price it from the Prescribed Company material for your structure, never from an operating company's handbook figures.

What costs sit outside the DIFC Registrar's fees?

Your DIFC office or co-working lease, the visa processing for each person you sponsor, your corporate service provider or legal adviser's professional fees, and — for regulated firms — the DFSA's own fees and any regulatory capital your activity requires. None of those appears in the Registrar's handbook fee table, which is why a DIFC budget built on Registrar fees alone always understates the first year.

What ongoing compliance costs does a DIFC company carry?

Expect an annual cycle rather than a quiet company. The licence renews with a confirmation statement, audited accounts and a directors' report go to the Registrar, ownership changes must be filed, and an employer carries DIFC Employee Workplace Savings Plan duties for its staff. Regulated firms add DFSA reporting on top. Budget for audit, filings and governance support every year, not just at setup.

What tax registrations does a new DIFC company need?

Your company registers for corporate tax with the Federal Tax Authority through EmaraTax, and that registration is free — late registration carries an AED 10,000 penalty. VAT registration is also free, becomes mandatory past AED 375,000 of taxable supplies and opens voluntarily from AED 187,500. DIFC sits under the same federal tax law as every other UAE company; the DIFC layer is its Registrar and regulator, not a separate tax system.
